CONSIDERANDO QUE: |
WHEREAS: |

I. EMGS cuyas actividades comerciales incluyen pero no se limitan a servicios de adquisición y procesamiento de datos electromagnéticos para la industria del petróleo en todo el mundo, en particular la investigación y preparación de estudios, datos e interpretaciones de geología petrolera no exclusivos; y |
I. EMGS, whose business activities include but are not limited to electromagnetic data acquisition and data processíng services to the petroleum industry world-wide in particular the research and preparation of non-exclusive petroleum geological studies, data and interpretations; and |

II. ANCAP, empresa petrolera estatal del Uruguay, con competencia para promover y facilitar la exploración de hidrocarburos en Uruguay; y |
II. ANCAP, as the National Oil Company of Uruguay, with competence in the promotion and facilitation of the exploration of hydrocarbons in Uruguay; and |

III. EMGS y ANCAP desean cooperar conjuntamente en la adquisición, procesamiento, interpretación y mercadeo, no exclusiva de datos electromagnéticos de fuente controlada ("CSEM"), |
III. EMGS and ANCAP wish to jointly cooperate in the elaboration of the non-exclusive Controlled Source Electromagnetic ("CSEM") product acquisition, processing, interpretation and marketing. |

IV. ANCAP asegura a EMGS que tiene plena autoridad y potestad para otorgar los derechos tal como se definen en el presente Contrato. |

Cláusula Primera - Objeto |
First Clause - Purpose |
|
|
1.1. Este Contrato establecerá y regirá la naturaleza y el alcance de la relación comercial entre las Partes en la elaboración de una Campaña multicliente, no exclusiva, para la adquisición, procesamiento, interpretación y mercadeo de datos electromagnéticos de fuente controlada (CSEM) costa afuera de la República Oriental del Uruguay. |
1.1. This Contract shall set up and govern the nature and scope of the business relationship between the Parties in elaborating a non-exclusive multiclient Survey for acquisition, processing, interpretation and marketing of controlled source electromagnetic (CSEM) data offshore Uruguay. |

1.2. ANCAP declara que en el marco del presente Contrato no se otorga ningún derecho sobre el petróleo y/o gas, u otros minerales, ni se autoriza cualquier otra actividad de exploración a algún individuo, a EMGS o a una tercera parte. |
1.2. ANCAP states that the framework of this Contract does not grant any rights to the oil, gas, or other minerals, nor does it authorize any other exploration activity to any individual, EMGS or third party. |

1.3. EMGS tendrá el derecho no exclusivo de adquirir, procesar e interpretar los datos CSEM Multicliente a su propio costo y riesgo como se define y acuerda en el Anexo 1 (el "Programa") con las especificaciones técnicas que se describen en dicho Anexo, y |
1.3. EMGS shall have the non-exclusive right to acquire, process and interpret the CSEM Multiclient data at their own expense and risk as defined and agreed in Annex 1 (the "Program") with the technical specifications described in such Annex, and, |

1.4. EMGS tendrá el derecho exclusivo de realizar el mercadeo y otorgar licencias de uso a terceras partes del Producto. Se define como "Producto" todos los datos crudos, procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc. así como el producto final elaborado en cumplimiento de este Programa, como se detalla en el Anexo 2, sean licenciados a terceros o no. |
1.4. EMGS shall have the exclusive right to market and grant licenses for the use to third parties of the Product. "Product" is defined as all the raw, processed and/or reprocessed data, intermediate products, additional products, reports, etc. as well as the final product elaborated in compliance with this Program, as detailed in Annex 2, whether they are licensed to third parties or not. |

1.5. Por otra parte, ANCAP y EMGS acuerdan la "Participación en los Ingresos" por concepto de los ingresos recibidos del licenciamiento del Producto a terceros, incluyendo todos los productos que eventualmente se puedan agregar durante la vigencia del presente Contrato, según lo establecido en los Anexos 1 y 2. |
1.5. Furthermore, ANCAP and EMGS agree to the "Income Participation" according to the income received from the licensing of the Product to third parties, including any products which might be added during the term of this Contract, as set out in Annexes 1 and 2. |

1.6. Cualquier análisis, procesamiento o interpretación adicional de los datos adquiridos durante la vigencia de este Contrato, que no estén contenidos en el Anexo 2, será resultado de común acuerdo entre ANCAP y EMGS. |
1.6. Any further analysis, processing or additional interpretation of the acquired data during the term of this Contract, which are not included in Annex 2, shall be agreed between ANCAP and EMGS. |

1.7. EMGS podrá, de común acuerdo con ANCAP, licenciar otros datos crudos, procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc., no incluidos en el Anexo 2. A todos los efectos, estos nuevos productos serán considerados como Producto. |
1.7. EMGS may, in accordance with ANCAP, grant licenses of other raw, processed and/or reprocessed data, intermediate products, additional products, reports, etc. not included in the Annex 2. To all effects, these new products shall be considered as Product. |

1.8. A los efectos del otorgamiento de licencias de uso del Producto a terceras partes, EMGS usará modelos de licenciamiento estándares de la industria, en idioma inglés, lo que ANCAP declara conocer y aceptar. |
1.8. For the effects of granting a license to use the Product to third parties, EMGS will use industry standard licensing models in the English language: which ANCAP acknowledges and accepts. |

1.9. El Producto podrá ser utilizado como referencia técnica y estudio independiente para la evaluación de áreas de exploración-explotación de hidrocarburos offshore del Uruguay, sin que esto signifique ningún derecho ni obligación para cualquier empresa que adquiera una licencia del Producto. |
1.9. The Product might be used to support the assessment of exploration and exploitation of hydrocarbon areas in the Uruguayan offshore, not meaning by this any right or obligation for a company licensing the Product. |

Cláusula Segunda - Propiedad del Producto |
Second Clause -Product Ownership |
|
|
2.1. ANCAP será propietaria del Producto generado. Asimismo, el título, la propiedad y el copyright del Producto reside únicamente en ANCAP, sin perjuicio de que por este Contrato le proporciona a EMGS los derechos exclusivos para otorgar las licencias de uso del Producto a terceras partes. |
2.1. ANCAP will own the generated Product. Likewise, title, ownership and copyright for the Product reside only in ANCAP, notwithstanding that ANCAP through this Contract provides to EMGS the exclusive right to grant licenses for the use of the Product to third parties. |

|
2.2. ANCAP tendrá acceso completo e ilimitado al Producto tras su finalización. |
2.2. ANCAP will have full and unlimited access to Product upon completion. |
|
|
2.3. ANCAP recibirá una copia del Producto, dentro de los tres (3) meses posteriores a la finalización de la correspondiente fase del Programa, según lo establecido en el Anexo 1. |
2.3. ANCAP shall receive a copy of the Product, within three (3) months after the completion of the corresponding phase of the Program, as it is stated in Annex 1. |

2.4. El Producto se suministrará en un formato estándar. |
2.4. The Product will be provided in a standard format. |
|
|
2.5. ANCAP tendrá el derecho de usar el Producto, incluyendo mapas y gráficos, en trabajos científicos y técnicos a ser publicados con la autorización previa por escrito de EMGS. |
2.5. ANCAP shall have the right to use the Product, including maps and graphics, in published scientific and technical articles with the prior written authorization of EMGS. |
|
|
2.6. ANCAP no podrá comercializar, entregar u otorgar licencias del Producto a ningún tercero durante la vigencia del Contrato otorgado a EMGS. |
2.6.ANCAP may not commercialize, supply or license the Product to any third party for the duration of the Contract rights granted to EMGS. |
|
|
2.7. ANCAP tendrá el derecho de volver a procesar y reinterpretar los datos con cualquier empresa de servicios, cumpliendo con el acuerdo de confidencialidad establecido en la Cláusula 3° de este Acuerdo. |
2.7. ANCAP will have the right to reprocess and reinterpret the data with any service company, complying with the confidentiality agreement established in the Third Clause of this Agreement. |

|
3.1 EMGS y ANCAP garantizan que mantendrán y harán que su personal, directores, agentes, consultores, asesores y colaboradores en general, mantengan la estricta confidencialidad del Producto. |
3.1. EMGS and ANCAP guarantee that they will ensure that their staff, directors, agents, consultants, advisors and collaborators in general, maintain confidentiality of the Product. |
|
|
3.2. Todos los datos e información proporcionados por ANCAP para ser utilizados en el Programa se mantendrán bajo estricta confidencialidad por parte de EMGS y no serán copiados ni utilizados para propósito alguno ajeno al Programa. |
3.2.All data and information provided by ANCAP to be used in the Program will be kept strictly confidential by EMGS and will not be copied or used for any purpose other than the Program. |
|
|
3.3. A menos que se acuerde lo contrario, por escrito, entre ANCAP y EMGS, toda la información derivada del Programa, incluyendo el Producto, deberán mantenerse confidenciales entre las Partes y no serán divulgadas a ninguna persona, firma, corporación, o cualquier otra entidad. |
3.3. Unless otherwise agreed in writing between ANCAP and EMGS, all information derived from the Program, including the Product, must stay confidential between the Parties and will not be divulged to any other person, firm, corporation or other entity. |
|
|
3.4. Estas obligaciones no serán aplicables en las situaciones siguientes: |

|
3.4.1. Cuando la información recibida haya ingresado al dominio público, sin que ANCAP o EMGS, o alguien de su personal, directores, agentes, consultores, asesores o colaboradores en general haya sido responsable de ello y dicha información no haya ingresado al dominio público como consecuencia de un incumplimiento de la licencia con EMGS por parte de un comprador o Licenciatario; |
3.4.1. When the information received has entered the public domain without ANCAP or EMGS or any of their staff, directors, agents, consultants, advisors or collaborators in general for being responsible for the disclosure and said information has not entered the public domain as a consequence of the breach of a EMGS license by a buyer or licensee; |
|
|
3.4.2. Si la información es solicitada por el Ministerio de Industria, Energía y Minería, a través del cual el Poder Ejecutivo ejerce la tutela administrativa de ANCAP, o solicitada por algún otro organismo gubernamental o jurisdiccional, o alguna Bolsa de Valores; |
3.4.2. If the information is requested by the Ministry of Industry, Energy and Mining, through which the Executive Branch exercises administrative supervision of ANCAP, or is requested by some other agency, governmental or judicial, or any Stock Exchange; |
|
|
3.4.3. Si EMGS pública extractos seleccionados del Producto con el fin de generar ventas, estos extractos seleccionados (imágenes idénticas) pueden ser divulgados por ANCAP; |
3.4.3. If EMGS publishes selected extracts from the Product in order to generate sales, these selected extracts (identical images) may also be disclosed by ANCAP; |
|
|
3.4.4. Si EMGS hace presentaciones del Producto a posibles compradores; |
3.4.4. If EMGS makes presentations of the Product to potential buyers; |
|
|
3.4.5. Cuando EMGS haya suscrito un contrato de licencia con un comprador. |
3.4.5. When EMGS has signed a license Contract with a licensee. |
|
|
3.4.6. ANCAP podrá ocasionalmente divulgar algunos extractos del Producto solamente a compañías petroleras que se muestren interesadas en adquirir una licencia de uso del Producto, siempre que sea en las oficinas de ANCAP, en la presencia de personal de ANCAP y por períodos de tiempo limitado. ANCAP no permitirá que estas compañías efectúen anotaciones o trabajen con el Producto para confirmar un prospecto o efectuar interpretaciones. ANCAP no permitirá que las compañías petroleras obtengan copias del Producto ni porciones de estos, salvo en los casos previstos en los numerales 3.4.6.1 y 3.4.6.2, asimismo, no permitirá que el Producto sea removido de sus oficinas. ANCAP podrá usar el Producto para promover la exploración de hidrocarburos en Uruguay en artículos publicitarios y conferencias de promoción utilizando para ellos imágenes estáticas ("Imagen") y sujetos a las siguientes restricciones: |
3.4.6. ANCAP may occasionally disclose some excerpts of the Product to oil companies interested in acquiring a license to use the Product, only in the offices of ANCAP, in the presence of ANCAP personnel and for limited periods of time. ANCAP will not allow these companies to make notes or work with the Product to confirm a prospect nor to make interpretations. ANCAP will not allow oil companies to obtain copies of the Product nor portions thereof, except in the cases prescribed in section 3.4.6.1 y 3.4.6.2 and neither will ANCAP allow third parties to remove the Product from their offices. ANCAP may use the Product to promote hydrocarbon exploration in Uruguay in published articles and promotion conferences using static imagen ("Image") subject to the following restrictions: |

3.4.6.1. Cada Imagen debe contener la siguiente nota: "Dato cortesía de EMGS". |
3.4.6.1. Each Image must contain the following note: "Data courtesy of EMGS". |

|
3.4.6.2. Si las Imágenes son utilizadas en una publicación, una copia del artículo o presentación debe ser previamente aprobada por EMGS antes de ser publicada. |
3.4.6.2. If the Images are used in a publication, a copy of the article or presentation must be previously approved by EMGS before being published. |
|
|
Cláusula Cuarta - Custodia y uso del Producto |

|
4.1. La copia de datos adquiridos, procesados o reprocesados, los productos intermedios, los productos adicionales, reportes, etc. y el Producto serán mantenidos y estarán bajo custodia de EMGS, en sus oficinas, durante la vigencia del presente Contrato. |
4.1. The copy of the acquired, processed and reprocessed data, the intermediate products, the additional products, reports, etc. and the Product will be maintained under the custody of EMGS in their offices throughout the term of this Contract. |
|
|
4.2. Al terminar este Contrato, el Producto será transferido a ANCAP; sin embargo, EMGS podrá conservar una copia del Producto hasta el momento en que todas las licencias de uso vendidas con anterioridad hayan caducado, en el entendido de que EMGS sólo utilizará dichas copias para ayudar a los compradores con preguntas y/o problemas encontrados con el Producto proporcionado previamente. |
4.2. Upon termination of this Contract, the Product will be transferred to ANCAP; however, EMGS may retain a copy of the Product until such time that all granted data use licenses have expired, on the understanding that EMGS will only use these copies to assist licensees in response to questions and/or problems encountered with the Product. |

|
4.3. Al vencimiento o terminación de dichas licencias, EMGS destruirá cualquier copia del Producto en su poder en ese momento, debiendo presentar a ANCAP una Declaración donde manifiesta que ha cumplido con esta obligación. |
4.3. Upon expiration or termination of these licenses, EMGS will destroy all copies of the Product in its possession and submit to ANCAP a Declaration stating that it has complied with this obligation. |

5.1. Proporcionará a EMGS datos e información necesarios para el diseño del Programa, sin perjuicio de cualquier información adicional que desee facilitar, en tanto no contravenga otros acuerdos y compromisos de confidencialidad. |
5.1. Will provide to EMGS data and information necessary to design the Program, notwithstanding any additional information that ANCAP may wish to contribute, only when the provision of said Data does not contravene any previous Contracts or confidentiality commitments. |

5.2. Cooperará con EMGS, si es aplicable, en la gestión de los permisos necesarios con los eventuales titulares de contratos de exploración y explotación de hidrocarburos en las áreas donde se desarrollará el Programa. |
5.2. Will cooperate, if applicable, with EMGS in the processing of necessary permits with the eventual hydrocarbon exploration and exploitation contract holders in the areas where the Program is to be developed. |

|
5.3. Cooperará con EMGS o sus subcontratistas, si es aplicable y dentro de la esfera de su competencia, para la gestión de las autorizaciones necesarias por parte de las entidades laborales, aduaneras, migratorias, ambientales, marítimas, pesqueras y cualesquier otras entidades gubernamentales con jurisdicción respecto a las áreas donde se llevará a cabo el Programa y concernientes a las operaciones involucradas en el mismo, así como para la coordinación y comunicación en la fase de adquisición del Programa, con dichas entidades y otras partes interesadas. Para ello, ANCAP podría solicitar a EMGS la documentación e información técnica acerca del Programa previamente a su inicio, durante y después de que haya concluido la adquisición. |
5.3. Will cooperate with EMGS or its sub-contractors, if applicable and within its competences, for the processing of necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing entities and other governmental entities with jurisdiction regarding the areas where the program is to be carried out and concerning to the operations involved thereof, as well as the coordination and communication with such entities and other interested parts in the acquisition phase of the Program. For this, ANCAP could request EMGS the documents and technical information about the Program prior to its start, during and after the acquisition phase has concluded. |
|
|
5.4. Cooperará con EMGS en la difusión del Programa, incluyendo información general del mismo en las actividades y materiales de promoción de la exploración de hidrocarburos en Uruguay, e informando a EMGS de todas las consultas y solicitudes relacionadas con el Programa que reciba durante dicha promoción. |
5.4. Will cooperate with EMGS in the dissemination of the Program; including general information of it in the activities and promotional materials for hydrocarbon exploration in Uruguay, and informing EMGS of all queries and requests related to the Program received during such promotion. |

5.5. Participará en el diseño y la revisión del Programa propuesto, junto al personal de EMGS. |
5.5. Will participate during the design and review of the proposed Program, in conjunction with EMGS personnel. |

|
5.6. Pondrá a disposición a dos de sus empleados para visitar las instalaciones de EMGS, durante aproximadamente una semana, para hacer un seguimiento del avance y condiciones de la ejecución del Programa. |
5.6. Will make available two of its staff to visit EMGS facilities, for one week approximately, to monitor the progress and conditions in the execution of the Program. |

5.7. En caso de que EMGS considere de forma discrecional e irrestricta que obtuvo suficiente financiamiento de la industria, conducirá todas las operaciones y actividades necesarias para ejecutar el Programa dentro de los plazos estipulados y establecidos en la Cláusula Octava, de acuerdo con las especificaciones técnicas descritas en el Anexo 1. EMGS comenzará el Programa sólo en caso de tener asegurada la prefinanciación del mismo, o si EMGS está dispuesta a ejecutar el Programa a su propio riesgo financiero. |
5.7. Upon such underwriting from the industry as EMGS, in its sole and unfettered discretion, deems to be sufficient, shall conduct all operations necessary to implement the Program within the stipulated deadlines set out in the Eighth Clause, according to the technical specifications described in the Annex 1. EMGS shall only commence the Program in the event that sufficient underwriting is assured, or if EMGS is prepared to execute the Program at its own financial risk. |
|

5.8. Proporcionará a ANCAP una copia del Producto, con los plazos establecidos en la Cláusula Octava. |
5.8. Shall provide to ANCAP, a copy of the Product, within the deadlines set out in the Eighth Clause. |

5.9. Conservará dos (2) copias del Producto para referencia futura, sujeto a lo previsto en la Cláusula Cuarta. |
5.9. Shall retain two (2) copies of the Product for future reference, subject to the provisions set out in the Fourth Clause. |

|
5.10. Permitirá y facilitará, a su propio costo, las tareas de seguimiento del Programa por representantes de ANCAP y por representantes de otras autoridades nacionales, si fuese necesario. EMGS no cubrirá el transporte, alojamiento y los gastos de manutención de los representantes de ANCAP, ni el de los representantes de otras autoridades nacionales. |
5.10 Shall allow and facilitate, at its own cost, the monitoring of the Program by ANCAP representatives and, if necessary, representatives of other nacional authorities. EMGS will not cover transportation, accommodation and living expenses incurred by the representatives of ANCAP or the other national authorities. |

5.11. Solicitará y recabará la autorización, si es aplicable, de los respectivos titulares de los contratos de exploración y explotación de hidrocarburos en las áreas donde se realizará el Programa para la adquisición de Datos, dentro de las jurisdicciones de dichos contratos, siendo esto una condición para el inicio del Programa en estas áreas. |
5.11. Will request and gather, the authorization, if applicable, from the hydrocarbons exploration and exploitation contracts holders in the areas where the Program for data acquisition will be carried out, inside the jurisdiction of such contracts, this being a condition for the beginning of the Program in such areas. |

5.12. Solicitará y recabará por sí, o a través de sus subcontratistas, si es aplicable, las autorizaciones necesarias por parte de las entidades laborales, aduaneras, migratorias, ambientales, marítimas, pesqueras y cualesquier otras entidades gubernamentales con jurisdicción respecto a las áreas donde se llevará a cabo el Programa y concernientes a las operaciones involucradas en el mismo, siendo esto una condición para el inicio del Programa. EMGS suministrará a ANCAP la información y documentación requeridas por cualquiera de estas autoridades o cualquier otra parte interesada, a fin de coordinar la fase de adquisición del Programa. |
5.12. Will request and gather itself, or through its subcontractors, if applicable, the necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing authorities and any other governmental entities with jurisdiction regarding the areas where the Program is to be carried out and concerning to the operations involved thereof, this being a condition for the beginning of the Program. EMGS will provide ANCAP with the information and documents required by any of these authorities or any other interested party, in order to coordinate the acquisition phase of the Program. |

5.13. Elaborará un Plan de Gestión Ambiental de las operaciones involucradas en el Programa, cuyo alcance estará sujeto a los lineamientos vigentes de ANCAP, y que serán comunicados a EMGS antes de la firma de este Contrato, y que contendrá como mínimo lo siguiente: |
5.13. It will prepare an Environmental Management Plan for the operations involved in the Program, the scope of which will be subjected to the current ANCAP guidelines, and which will be communicated to EMGS before the signing of this Contract, and which will contain at least the following: |

* Declaración de las actividades a realizar en cumplimiento del contrato y las correspondientes medidas a aplicar para minimizar impactos ambientales. |

5.14. EMGS y ANCAP trabajarán para determinar un plan de capacitación apropiado para dos (2) aprendices de la Gerencia de Exploración y Producción de ANCAP, designados por ANCAP, a llevarse a cabo durante la ejecución del Programa (en caso de que el Programa, sujeto a lo establecido en la cláusula 5], sea implementado). Los gastos incurridos por el plan de capacitación serán responsabilidad de EMGS, excepto el traslado, alojamiento y los gastos de manutención, generados fuera del Uruguay, de los aprendices de ANCAP. El programa de capacitación tendrá una duración máxima de dos semanas. |
5.14. EMGS and ANCAP will work together to determine an appropriate training plan for two (2) staff of Exploration and Production of ANCAP trainees, nominated by ANCAP, to be carried out during the execution of the Program (in case that the Program, subject to clause 5.7, is implemented). All costs incurred in executing the training program will be responsibility of EMGS, except for travel, accommodation and living expense costs incurred outside Uruguay by ANCAP's trainees. The training program will last a maximum of two weeks. |

6.1. EMGS asume la plena responsabilidad por los resultados de las actividades incluidas en el Programa, y por este medio se compromete a indemnizar y mantener indemne por cualquier demanda, causa de acción, daños o cualquier otra responsabilidad que surja de tales actividades a ANCAP y al Estado Uruguayo; considerando, sin embargo, que EMGS no otorga garantías, expresas o implícitas, ni garantiza los resultados del uso ni del desempeño del Producto. |
6.1. EMGS assumes full responsibility for the results of the activities included in the Program, and hereby agrees to indemnify and hold harmless from any claim, cause of action, damages or any other liabilities arising out of the activities to ANCAP and the Uruguayan State; considering, however, that EMGS makes no warranties, express or implied, nor guarantees the results of the use nor the performance of the Product. |

El personal de EMGS ejercerá su buen juicio en virtud de las condiciones prevalecientes según su leal saber y entender. Cualquier recomendación, interpretación, opinión o informe por parte de EMGS o sus empleados estarán basados en entendimientos en cuanto a las condiciones y en inferencias y suposiciones que están sujetas a error, y con respecto a las cuales, analistas situados de manera similar pueden diferir. En consecuencia, EMGS no puede y de hecho no representa, garantiza ni asegura los resultados, precisión ni la exactitud de cualquiera de dichas recomendaciones, interpretaciones u opiniones que surjan del uso del Producto. |
The staff of EMGS shall exercise good judgment under the prevailing conditions according to their knowledge and understanding. Any recommendation, interpretation, opinion or report from EMGS or its employees is based upon judgments regarding conditions, inferences and the assumptions that are subject to error, and with respect to which similarly situated analysts may differ. Consequently, EMGS cannot and does not represent, warrant or guarantee the results, precision or accuracy of any such recommendations, interpretations or opinions arising from the Product. |

Cualquier acción tomada por ANCAP con base en cualquiera de los resultados del Programa será bajo su propia responsabilidad y su propio riesgo. Any action taken by ANCAP based on any of the results of the Program will be at its own risk. EMGS assumes no liability and makes no guarantees, including without limitation any express or implied warranties of merchantability, condition, durability, design, capacity, ease of operation, integrity, defects, completeness, suitability, fitness for a purpose or private use, productivity nor the profitability, that might arise from the use of any part of the Product. |

6.2. Bajo ningún concepto EMGS será responsable ante ANCAP con relación a daños punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin carácter limitativo, los daños por pérdida de producción, pérdida de ingresos, pérdida de producto, lucro cesante, pérdida de negocios o interrupciones de negocios, daños ejemplares o punitivos, resultantes o emanados del uso del Producto; y EMGS se compromete expresamente a no alegar garantías generales ni específicas, expresas o implícitas, con relación a la precisión, utilidad y calidad del Producto ni su idoneidad para cualquier uso o propósito en particular. EMGS no asume responsabilidad alguna de ningún tipo por el uso del Producto. |
6.2. Under no circumstances shall EMGS be liable to ANCAP for punitive, indirect, special, incidental or consequential damages, including without limitation, damages for loss of production, loss of revenue, loss of product, loss of profits, loss of business or business interruptions, exemplary or punitive, consequential or arising from the use of the processed Data or the Product; and EMGS expressly agrees not to make guarantees neither general or specific, explicit or implied, relating to the accuracy, usefulness and quality of the processed Data or the Product nor its fitness for any particular purpose. EMGS does not assume any responsibility whatsoever for the use of the Product. |

6.3. Bajo ningún concepto ANCAP y/o el Estado Uruguayo será responsable ante terceros con relación a daños punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin carácter limitativo, los daños por pérdida de producción, pérdida de ingresos, pérdida de producto, lucro cesante, pérdida de negocios o interrupciones de negocios, daños ejemplares o punitivos, resultantes o emanados de la adquisición, procesamiento y todas las demás actividades incluidas en el Programa. |

6.4. El Producto será licenciado a terceras partes entendiéndose y acordándose que EMGS y ANCAP y/o el Estado Uruguayo no serán responsables de ninguna acción realizada ni gasto efectuado por terceros y sus grupos de exploración resultantes del estudio, evaluación, interpretación o uso del Producto, y EMGS se compromete a que las terceras partes exonerarán, defenderán e indemnizarán a EMGS y a ANCAP y/o el Estado Uruguayo de y contra cualquier demanda o responsabilidad que de ellos emanara. |
6.4. The Product will be licensed to third parties under the understanding and agreement that EMGS and ANCAP and/or the Uruguayan State shall not be liable for any actions undertaken nor expenditure incurred by third parties and their exploration groups as a result of the study, evaluation, interpretation or use of the Product, and EMGS commits that the third parties will exempt, defend and indemnify EMGS and ANCAP and/or the Uruguayan State from and against any claim or liability which may emanate from those third parties and their explorations groups. |

6.5. Cada una de las Partes protegerá, defenderá e indemnizará y se mantendrá y mantendrá indemne por el presente a sus ejecutivos, directores, agentes, empleados ante todo tipo de reclamos, demandas, causas de acción, costos, pérdidas, daños y perjuicios, gastos, incluidas las costas judiciales y los honorarios legales, juicios y fallos que surjan o se produzcan por actividades desarrolladas conforme a este Contrato, salvo que se deban a la negligencia grave de alguna de las Partes. |
6.5. Each Party herein shall each protect, defend and indemnify and hold the other Party, their officers, directors, agents, employees harmless from and against all claims, demands, causes of action, costs, losses, damages, expenses, including court costs and legal fees, suits and judgments suffered by the Party arising out of or resulting activities under this Contract, save as such shall be due to gross negligence by the other Party. |

6.6. EMGS garantiza que los medios en los cuales se entregará el Producto no tendrán defectos y que el Producto estará debidamente registrado en tales medios. En caso que ANCAP identifique que los medios tienen algún defecto lo comunicará de inmediato a EMGS, quien reemplazará dicho medio a la brevedad del caso. |
6.6. EMGS guarantees that the medium on which the Product shall be delivered will be free from defects and that the Product will be duly recorded on said medium. In the event that ANCAP identifies that the medium has a defect it shall immediately notify EMGS, who will replace the medium promptly. |

6.7. EMGS deberá tener adecuadamente transferidos los riesgos de sufrir y/o producir daños o pérdidas, que la actividad objeto del presente Contrato pudiere generar. EMGS y sus Subcontratistas deberán contratar todos los seguros obligatorios que correspondan, de acuerdo a la legislación de Uruguay y se deberá incluir, siempre y cuando sea posible, a ANCAP como co-asegurado y/o asegurado adicional. |
6.7. EMGS must be adequately insured against the risks of suffering or causing damage or loss as a consequence of complying with this Contract. EMGS and its Subcontractors must obtain all the corresponding compulsory insurance, required by Uruguayan legislation and shall include, wherever possible, ANCAP as coinsured and / or additional insured. |

6.8. Ninguna medida de transferencia de riesgos, por ejemplo: auto-seguro, fondo mutuo, utilización de cautiva, o contratación de seguro, liberará a EMGS de sus responsabilidades. Aun contratando con seguros, la responsabilidad de EMGS se mantendrá en todo momento o caso intacta. |
6.8. No measure of insurance such as self-insurance, mutual fund, captive use, or contract of insurance, releases EMGS from its responsibilities. Even when contracting insurance, the responsibility of EMGS will be maintained at all times or case intact. |

7.1. EMGS asumirá todos los costos asociados con el Programa y su mercadeo y el riesgo de intentar recuperar tales costos mediante el otorgamiento de licencias de uso del Producto a terceros. |

La Tarifa de Licencia nominal para el Producto estará comprendida entre 50% y 100% del "Costo del Programa" y la misma es comunicada a ANCAP únicamente con fines informativos; ANCAP entiende y acepta que, por razones comerciales o de otra naturaleza que son imprevisibles y están fuera del control de EMGS, la Tarifa de Licencia puede ser diferente de la Tarifa de Licencia nominal. |
7.4. EMGS determines the "License Fees" of the Product. The nominal License Fee for the Product will be between 50%-100% of the "Program Cost" and it is communicated to ANCAP for informational purposes only; ANCAP understands and agrees that, for commercial or other reasons that are unpredictable and are beyond the control of EMGS, the License Fee may be different from the nominal license fee. |

7.5. Si EMGS se viese obligada a pagar cualquier impuesto sobre ventas, uso o IVA en Uruguay para el otorgamiento de la licencia del Producto, dichos impuestos serán deducidos antes de que el ingreso se comparta con ANCAP. |

7.6. EMGS will assume full responsibility for issuing invoices and receipts for monies paid by third parties for the Product License Fees. EMGS shall take full responsibility for payment to ANCAP for its share of revenue. |

7.7. EMGS efectuará el pago de su parte de ingresos a ANCAP dentro de los 30 días siguientes al trimestre en que se haya pagado la factura. Los pagos no realizados a ANCAP por EMGS dentro de los 30 días siguientes al trimestre en que se haya pagado la factura, estarán sujetos a una tasa de interés mensual de valor LIBOR (promedio mensual de la tasa LIBOR en USD). |
7.7. EMGS will pay ANCAP its share of revenues within 30 days following the quarter in which the invoice is paid. Invoices not paid by EMGS to ANCAP within 30 days following the quarter in which the invoice is paid, shall be subject to an interest charge of LIBOR (average monthly LIBOR rate in USD) per month. |

EMGS shall provide to ANCAP, quarterly license fees sales statements for all quarters in which EMGS has made a license sale, within thirty (30) days of the end of each quarter, which EMGS shall report according to the format set out in Annex 3. EMGS will maintain separate records of all the proceeds earned from the Product, and will provide upon request from ANCAP, the relevant annual audited statements as prepared by independent auditors, of such records. |

7.8. Durante la vigencia del presente Contrato, ANCAP o sus auditores tendrán derecho a inspeccionar y a auditar los libros, las cuentas y los registros de EMGS relacionados con el otorgamiento de licencias, a los fines de verificar que EMGS cumpla con los términos y condiciones del presente. ANCAP puede, previo aviso razonable y a cuenta propia, solicitar que tales cuentas sean auditadas por un auditor independiente. Dichas auditorías deberán estar limitadas a una por año. |
7.8. Throughout the term of this Contract, ANCAP or its auditors have the right to inspect and audit the books, accounts and records belonging to EMGS that relates to the revenue earned from licensing in order to verify that EMGS has complied with the terms and conditions of the Contract. ANCAP may, upon reasonable prior notice and at its own cost, request that such accounts are audited by an independent auditor. Such audits shall be limited to one per year. |

8.1 La duración del Contrato será de diez (10) años desde la fecha de su suscripción. El Período de Exclusividad establecido en la Cláusula 1.4 permanecerá hasta la finalización del Contrato. |
8.1. The duration of the Contract will be ten (10) years from the date of signing. The Exclusive Right established in the Clause 1.4 will remain until the end of the duration of the Contract. |
ANCAP tendrá derecho exclusivo de prorrogar el Contrato dos veces por un plazo adicional de hasta cinco (5) años cada una, previa solicitud fundada y por escrito de EMGS que deberá ser presentada con una antelación mínima de noventa (90) días. |
ANCAP shall have the exclusive right to extend the Contract twice for an additional term of up to five (5) years each, upon the well-founded and written request of EMGS, which must be submitted at least ninety (90) days in advance. |

8.2. EMGS tendrá el derecho de empezar el Programa durante los tres (3) primeros años del Contrato y ANCAP tendrá el derecho de extenderlo por hasta dos (2) años adicionales o de rescindirlo si no se cumple esta condición. |
8.2. EMGS will have the right to start the Program within the first three (3) Contract years and ANCAP will have the right to extend it for up two (2) additional years or to terminate the Contract if this is not accomplished. |

8.3. Sujeto a la cláusula 5.7, EMGS completará el Programa en un plazo de 24 meses desde su comienzo, tal como se especifica en el Anexo 1, ANCAP tendrá el derecho exclusivo de rescindir el Contrato si no se cumple esta condición. En caso de que el Programa se aumente, de común acuerdo con ANCAP, este plazo podrá ser prorrogado proporcionalmente. |
8.3. Subject to clause 5.7, EMGS will complete the Program within 24 months from its start, as specified in Annex 1. ANCAP shall have the exclusive right to terminate the Contract if this schedule is not complied with. In the event that the Program is extended by mutual agreement, this period may be extended proportionally. |

8.4. De conformidad con las disposiciones de la Cláusula Cuarta, al terminar este Contrato, sea al finalizar su vigencia o por rescisión del mismo, el Producto será transferido a ANCAP y EMGS deberá destruir cualquier copia de los datos y el Producto en su poder en ese momento. |
8.4. In accordance with the provisions of clause four, at the expiration of this Contract, whether due to the accomplishment of its term or for its termination, the Product will be transferred to ANCAP and EMGS shall destroy any copies of the data and the Product in its possession. |

8.5. El cronograma de trabajo en el Anexo 1 deberá suspenderse en caso de que ocurra una Causa Extraña No Imputable a ANCAP o EMGS. Para los efectos del presente Contrato, Causa Extraña No Imputable se entenderá como cualquier hecho, evento o cualquier otra causa fuera del control de ANCAP o EMGS y que ninguna de las Partes sea capaz de superar mediante el ejercicio de esfuerzos razonables; ya sea que impida, total o parcialmente la ejecución de cualquier obligación de cualquiera de las Partes incluyendo a vía ilustrativa pero no limitativa: eventos de la naturaleza, incendio, huracán, inundación, explosión, derrumbe de estructuras, disturbios civiles, motines, guerra o disturbios similares, huelgas, conflictos laborales más allá del control de las Partes, actos, restricciones por parte de los organismos gubernamentales o militares (incluidos los tribunales o autoridades de jurisdicción competente), o la imposibilidad de disposición de los medios técnicos o permisos necesarios para cumplir con el objeto del Contrato. La demora o incumplimiento de las obligaciones serán excusados durante el tiempo y en la medida que dicha demora o incumplimiento sea ocasionado por Causa Extraña No Imputable a ANCAP o EMGS. |
8.5. The work schedule in Annex 1 shall be discontinued in case a Cause or Causes Beyond the Control of ANCAP or EMGS occur. For the purposes of this Contract, Cause or Causes Beyond the Control of ANCAP or EMGS shall mean any fact, event or any other cause beyond the control of ANCAP or EMGS that either Party is able to overcome by the exercise of reasonable efforts; whether to prevent totally or partially the execution of any obligation of either Party including but not limited to: natural events, fire, hurricane, flood, explosion, structural collapse, civil unrest, riots, war or Similar riots, strikes, labor disputes beyond the control of the Parties, events, restrictions by the government or military agencies (including courts or appropriate authorities jurisdiction), or the impossibilities to dispose of the technical means or necessary permits to fulfill the purpose of the Contract. The delay or non-fulfillment of the obligations shall be excused as long as and to the extent that such delay or nonperformance is caused by Cause or Causes Beyond the Control of ANCAP or EMGS. |

|
8.6. EMGS tendrá el derecho a rescindir el Contrato y no proceder con el Programa si no asegura suficiente financiación para su comienzo. Dicha rescisión del Contrato no ocasionará daños o perjuicios de ningún tipo para ninguna de las Partes. En tal sentido, ninguna de las Partes tendrá obligación de pagar indemnización de ningún tipo, ni será sujeta a obligación alguna por causa del presente Contrato. |
8.6. EMGS shall have the right to terminate the Contract and not proceed with the Program if there is insufficient funding to start. Such termination of the Contract will not cause damage or injury of any kind to any Party as such, neither Party shall be obliged to pay compensation of any kind, nor be subject to any obligation by reason of this Contract. |

8.7. Una Parte podrá denunciar el presente Contrato, si la otra Parte se encuentra en mora. Para que una Parte sea considerada en incumplimiento, la otra Parte deberá notificarla de la presente omisión por escrito, especificando con detalle las circunstancias del incumplimiento. La Parte en incumplimiento contará con un plazo de 10 días a partir de y después de la recepción de dicha notificación para iniciar medidas para rectificar la falta. El hecho de no iniciar tales medidas dentro de los 10 días hará que este Contrato se rescinda. El hecho de no rectificar la falta dentro de los 30 días hará que este Contrato se rescinda. |
8.7. A Party may terminate this Contract if the other Party is in default. For a Party to be considered in default, the other Party shall notify the formal of the default in writing, specifying in detail the circumstances of the breach. The Party in default shall have a period of 10 days from receipt of said notice to initiate measures to rectify the fault. The failure to initiate such measures within 10 days shall render this Contract as terminated. The failure to rectify the fault within 30 days shall render this Contract as terminated. |

9.1. En ningún caso podrá EMGS transferir o ceder este Contrato, con sus derechos para otorgar licencias de uso del Producto a terceras partes, sin la aprobación previa por escrito de ANCAP. |

Este Contrato y sus Anexos constituyen el acuerdo completo de las Partes, y no se podrá efectuar ninguna modificación, enmienda ni agregado a este Contrato ni a sus Anexos a menos que sea por escrito y haga referencia específica a este Contrato y/o el Anexo aplicable, y esté firmado por un representante autorizado de ambas Partes. |
This Contract and its Annexes constitute entire agreement between the Parties, and no modification, amendment or addition shall be made to this Contract or the Annexes unless it is agreed in writing and specific reference to this Contract and/or the applicable Annex, and it is signed by an authorized representative of both Parties. |

12.1. Salvo como se define expresa y específicamente en este Contrato, todos los avisos y comunicaciones deberán cursarse por escrito y serán considerados suficientes para todo fin si son enviados mediante carta certificada por servicios de mensajería (por ejemplo a través de FedEx, DHL o similar) a la dirección del destinatario establecida a continuación. La notificación de la otra parte será válida en el momento del recibo del aviso o comunicación. Cada Parte puede cambiar su dirección mediante aviso por escrito. Cada aviso enviado entrará en vigencia en la fecha de la recepción real. |
12.1. Except as expressly and specifically defined in this Contract, all notices and communications shall be in writing and shall be deemed sufficient for all purposes if they are sent by registered letter via courier (i.e. FedEx, DHL or similar) to the recipient's address as set forth below. The notification of the receiving Party shall be valid immediately upon receipt of the notice of communication. Each Party may notify the other Party of a change of address by written notice. Each message shall enter into force on the date of actual receipt. |

El programa 2D de electromagnetismo de fuente controlada (CSEM) propuesto explorará la resistividad en áreas de frontera exploratoria del offshore de Uruguay. Los datos de CSEM constituyen una medida del subsuelo completamente independiente que proporciona información complementaria sobre la saturación y el volumen de fluido (por ejemplo, agua salada o hidrocarburos) contenidos en los poros de las rocas. La integración de datos sísmicos y los de CSEM permitirá a las compañías petroleras mejorar su comprensión del sistema petrolero y, por lo tanto, incrementar la probabilidad de encontrar cantidades comerciales de hidrocarburos. |
The proposed 2D Controlled Source ElectroMagnetism (CSEM) Program, will scan for resistivity in the frontier exploration offshore areas of Uruguay. CSEM is a completely independent earth measurement that provides complimentary information about the saturation and volume of fluid (e.g. brine or hydrocarbons) contained in the pore space of the rocks. Integration of seismic data and CSEM will allow oil companies to improve their understanding of the petroleum system and therefore increase the chance of finding commercial quantities of hydrocarbons. |

The scope is to carry out an initial acquisition between 300Km and 10000Km of 2D CSEM designed to connect existing wells to the reprocessed CSEM dataset and exploration blocks on offer. 2D CSEM is a useful tool for efficient scanning of resistivity in frontier areas but lacks detailed coverage. This type of 2D reconnaissance survey will also lay the groundwork for 3D CSEM infill surveys at a later date. Deeper and lower resolution imaging of the Earth's resistivity via magnetotelluric studies could also potentially be performed with the dataset. |
