                              Resolución 91/024

Modifícase la Resolución del Poder Ejecutivo de fecha 29 de enero de 2024, en el sentido de incluir la totalidad del contrato a suscribirse entre ANCAP, con la empresa PGS Exploration UK Ltd.

   VISTO: la Resolución del Poder Ejecutivo de 29 de enero de 2024, por la que se autorizó a la Administración Nacional de Combustibles, Alcohol y Portland (ANCAP), a contratar directamente con la empresa PGS Exploration UK Ltd.;

   RESULTANDO: que se advirtió que el contrato a suscribirse que luce adjunto a dicha Resolución y que forma parte de la misma, se encuentra incompleto;

   CONSIDERANDO: que la Dirección General de Secretaría solicita proyectar resolución modificativa, a fin de agregar el contrato completo;

   ATENTO: a lo expuesto;

                      EL PRESIDENTE DE LA REPÚBLICA

                                RESUELVE:

   Modifícase la Resolución del Poder Ejecutivo de 29 de enero de 2024, en el sentido de incluir la totalidad del contrato a suscribirse entre la Administración Nacional de Combustibles, Alcohol y Portland (ANCAP), con la empresa PGS Exploration UK Ltd.

   Comuníquese, publíquese y pase a la Administración Nacional de Combustibles, Alcohol y Portland (ANCAP).

PGS y ANCAP desean cooperar conjuntamente en la adquisición, procesamiento, interpretación y mercadeo no exclusiva de un mínimo de 5.000 y hasta un máximo de 40.000 km² de datos sísmicos 3D con cobertura completa en el offshore de la República Oriental del Uruguay.

ANCAP asegura a PGS que tiene  plena autoridad y potestad para otorgar los derechos tal como se definen en el presente Contrato.

Cláusula Primera - Objeto

1.1. Este Contrato establecerá y regirá la naturaleza y el alcance de la relación comercial entre las Partes en la elaboración de un Programa multicliente, no exclusivo, para la adquisición, procesamiento, interpretación y mercadeo de un mínimo de 5.000 y hasta un máximo de 40.000 km² de datos sísmicos 3D con cobertura completa en el offshore de la República Oriental del Uruguay.
  

  
1.1. This Contract shall set up and govern the nature and scope of the business relationship between the Parties in elaborating a non-exclusive multiclient Program for the acquisition, processing, interpretation, and marketing of a minimum of 5,000 and up to a maximum of 40,000 full fold km² of 3D seismic data in the offshore of the Oriental Republic of Uruguay.
   
 

  

  

  

  

   
 

  
1.2. ANCAP declara que en el marco del presente Contrato no se otorga ningún derecho sobre el petróleo y/o gas, u otros minerales, ni se autoriza cualquier otra actividad de exploración a algún individuo, a PGS o a una tercera parte.
  

  
1.2. ANCAP states that the framework of this Contract does not grant any rights to the oil, gas, or other minerals, nor does it authorize any other exploration activity to any individual, PGS or third party.
   
 

  

  

  

  

   
 

  
1.3. PGS tendrá el derecho no exclusivo de adquirir, procesar e interpretar los datos sísmicos 3D adquiridos de un mínimo de 5.000 km² y hasta un máximo de 40.000 km² con cobertura completa en el offshore de la República Oriental del Uruguay, a su propio costo y riesgo como se define y acuerda en el Anexo 1 (el "Programa") con las especificaciones técnicas que se describen en el Anexo 1. El Programa podrá constar de varias campañas.
  

  
1.3. PGS shall have the non-exclusive right to acquire, process and interpret the 3D seismic data acquired from a minimum of 5,000 km² and up to a maximum of 40,000 full fold km², in the offshore of the Oriental Republic of Uruguay, at their own expense and risk as defined and agreed in Annex 1 (the "Program") with the technical specifications described in Annex 1. The Program may consist of several surveys.
   
 

  

  

  

  

   
 

  
1.4. PGS tendrá el derecho exclusivo de realizar el mercadeo y otorgar licencias de uso a terceras partes del Producto. Se define como "Producto" todos los datos crudos, procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc. así como el producto final elaborado en cumplimiento de este Programa, como se detalla en el Anexo 1, sean licenciados a terceros o no
  

  
1.4. PGS shall have the exclusive right to market and grant licenses for the use to third parties of the Product. "Product" is defined as all the raw, processed and/or reprocessed data, intermediate products, additional products, reports, etc. as well as the final product elaborated in compliance with this Program, as detailed in Annex 1, whether they are licensed to third parties or not.
   
 

  

  

  

  

   
 

  
1.5. Por otra parte, ANCAP y PGS acuerdan la "Participación en los Ingresos" por concepto de los ingresos recibidos del licenciamiento del Producto a terceros, incluyendo todos los productos que eventualmente se puedan agregar durante la vigencia del presente Contrato, según lo establecido en el Anexo 1.
  

  
1.5. Furthermore, ANCAP and PGS agree to the "Income Participation" according to the income received from the licensing of the Product to third parties, including any products which might be added during the term of this Contract, as set out in Annex 1.
   
 

  

  

  

  

   
 

  
1.6. Cualquier análisis, procesamiento, reprocesamiento interpretación adicional de los datos adquiridos durante la vigencia de este Contrato, que no estén contenidos en el Anexo 1, será resultado de común acuerdo entre ANCAP y PGS.
  

  
1.6. Any further analysis, processing, o reprocessing or additional interpretation of the acquired data during the term of this Contract, which are not included in Annex 1, shall be agreed between ANCAP and PGS.
   
 

  

  

  

  

   
 

  
1.7. PGS podrá, de común acuerdo con 1.6, licenciar otros datos crudos, procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc., no incluidos en el Anexo 1. A todos los efectos, estos nuevos productos serán considerados como Producto.
  

  
1.7. PGS may, in accordance with 1.6, grant licenses of other raw, processed and/or reprocessed data, intermediate products, additional products, reports, etc. not included in the Annex 1. To all effects, these new products shall be considered as Product.
   
 

  

  

  

  

   
 

  
1.8. A los efectos del otorgamiento de licencias de uso del Producto a terceras partes, PGS usará modelos de licenciamiento estándares de la industria, en idioma inglés, lo que ANCAP declara conocer y aceptar.
  

  
1.8. For the effects of granting a license to third parties to use the Product, PGS will use industry standard licensing models in the English language: which ANCAP acknowledges and accepts.
   
 

  

  

  

  

   
 

  
1.9 El Producto podrá ser utilizado para apoyar la evaluación de la exploración y explotación de hidrocarburos en el onshore y offshore de Uruguay, sin que esto signifique ningún derecho ni obligación para cualquier empresa que adquiera una licencia del Producto.
  

  
1.9. The Product might be used to support the assessment of exploration and exploitation of hydrocarbon areas in the Uruguayan onshore and offshore, not meaning by this any right or obligation for a company licensing the Product.
   
 

  

  

  

  

   
 

  
Cláusula Segunda - Propiedad del Producto

2.1. ANCAP será propietaria del Producto generado. Asimismo, el título, la propiedad y el copyright del Producto reside únicamente en ANCAP, sin perjuicio de que por este Contrato le proporciona a PGS los derechos exclusivos para otorgar las licencias de uso del Producto a terceras partes.
  

  
2.1. ANCAP will own the generated Product. Likewise, title, ownership and copyright for the Product reside only in ANCAP, notwithstanding that ANCAP through this Contract provides to PGS the exclusive right to grant licenses for the use of the Product to third parties.
   
 

  

  

  

  

   
 

  
2.2. ANCAP tendrá acceso completo e ilimitado al Producto tras su finalización.
  

  
2.2. ANCAP will have full and unlimited access to the Product upon completion.
   
 

  

  

  

  

   
 

  
2.3. ANCAP recibirá una copia del Producto, dentro de los tres (3) meses posteriores a la finalización de la correspondiente fase de cada campaña del Programa, según lo establecido en el Anexo 1.
  

  
2.3 ANCAP shall receive a copy of the Product, within three (3) months after the completion of the corresponding phase of each survey of the Program, as outlined in Annex 1.
   
 

  

  

  

  

   
 

  
2.4. El Producto se suministrará en un formato estándar.

2.5. ANCAP tendrá el derecho de usar el Producto, incluyendo mapas y gráficos, en trabajos científicos y técnicos a ser publicados con la autorización previa por escrito de PGS.
  

  
2.5 ANCAP shall have the right to use the Product, including maps and graphics, in published scientific and technical articles with the prior written authorization of PGS.
   
 

  

  

  

  

   
 

  
2.6. ANCAP no podrá comercializar, entregar u otorgar licencias del Producto a ningún tercero durante la vigencia del Contrato otorgado a PGS.
  

  
2.6 ANCAP may not commercialize, supply or license the Product to any third party for the duration of the Contract rights granted to PGS.
   
 

  

  

  

  

   
 

  
2.7 ANCAP tendrá el derecho de volver a procesar y reinterpretar los datos con cualquier empresa de servicios, cumpliendo con el acuerdo de confidencialidad establecido en la Cláusula 3° de este Acuerdo.
  

  
2.7 ANCAP will have the right to reprocess and reinterpret the data with any service company, complying with the confidentiality agreement established in the Third Clause of this Agreement.

3.1 PGS y ANCAP garantizan que mantendrán y harán que su personal, directores, agentes, consultores, asesores y colaboradores en general, mantengan la estricta confidencialidad del Producto.
  

  
3.1. PGS and ANCAP guarantee that they will ensure that their staff, directors, agents, consultants, advisors and collaborators in general, maintain confidentiality of the Product.
   
 

  

  

  

  

   
 

  
3.2 Todos los datos e información proporcionados por ANCAP para ser utilizados en el Programa se mantendrán bajo estricta confidencialidad por parte de PGS y no serán copiados ni utilizados para propósito alguno ajeno al Programa.
  

  
3.2. All data and information provided by ANCAP to be used in the Program will be kept strictly confidential by PGS and will not be copied or used for any purpose other than the Program.
   
 

  

  

  

  

   
 

  
3.3 A menos que se acuerde lo contrario, por escrito, entre ANCAP y PGS, toda la información derivada del Programa, incluyendo el Producto, deberán mantenerse confidenciales entre las Partes y no serán divulgadas a ninguna persona, firma, corporación, o cualquier otra entidad.
  

  
3.3. Unless otherwise agreed in writing between ANCAP and PGS, all information derived from the Program, including the Product, must stay confidential between the Parties and will not be divulged to any other person, firm, corporation or other entity.
   
 

  

  

  

  

   
 

  
3.4 Estas obligaciones no serán aplicables en las situaciones siguientes:

3.4.1 Cuando la información recibida haya ingresado al dominio público, sin que ANCAP o PGS, o alguien de su personal, directores, agentes, consultores, asesores o colaboradores en general haya sido responsable de ello y dicha información no haya ingresado al dominio público como consecuencia de un incumplimiento de la licencia con PGS por parte de un comprador o Licenciatario;
  

  
3.4.1. When the information received has entered the public domain without ANCAP or PGS or any of their staff, directors, agents, consultants, advisors or collaborators in general being responsible for the disclosure, and said information has not entered the public domain as a consequence of the breach of a PGS license by a buyer or licensee;
   
 

  

  

  

  

   
 

  
3.4.2 Si la información es solicitada por el Ministerio de Industria, Energía y Minería, a través del cual el Poder Ejecutivo ejerce la tutela administrativa de ANCAP, o solicitada por algún otro organismo gubernamental o jurisdiccional, o alguna Bolsa de Valores;
  

  
3.4.2. If the information is requested by the Ministry of Industry, Energy and Mining, through which the Executive Branch exercises administrative supervision of ANCAP, or is requested by some other agency, governmental or judicial, or any Stock Exchange;
   
 

  

  

  

  

   
 

  
3.4.3 Si PGS publica extractos seleccionados del Producto con el fin de generar ventas, estos extractos seleccionados (imágenes idénticas) pueden ser divulgados por ANCAP;
  

  
3.4.3. If PGS publishes selected extracts from the Product in order to generate sales, these selected extracts (identical images) may also be disclosed by ANCAP;
   
 

  

  

  

  

   
 

  
3.4.4 Si PGS hace presentaciones del Producto a posibles compradores;

3.4.5 Cuando PGS haya suscrito un contrato de licencia con un comprador;

3.4.6 ANCAP podrá ocasionalmente divulgar algunos extractos del Producto solamente a compañías petroleras que se muestren interesadas en adquirir una licencia de uso del Producto, siempre que sea en las oficinas de ANCAP, en la presencia de personal de ANCAP y por períodos de tiempo limitado. ANCAP no permitirá que estas compañías efectúen anotaciones o trabajen con el Producto para confirmar un prospecto o efectuar interpretaciones. ANCAP no permitirá que las compañías petroleras obtengan copias del Producto ni porciones de estos, salvo en los casos previstos en los numerales 3.4.6.1 y 3.4.6.2, asimismo, no permitirá que el Producto sea removido de sus oficinas. ANCAP podrá usar el Producto para promover la exploración de hidrocarburos en Uruguay en artículos publicitarios y conferencias de promoción utilizando para ellos imágenes estáticas ("Imagen") y sujetos a las siguientes restricciones:
  

  
3.4.6. ANCAP may occasionally disclose some excerpts of the Product to oil companies interested in acquiring a license to use the Product, only in the offices of ANCAP, in the presence of ANCAP personnel and for limited periods of time. ANCAP will not allow these companies to make notes or work with the Product to confirm a prospect nor to make interpretations. ANCAP will not allow oil companies to obtain copies of the Product nor portions thereof, except in the cases prescribed in section 3.4.6.1 y 3.4.6.2 and neither will ANCAP allow third parties to remove the Product from their offices. ANCAP may use the Product to promote hydrocarbon exploration in Uruguay in published articles and promotion conferences using static images ("Image") subject to the following restrictions:

Cláusula Cuarta - Custodia y uso de los datos y del Producto

4.1. La copia de datos adquiridos, procesados y reprocesados, los productos intermedios, los productos adicionales, reportes, etc. y el Producto serán mantenidos y estarán bajo custodia de PGS, durante la vigencia del presente Contrato.
  

  
4.1. The copy of the acquired, processed and reprocessed data, the intermediate products, the additional products, reports, etc. and the Product will be maintained under custody of PGS throughout the term of this Contract.
   
 

  

  

  

  

   
 

  
4.2 Al terminar este Contrato, el Producto será transferido a ANCAP; sin embargo, PGS podrá conservar una copia del Producto hasta el momento en que todas las licencias de uso vendidas con anterioridad hayan caducado, en el entendido de que PGS sólo utilizará dichas copias para ayudar a los compradores con preguntas y/o problemas encontrados con el Producto proporcionado previamente.
  

  
4.2. Upon termination of this Contract, the Product will be transferred to ANCAP; however, PGS may retain a copy of the Product until such time that all granted data use licenses have expired, on the understanding that PGS will only use these copies to assist licensees in response to questions and/or problems encountered with the Product.
   
 

  

  

  

  

   
 

  
4.3 Al vencimiento o terminación de dichas licencias, PGS destruirá cualquier copia del Producto en su poder en ese momento, debiendo presentar a ANCAP una Declaración donde manifiesta que ha cumplido con esta obligación.
  

  
4.3. Upon expiration or termination of these licenses, PGS will destroy all copies of the Product in its possession and submit to ANCAP a Declaration stating that it has complied with this obligation.

5.1 Proporcionará a PGS datos e información necesarios para el diseño del Programa, sin perjuicio de cualquier información adicional que desee facilitar, en tanto no contravenga otros acuerdos y compromisos de confidencialidad.
  

  
5.1. Will provide PGS data and information necessary to design the Program, notwithstanding any additional information that ANCAP may wish to contribute, only when the provision of said data does not contravene any previous agreements or confidentiality commitments.
   
 

  

  

  

  

   
 

  
5.2 Cooperará con PGS, si es aplicable, en la gestión de los permisos necesarios con los eventuales titulares de contratos de exploración y explotación de hidrocarburos en las áreas donde se desarrollará el Programa.
  

  
5.2. Will cooperate, if applicable, with PGS in the processing of necessary permits with the eventual hydrocarbon exploration and exploitation contract holders in the areas where the Program is to be developed.
   
 

  

  

  

  

   
 

  
5.3 Cooperará con PGS o sus subcontratistas, si es aplicable y dentro de la esfera de su competencia, para la gestión de las autorizaciones necesarias por parte de las entidades laborales, aduaneras, migratorias, ambientales, marítimas, pesqueras y cualesquier otras entidades gubernamentales con jurisdicción respecto a las áreas donde se llevará a cabo el Programa y concernientes a las operaciones involucradas en el mismo, así como para la coordinación y comunicación en la fase de adquisición del Programa, con dichas entidades y otras partes interesadas. Para ello, ANCAP podría solicitar a PGS la documentación e información técnica acerca del Programa previamente a su inicio, durante y después de que haya concluido la adquisición.
  

  
5.3. Will cooperate with PGS or its sub-contractors, if applicable and within its competences, for the processing of necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing entities and other governmental entities with jurisdiction regarding the areas where the Program is to be carried out and concerning to the operations involved thereof, as well as the coordination and communication with such entities and other interested parties in the acquisition phase of the Program. For this, ANCAP could request PGS to provide the documents and technical information about the Program prior to its start, during and after the acquisition phase has concluded.
   
 

  

  

  

  

   
 

  
5.4 Cooperará con PGS en la difusión del Programa, incluyendo información general del mismo en las actividades y materiales de promoción de la exploración de hidrocarburos en Uruguay, e informando a PGS de todas las consultas y solicitudes relacionadas con el Programa que reciba durante dicha promoción.
  

  
5.4. Will cooperate with PGS in the dissemination of the Program; including general information of it in the activities and promotional materials for hydrocarbon exploration in Uruguay and informing PGS of all queries and requests related to the Program received during such promotion.
   
 

  

  

  

  

   
 

  
5.5 Participará en el diseño y la revisión del Programa propuesto, junto al personal de PGS.

5.6 Pondrá a disposición a dos de sus empleados para visitar las instalaciones de PGS, durante aproximadamente una semana, para hacer un seguimiento del avance y condiciones de la ejecución del Programa.
  

  
5.6. Will make available two of its staff to visit PGS facilities, for one week approximately, to monitor the progress and conditions in the execution of the Program.

5.14 Will request and gather itself, or through its subcontractors, if applicable, the necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing authorities and any other governmental entities with jurisdiction regarding the areas where the Program is to be carried out and concerning to the operations involved thereof, this being a condition for the beginning of the Program. 6.1 PGS asume la plena responsabilidad por los resultados de las actividades incluidas en el Programa, y por este medio se compromete a indemnizar y mantener indemne por cualquier demanda, causa de acción, daños o cualquier otra responsabilidad que surja de tales actividades; a ANCAP y al Estado Uruguayo; considerando, sin embargo, que PGS no otorga garantías, expresas o implícitas, ni garantiza los resultados del uso ni del desempeño del Producto.
  

  
6.1 PGS assumes full responsibility for the results of the activities included in the Program, and hereby agrees to indemnify and hold harmless from any claim, cause of action, damages or any other liabilities arising out of the activities to ANCAP and the Uruguayan State; considering, however, that PGS makes no warranties, express or implied, nor guarantee the results of the use nor the performance of the Product.
   
 

  

  

  

  

   
 

  
6.2 El personal de PGS ejercerá su buen juicio en virtud de las condiciones prevalecientes según su leal saber y entender. Cualquier recomendación, interpretación, opinión o informe por parte de PGS o sus empleados estarán basados en entendimientos en cuanto a las condiciones y en inferencias y suposiciones que están sujetas a error, y con respecto a las cuales, analistas situados de manera similar pueden diferir. En consecuencia, PGS no puede y de hecho no representa, garantiza ni asegura los resultados, precisión ni la exactitud de cualquiera de dichas recomendaciones, interpretaciones u opiniones que surjan del uso del Producto.
  

  
6.2 The staff of PGS shall exercise good judgment under the prevailing conditions according to their knowledge and understanding. Any recommendation, interpretation, opinión or report from PGS or its employees is based upon judgments regarding conditions, inferences and the assumptions that are subject to error, and with respect to which similarly situated analysts may differ. Consequently, PGS cannot and does not represent, warrant or guarantee the results, precision or accuracy of any such recommendations, interpretations or opinions arising from the Product.
   
 

  

  

  

  

   
 

  
6.3 Cualquier acción tomada por ANCAP con base en cualquiera de los resultados del Programa será bajo su propia responsabilidad y su propio riesgo. PGS no asume ninguna responsabilidad y no otorga ninguna garantía, incluyendo sin limitación cualquier garantía expresa o implícita de comerciabilidad, condición, durabilidad, diseño, capacidad, facilidad de operación, defectos, integridad, adecuación, idoneidad para un propósito o uso particulares, utilidades, productividad, operaciones adecuadas ni sobre la rentabilidad, que surjan del uso del Producto. 
  

  
6.3 Any action taken by ANCAP based on any of the results of the Program will be at its own risk. PGS assumes no liability and makes no guarantees, including without limitation any express or implied warranties of merchantability, condition, durability, design, capacity, ease of operation, integrity, defects, completeness, suitability, fitness for a purpose or private use, productivity nor the profitability, that might arise from the use of any part of the Product.
   
 

  

  

  

  

   
 

  
6.4 Bajo ningún concepto PGS será responsable ante ANCAP con relación a daños punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin carácter limitativo, los daños por pérdida de producción, pérdida de ingresos, pérdida de producto, lucro cesante, pérdida de negocios o interrupciones de negocios, daños ejemplares o punitivos, resultantes o emanados del uso del Producto; y PGS se compromete expresamente a no alegar garantías generales ni específicas, expresas o implícitas, con relación a la precisión, utilidad y calidad del Producto ni su idoneidad para cualquier uso o propósito en particular. PGS no asume responsabilidad alguna de ningún tipo por el uso del Producto.
  

  
6.4 Under no circumstances shall PGS be liable to ANCAP for punitive, indirect, special, incidental or consequential damages, including without limitation, damages for loss of production, loss of revenue, loss of product, loss of profits, loss of business or business interruptions, exemplary or punitive, consequential or arising from the use of the Product; and PGS expressly agrees not to make guarantees, neither general or specific, explicit or implied, relating to the accuracy, usefulness and quality of the Product nor its fitness for any particular purpose. PGS does not assume any responsibility whatsoever for the use of the Product.
   
 

  

  

  

  

   
 

  
6.5 Bajo ningún concepto ANCAP y/o el Estado Uruguayo será responsable ante terceros con relación a daños punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin carácter limitativo, los daños por pérdida de producción, pérdida de ingresos, pérdida de producto, lucro cesante, pérdida de negocios o interrupciones de negocios, daños ejemplares o punitivos, resultantes o emanados de la adquisición, procesamiento y todas las demás actividades incluidas en el Programa.
  

  
6.5 Under no circumstances shall ANCAP and/or the Uruguayan State be liable to third parties for punitive, indirect, special, incidental nor consequential damages, including without limitation, damages for loss of production, loss of revenue, loss of product, loss of profits, loss or interruptions of business neither from exemplary, punitive, or consequential damages arising from the processing and any other activity included in the Program.
   
 

  

  

  

  

   
 

  
6.6 El Producto será licenciado a terceras partes entendiéndose y acordándose que PGS y ANCAP y/o el Estado Uruguayo no serán responsables de ninguna acción realizada ni gasto efectuado por terceros y sus grupos de exploración resultantes del estudio, evaluación, interpretación o uso del Producto, y PGS se compromete a que las terceras partes exonerarán, defenderán e indemnizarán a PGS y a ANCAP y/o el Estado Uruguayo de y contra cualquier demanda o responsabilidad que de ellos emanara.
  

  
6.6 The Product will be licensed to third parties under the understanding and agreement that PGS and ANCAP and/or the Uruguayan State shall not be liable for any actions undertaken nor expenditure incurred by third parties and their exploration groups as a result of the study, evaluation, interpretation or use of the Product, and PGS commits that the third parties will exempt, defend and indemnify PGS and ANCAP and/or the Uruguayan State from and against any claim or liability which may emanate from those third parties and their explorations groups.
   
 

  

  

  

  

   
 

  
6.7 Cada una de las Partes protegerá, defenderá e indemnizará y se mantendrá y mantendrá indemne por el presente a sus ejecutivos, directores, agentes, empleados ante todo tipo de reclamos, demandas, causas de acción, costos, pérdidas, daños y perjuicios, gastos, incluidas las costas judiciales y los honorarios legales, juicios y fallos que surjan o se produzcan por actividades desarrolladas conforme a este Contrato, salvo que se deban a la negligencia grave de alguna de las Partes.
  

  
6.7 Each Party herein shall each protect, defend and indemnify and hold the other Party, their officers, directors, agents, employees harmless from and against all claims, demands, causes of action, costs, losses, damages, expenses, including court costs and legal fees, suits and judgments suffered by the Party arising out of or resulting from activities under this Contract, save as such shall be due to gross negligence by the other Party.
   
 

  

  

  

  

   
 

  
6.8 PGS garantiza que los medios en los cuales se entregará el Producto no tendrán defectos y que el Producto estará debidamente registrado en tales medios. En caso de que ANCAP identifique que los medios tienen algún defecto lo comunicará de inmediato a PGS, quien reemplazará dicho medio a la brevedad del caso.
  

  
6.8 PGS guarantees that the medium on which the Product shall be delivered will be free from defects and that the Product will be duly recorded on said medium. 6.9 PGS deberá tener adecuadamente transferidos los riesgos de sufrir y/o producir daños o pérdidas, que la actividad objeto del presente Contrato pudiere generar. 6.9 PGS must be adequately insured against the risks of suffering or causing damage or loss as a consequence of complying with this Contract. PGS and its Subcontractors must obtain all the corresponding compulsory insurance, required by Uruguayan legislation and shall include, wherever possible, ANCAP as co-insured and/or additional insured.

7.4 PGS determines the "License Fees" of the Product. 7.8 PGS entregará a ANCAP una declaración trimestral de ventas de licencias dentro de un plazo de treinta (30) días tras la finalización del trimestre anterior, que PGS deberá reportar según el formato establecido en el Anexo 2. PGS llevará registros por separado de todo lo recaudado por el otorgamiento de licencias del Producto, y proporcionará, cuando ANCAP lo solicite, los estados auditados anuales pertinentes, preparados por auditores independientes, de estos registros.
  

  
7.8 PGS shall provide to ANCAP, quarterly license sales statements within thirty (30) days of the end of each quarter, which PGS shall report according to the format, set out in Annex 2. 7.9 Durante la vigencia del presente Contrato, ANCAP o sus auditores tendrán derecho a inspeccionar y a auditar los libros, las cuentas y los registros de PGS relacionados con el otorgamiento de licencias, a los fines de verificar que PGS cumpla con los términos y condiciones del presente. 7.9 Throughout the term of this Contract, ANCAP or its auditors have the right to inspect and audit the books, accounts and records belonging to PGS that relates to the revenue earned from licensing in order to verify that PGS has complied with the terms and conditions of the Contract. ANCAP may, upon reasonable prior notice and at its own cost, request that such accounts are audited by an independent auditor. 8.6 El cronograma de trabajo en el Anexo 1 deberá suspenderse en caso de que ocurra una Causa Extraña No Imputable a ANCAP o PGS. Para los efectos del presente Contrato, Causa Extraña No Imputable se entenderá como cualquier hecho, evento o cualquier otra causa fuera del control de ANCAP o PGS y que ninguna de las Partes sea capaz de superar mediante el ejercicio de esfuerzos razonables; ya sea que impida, total o parcialmente la ejecución de cualquier obligación de cualquiera de las Partes incluyendo a vía ilustrativa pero no limitativa: eventos de la naturaleza, incendio, huracán, pandemias, inundación, explosión, derrumbe de estructuras, disturbios civiles, motines, guerra o disturbios similares, huelgas, conflictos laborales más allá del control de las Partes, actos, restricciones por parte de los organismos gubernamentales o militares (incluidos los tribunales o autoridades de jurisdicción competente), o la imposibilidad de disposición de los medios técnicos o permisos necesarios para cumplir con el objeto del Contrato. La demora o incumplimiento de las obligaciones serán excusados durante el tiempo y en la medida que dicha demora o incumplimiento sea ocasionado por Causa Extraña No Imputable a ANCAP o PGS.
  

  
8.6 The work schedule in Annex 1 shall be discontinued in case a Cause or Causes Beyond the Control of ANCAP or PGS occur. For the purposes of this Contract, Cause or Causes Beyond the Control of ANCAP or PGS shall mean any fact, event or any other cause beyond the control of ANCAP or PGS that neither Party is able to overcome by the exercise of reasonable efforts; whether to prevent totally or partially the execution of any obligation of either Party including but not limited to: natural events, fire, hurricane, pandemics, flood, explosion, structural collapse, civil unrest, riots, war or similar riots, strikes, labor disputes beyond the control of the Parties, events, restrictions by the government or military agencies (including courts or appropriate authorities jurisdiction), or the impossibilities to dispose of the technical means or necessary permits to fulfill the purpose of the Contract. The delay or non-fulfillment of the obligations shall be excused as long as and to the extent that such delay or nonperformance is caused by Cause or Causes Beyond the Control of ANCAP or PGS.
   
 

  

  

  

  

   
 

  
8.7 PGS tendrá el derecho a rescindir el Contrato y no proceder con el Programa si no asegura suficiente financiación para su comienzo. Dicha rescisión del Contrato no ocasionará daños o perjuicios de ningún tipo para ninguna de las Partes. En tal sentido, ninguna de las Partes tendrá obligación de pagar indemnización de ningún tipo, ni será sujeta a obligación alguna por causa del presente Contrato.
  

  
8.7 PGS shall have the right to terminate the Contract and not proceed with the Program if there is insufficient funding to start. Such termination of the Contract will not cause damage or injury of any kind to any Party as such, neither Party shall be obliged to pay compensation of any kind, nor be subject to any obligation by reason of this Contract.
   
 

  

  

  

  

   
 

  
8.8 Una Parte podrá denunciar el presente Contrato, si la otra Parte se encuentra en mora. Para que una Parte sea considerada en incumplimiento, la otra Parte deberá notificarla de la presente omisión por escrito, especificando con detalle las circunstancias del incumplimiento. La Parte en incumplimiento contará con un plazo de 30 días a partir de y después de la recepción de dicha notificación para rectificar la falta, so pena de que el presente Contrato se dé por terminado.
  

  
8.8 A Party may terminate this Contract if the other Party is in default. For a Party to be considered in default, the other Party shall notify the formal of the default in writing, specifying in detail the circumstances of the breach. The Party in default shall have a period of 30 days from receipt of said notice to rectify the fault. 12.1 Salvo como se define expresa y específicamente en este Contrato, todos los avisos y comunicaciones deberán cursarse por escrito y serán considerados suficientes para todo fin si son enviados mediante carta certificada por servicios de mensajería (por ejemplo a través de FedEx, DHL o similar) a la dirección del destinatario establecida a continuación, o vía correo electrónico a la dirección del destinatario establecida a continuación. La notificación de la otra parte será válida en el momento del recibo del aviso o comunicación. Cada Parte puede cambiar su dirección mediante aviso por escrito o por correo electrónico. Cada aviso enviado entrará en vigencia en la fecha de la recepción real.
  

  
12.1 Except as expressly and specifically defined in this Contract, all notices and communications shall be in writing and shall be deemed sufficient for all purposes if they are sent by registered letter via courier (i.e. FedEx, DHL or similar) to the recipient's address as set forth below, or by email to the address of the recipient established below. The notification of the receiving Party shall be valid immediately upon receipt of the notice of communication. Each Party may notify the other Party of a change of address by written notice or by email. Each message shall enter into force on the date of actual receipt.
