Searcher, cuyas actividades comerciales incluyen, pero no se limitan a la adquisición, el procesamiento, la interpretación y comercialización no-exclusiva de conjuntos de datos de exploración a nivel mundial; y

Searcher, whose business activities include but are not limited to the non-exclusive acquisition, processing, interpretation and marketing of exploration datasets worldwide.; and

ANCAP, empresa petrolera  estatal del Uruguay, con competencia para promover y facilitar la exploración de hidrocarburos en Uruguay; y

Searcher y ANCAP desean cooperar conjuntamente en la adquisición, procesamiento, interpretación y mercadeo no exclusiva de un mínimo de cinco mil (5.000) y hasta un máximo de cuarenta y dos mil ochocientos (42.800) km2 de datos sísmicos 3D en el offshore de la República Oriental del Uruguay.

Searcher and ANCAP wish to jointly cooperate in the non- exclusive acquisition, processing, interpretation and marketing of a minimum of five thousand (5,000) and up to a maximum of forty-two thousand eight hundred (42,800) km² of 3D seismic data in the offshore of Uruguay.

ANCAP asegura a Searcher que tiene plena autoridad y potestad para otorgar los derechos tal como se definen en el presente Contrato.

Cláusula Primera - Objeto

1.1.
  
Este Contrato establecerá y regirá la naturaleza y el alcance de la relación comercial entre las Partes en la elaboración de una Campaña  multicliente, no exclusiva, para la adquisición, procesamiento, interpretación y mercadeo de un mínimo de 5.000 y hasta un máximo de 42.800 km2 de datos sísmicos 3D en el offshore de la República Oriental del Uruguay.

This Contract shall set up and govern the nature and scope of the business relationship between the Parties in elaborating a non- exclusive multiclient Survey for the acquisition, processing, interpretation and marketing of a minimum of 5,000 and up to a maximum of 42,800 km² of 3D seismic data in the offshore of Uruguay.

ANCAP declara que en el marco del presente Contrato no se otorga ningún derecho sobre el petróleo y/o gas, u otros minerales, ni se autoriza cualquier otra actividad de exploración a algún individuo, a Searcher o a una tercera parte.

ANCAP states that the framework of this Contract does not grant any rights to the oil, gas, or other minerals, nor does it authorize any other exploration activity to any individual, Searcher or third party.

Searcher tendrá el derecho no exclusivo de adquirir, procesar e interpretar los datos sísmicos 3D adquiridos de un mínimo de 5.000 y hasta un máximo de 42.800 km2 en el offshore de la República Oriental del Uruguay, a su propio costo y riesgo como se define y acuerda en el Anexo 1 (el "Programa") con las especificaciones técnicas que se describen en el Anexo 4, y

Searcher shall have the non-exclusive right to acquire, process and interpret the 3D seismic data acquired from a minimum of 5,000 and up to a maximum of 42,800 km2, in the offshore of Uruguay, at their own expense and risk as defined and agreed in Annex 1 (the "Program") with the technical specifications described in Annex 4 and,

Searcher tendrá el derecho exclusivo de realizar el mercadeo y otorgar licencias de uso a terceras partes del Producto. Se define como "Producto" todos los datos crudos, procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc. así como el producto final elaborado en cumplimiento de este Programa, como se detalla en el Anexo 2, sean licenciados a terceros o no.

Searcher shall have the exclusive right to market and grant licenses for the use to third parties of the Product. "Product" is defined as all the raw, processed and/or reprocessed data, intermediate products, additional products, reports, etc. as well as the final product elaborated in compliance with this Program, as detailed in Annex 2, whether they are licensed to third parties or not.

Por otra parte, ANCAP y Searcher acuerdan la "Participación en los Ingresos" por concepto de los ingresos recibidos del licenciamiento del Producto a terceros, incluyendo todos los productos que eventualmente se puedan agregar durante la vigencia del presente Contrato, según lo establecido en los Anexos 1 y 2.

Furthermore, ANCAP and Searcher agree to the "Income Participation" according to the income received from the licensing of the Product to third parties, including any products which might be added during the term of this Contract, as set out in Annexes 1 and 2.

Cualquier análisis, procesamiento, reprocesamiento o interpretación adicional de los datos adquiridos durante la vigencia de este Contrato, que no estén contenidos en el Anexo 1, será resultado de común acuerdo entre ANCAP y Searcher.

Any further analysis, processing, reprocessing or additional interpretation of the acquired data during the term of this Contract, which are not included in Annex 1, shall be agreed between ANCAP and Searcher.

Searcher podrá, de común acuerdo con ANCAP, licenciar otros datos crudos, procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc., no incluidos en el Anexo 2. A todos los efectos, estos nuevos productos serán considerados como Producto.

Searcher may, in accordance with ANCAP, grant licenses of other raw, processed and/or reprocessed data, intermediate products, additional products, reports, etc. not included in the Annex 2. To all effects, these new products shall be considered as Product.

A los efectos del otorgamiento de licencias de uso del Producto a terceras partes, Searcher usará modelos de licenciamiento  estándares de la industria, en idioma inglés, lo que ANCAP declara conocer y aceptar.

For the effects of granting a license to use the Product to third parties, Searcher will use industry standard licensing models in the English language: which ANCAP acknowledges and accepts.

El Producto podrá ser utilizado como referencia técnica y estudio independiente para la evaluación de áreas de exploración-explotación de hidrocarburos en el onshore y offshore de Uruguay, sin que esto signifique ningún derecho ni obligación para cualquier empresa que adquiera una licencia del Producto.

The Product might be used to support the assessment of exploration and exploitation of hydrocarbon areas in the Uruguayan onshore and offshore, not meaning by this any right or obligation for a company licensing the Product.
   
 

  

  

   
 

  
Cláusula Segunda - Propiedad del Producto

ANCAP será propietaria del Producto generado. Asimismo, el título, la propiedad y el copyright del Producto reside únicamente en ANCAP, sin perjuicio de que por este Contrato le proporciona a Searcher los derechos exclusivos para otorgar las licencias de uso del Producto a terceras partes.
  
2.1.
  
ANCAP will own the generated Product. Likewise, title, ownership and copyright for the Product reside only in ANCAP, notwithstanding that ANCAP through this Contract provides to Searcher the exclusive right to grant licenses for the use of the Product to third parties.

ANCAP tendrá acceso completo e ilimitado al Producto tras su finalización.

ANCAP will have full and unlimited access to Product upon completion.
   
 

  

  

   
 

  
2.3.
  
ANCAP recibirá una copia del Producto, dentro de los tres (3) meses posteriores a la finalización de la correspondiente fase del Programa, según lo establecido en el Anexo 1.

ANCAP shall receive a copy of the Product, within three (3) months after the completion of the corresponding phase of the Program, as it is stated in Annex 1.

ANCAP tendrá el derecho de usar el Producto, incluyendo mapas y gráficos, en trabajos científicos y técnicos a ser publicados con la autorización previa por escrito de Searcher.

ANCAP shall have the right to use the Product, including maps and graphics, in published scientific and technical articles with the prior written authorization of Searcher.
   
 

  

  

   
 

  
2.6.
  
ANCAP no podrá comercializar, entregar u otorgar licencias del Producto a ningún tercero durante la vigencia del Contrato otorgado a Searcher.

ANCAP may not commercialize, supply or license the Product to any third party for the duration of the Contract rights granted to Searcher.
   
 

  

  

   
 

  
2.7.
  
ANCAP tendrá el derecho de volver a procesar y reinterpretar los datos con cualquier empresa de servicios, cumpliendo con el acuerdo de confidencialidad establecido en la Cláusula 3° de este Acuerdo.

ANCAP will have the right to re-process and reinterpret the data with any service company, complying with the confidentiality agreement established in the Third Clause of this Agreement.

Searcher y ANCAP garantizan que mantendrán y harán que su personal, directores, agentes, consultores, asesores y colaboradores en general, mantengan la estricta confidencialidad del Producto.

Searcher and ANCAP guarantee that they will ensure that their staff, directors, agents, consultants, advisors and collaborators in general, maintain confidentiality of the Product.
   
 

  

  

   
 

  
3.2.
  
Todos los datos e información proporcionados por ANCAP para ser utilizados en el Programa se mantendrán bajo estricta confidencialidad por parte de Searcher y no serán copiados ni utilizados para propósito alguno ajeno al Programa.

All data and information provided by ANCAP to be used in the Program will be kept strictly confidential by Searcher and will not be copied or used for any purpose other than the Program.
   
 

  
 
  

   
 

  
3.3.
  
A menos que se acuerde lo contrario, por escrito, entre ANCAP y Searcher, toda la información derivada del Programa, incluyendo el Producto, deberán mantenerse confidenciales entre las Partes y no serán divulgadas a ninguna persona, firma, corporación, o cualquier otra entidad.
  
3.3.
  
Unless otherwise agreed in writing between ANCAP and Searcher, all information derived from the Program, including the Product, must stay confidential between the Parties and will not be divulged to any other person, firm, corporation or other entity.
   
 

  
 
  

   
 

  
3.4.
  
Estas obligaciones no serán aplicables en las situaciones siguientes:

3.4.1.
  
Cuando la información recibida haya ingresado al dominio público, sin que ANCAP o Searcher, o alguien de su personal, directores, agentes, consultores, asesores o colaboradores en general haya sido responsable de ello y dicha información no haya ingresado al dominio público como consecuencia de un incumplimiento de la licencia con Searcher por parte de un comprador o Licenciatario;
  

  
3.4.1.
  
When the information received has entered the public domain without ANCAP or Searcher or any of their staff, directors, agents, consultants, advisors or collaborators in general for being responsible for the disclosure and said information has not entered the public domain as a consequence of the breach of a Searcher license by a buyer or licensee;
   
 

  

  

   
 

  

  
3.4.2.
  
Si la información es solicitada por el Ministerio de Industria, Energía y Minería, a través del cual el Poder Ejecutivo ejerce la tutela administrativa de ANCAP, o solicitada por algún otro organismo gubernamental o jurisdiccional, o alguna Bolsa de Valores;

If the information is requested by the Ministry of Industry, Energy and Mining, through which the Executive Branch exercises administrative supervision of ANCAP, or is requested by some other agency, governmental or judicial, or any Stock Exchange;

Si Searcher publica extractos seleccionados del Producto con el fin de generar ventas, estos extractos seleccionados (imágenes idénticas) pueden ser divulgados por ANCAP;

If Searcher publishes selected extracts from the Product in order to generate sales, these selected extracts (identical images) may also be disclosed by ANCAP;

Si Searcher hace presentaciones del Producto a posibles compradores;

If Searcher makes presentations of the Product to potential buyers;

3.4.6.
  
ANCAP podrá ocasionalmente divulgar algunos extractos del Producto solamente a compañías petroleras que se muestren interesadas en adquirir una licencia de uso del Producto, siempre que sea en las oficinas de ANCAP, en la presencia de personal de ANCAP y por períodos de tiempo limitado. ANCAP no permitirá que estas compañías efectúen anotaciones o trabajen con el Producto para confirmar un prospecto o efectuar interpretaciones. ANCAP no permitirá que las compañías petroleras obtengan copias del Producto ni porciones de estos, salvo en los casos previstos en los numerales 3.4.6.1 y 3.4.6.2, asimismo, no permitirá que el Producto sea removido de sus oficinas. ANCAP podrá usar el Producto para promover la exploración de hidrocarburos en Uruguay en artículos publicitarios y conferencias de promoción utilizando para ellos imágenes estáticas ("Imagen") y sujetos a las siguientes restricciones:

ANCAP may occasionally disclose some excerpts of the Product to oil companies interested in acquiring a license to use the Product, only in the offices of ANCAP, in the presence of ANCAP personnel and for limited periods of time. ANCAP will not allow these companies to make notes or work with the Product to confirm a prospect nor to make interpretations. ANCAP will not allow oil companies to obtain copies of the Product nor portions thereof, except in the cases prescribed in section 3.4.6.1 y 3.4.6.2 and neither will ANCAP allow third parties to remove the Product from their offices. ANCAP may use the Product to promote hydrocarbon exploration in Uruguay in published articles and promotion conferences using static images ("Image") subject to the following restrictions:

Cláusula Cuarta - Custodia y uso de los datos y del Producto

La copia de datos adquiridos, procesados y reprocesados, los productos intermedios, los productos adicionales, reportes, etc. y el Producto serán mantenidos y estarán bajo custodia de Searcher, en sus oficinas, durante la vigencia del presente Contrato.

The copy of the acquired, processed and reprocessed data, the intermediate products, the additional products, reports, etc. and the Product will be maintained under the custody of Searcher in their offices throughout the term of this Contract.
   
 

  

  

   
 

  
4.2.
  
Al terminar este Contrato, el Producto será transferido a ANCAP; sin embargo, Searcher podrá conservar una copia del Producto hasta el momento en que todas las licencias de uso vendidas con anterioridad hayan caducado, en el entendido de que Searcher sólo utilizará dichas copias para ayudar a los compradores con preguntas y/o problemas encontrados con el Producto proporcionado  previamente.
  
4.2.
  
Upon termination of this Contract, the Product will be transferred to ANCAP; however, Searcher may retain a copy of the Product until such time that all granted data use licenses have expired, on the understanding that Searcher will only use these copies to assist licensees in response to questions and/or problems encountered with the Product.

Al vencimiento o terminación de dichas licencias, Searcher destruirá cualquier copia del Producto en su poder en ese momento, debiendo presentar a ANCAP una Declaración donde manifiesta que ha cumplido con esta obligación.

Upon expiration or termination of these licenses, Searcher will destroy all copies of the Product in its possession and submit to ANCAP a Declaration stating that it has complied with this obligation.

Proporcionará a Searcher datos e información necesarios para el diseño del Programa, sin perjuicio de cualquier información adicional que desee facilitar, en tanto no contravenga otros acuerdos y compromisos de confidencialidad.

Will provide Searcher data and information necessary to design the Program, notwithstanding any additional information that ANCAP may wish to contribute, only when the provision of said data does not contravene any previous Contracts or confidentiality commitments.

Cooperará con Searcher, si es aplicable, en la gestión de los permisos necesarios con los eventuales titulares de contratos de exploración y explotación de hidrocarburos en las áreas donde se desarrollará el Programa.

Will cooperate, if applicable, with Searcher in the processing of necessary permits with the eventual hydrocarbon exploration and  exploitation contract holders in the areas where the Program is to be developed.
   
 

  

  

   
 

  
5.3.
  
Cooperará con Searcher o sus subcontratistas, si es aplicable y dentro de la esfera de su competencia, para la gestión de las autorizaciones necesarias por parte de las entidades laborales, aduaneras, migratorias, ambientales, marítimas, pesqueras y cualesquier otras entidades gubernamentales con jurisdicción respecto a las áreas donde se llevará a cabo el Programa y concernientes a las operaciones involucradas en el mismo, así como para la coordinación y comunicación en la fase de adquisición del Programa, con dichas entidades y otras partes interesadas. Para ello, ANCAP podría solicitar a Searcher la documentación e información técnica acerca del Programa previamente a su inicio, durante y después de que haya concluido la adquisición.
  
5.3.
  
Will cooperate with Searcher or its sub-contractors, if applicable and within its competences, for the processing of necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing entities and other governmental entities with  jurisdiction regarding the areas where the Program is to be carried out and concerning to the operations involved thereof, as well as the coordination and communication with such entities and other interested parties in the acquisition phase of the Program. For this, ANCAP could request Searcher the documents and technical information about the Program prior to its start, during and alter the acquisition phase has concluded.

Cooperará con Searcher en la difusión del Programa,  incluyendo información general del mismo en las actividades y materiales de promoción de la exploración de hidrocarburos en Uruguay, e informando a Searcher de todas las consultas y solicitudes relacionadas con el Programa que reciba durante dicha promoción.

Will cooperate with Searcher in the dissemination of the Program; including general information of it in the activities and promotional materials for hydrocarbon exploration in Uruguay and informing Searcher of all queries and requests related to the Program received during such promotion.

Participará en el diseño y la revisión del Programa propuesto, junto al personal de Searcher.

Will participate during the design and review of the proposed Program, in conjunction with Searcher personnel.

Pondrá a disposición a dos de sus empleados para visitar las instalaciones de Searcher, durante aproximadamente una semana, para hacer un seguimiento del avance y condiciones de la ejecución del Programa.

Will make available two of its staff to visit Searcher facilities, for one week approximately, to monitor the progress and conditions in the execution of the Program.
   
 

  

  

   
 

  
Los gastos incurridos durante esta visita serán responsabilidad de Searcher, excepto el traslado, alojamiento y los gastos de manutención de los empleados o representantes de ANCAP, que serán cubiertos por ANCAP.
  
All costs incurred during this visit will be responsibility of Searcher, except for travel, accommodation and living expense costs incurred by ANCAP's employees or representatives, which will be borne by ANCAP.

5.7.
  
En caso de asegurar suficiente financiamiento de la industria, conducirá todas las operaciones y actividades necesarias para ejecutar el Programa dentro de los plazos estipulados y establecidos en la Cláusula Octava, de acuerdo con las especificaciones técnicas descritas en el Anexo 4. Searcher comenzará el Programa sólo en caso de tener asegurada la prefinanciación del mismo, o si Searcher está dispuesta a ejecutar el Programa a su propio riesgo financiero.
  
5.7.
  
Upon sufficient underwriting from the industry, shall conduct all operations necessary to implement the Program within the stipulated deadlines set out in the Eighth Clause, according to the technical specifications described in the Annex 4. Searcher shall only commence the Program in the event that sufficient underwriting is assured, or if Searcher is prepared to execute the Program at its own financial risk.

Will request and gather itself, or through its subcontractors, if applicable, the necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing authorities and any other governmental entities with jurisdiction regarding the areas where the Program is to be carried out and concerning to the operations involved thereof, this being a condition for the beginning of the Program. Within the framework of the environmental authorization request for the Program described in Annex 1, Searcher must provide ANCAP a copy of all the documents submitted to the Ministry of Environment, including: project Communication, Environmental Impact Study, Responses to Requests for Complementary Information,  Summary Environmental Report and Environmental Management Plan and all environmental management reports during the execution and closure of the Program. Likewise, will inform ANCAP periodically of the progress of this procedure and of the resolutions issued by the Ministry of Environment in relation to the Program.

Searcher asume la plena responsabilidad por los resultados de las actividades incluidas en el Programa, y por este medio se compromete a indemnizar y mantener indemne por cualquier demanda, causa de acción, daños o cualquier otra responsabilidad que surja de tales actividades a ANCAP y al Estado Uruguayo; considerando, sin embargo, que Searcher no otorga garantías, expresas o implícitas, ni garantiza los resultados del uso ni del desempeño del Producto.

Searcher assumes full responsibility for the results of the activities included in the Program, and hereby agrees to indemnify and hold harmless from any claim, cause of action, damages or any other liabilities arising out of the activities to ANCAP and the Uruguayan State; considering, however, that Searcher makes no warranties, express or implied, nor guarantees the results of the use nor the performance of the Product.

The staff of Searcher shall exercise good judgment under the prevailing conditions according to their knowledge and understanding. Any recommendation, interpretation, opinion or report from Searcher or its employees is based upon judgments regarding conditions, inferences and the assumptions that are subject to error, and with respect to which similarly situated analysts may differ. Consequently, Searcher cannot and does not represent, warrant or guarantee the results, precision or accuracy of any such  recommendations, interpretations or opinions arising from the Product.

Any action taken by ANCAP based on any of the results of the Program will be at its own risk. Searcher no asume responsabilidad alguna de ningún tipo por el uso del Producto.

Under no circumstances shall Searcher be liable to ANCAP for punitive, indirect, special, incidental or consequential damages, including without limitation, damages for loss of production, loss of revenue, loss of product, loss of profits, loss of business or business interruptions, exemplary or punitive, consequential or arising from the use of the Product; and Searcher expressly agrees not to make guarantees neither general or specific, explicit or implied, relating to the accuracy, usefulness and quality of the Product nor its fitness for any particular purpose. Searcher guarantees that the medium on which the Product shall be delivered will be free from defects and that the Product will be duly recorded on said medium. Searcher determines the "License Fees" of the Product. El cronograma de trabajo en el Anexo 1 deberá suspenderse en caso de que ocurra una Causa Extraña No Imputable a ANCAP o Searcher. Para los efectos del presente Contrato, Causa Extraña No Imputable se entenderá como cualquier hecho, evento o cualquier otra causa fuera del control de ANCAP o Searcher y que ninguna de las Partes sea capaz de superar mediante el ejercicio de esfuerzos razonables; ya sea que impida, total o parcialmente la ejecución de cualquier obligación de cualquiera de las Partes incluyendo a vía ilustrativa pero no limitativa: eventos de la naturaleza, incendio, huracán, pandemias, inundación, explosión, derrumbe de estructuras, disturbios civiles, motines, guerra o disturbios similares, huelgas, conflictos laborales más allá del control de las Partes, actos, restricciones por parte de los organismos gubernamentales o militares (incluidos los tribunales o autoridades de jurisdicción  competente), o la imposibilidad de disposición de los medios técnicos o permisos necesarios para cumplir con el objeto del Contrato. La demora o incumplimiento de las obligaciones serán excusados durante el tiempo y en la medida que dicha demora o incumplimiento sea ocasionado por Causa Extraña No Imputable a ANCAP o Searcher.

The work schedule in Annex 1 shall be discontinued in case a Cause or Causes Beyond the Control of ANCAP or Searcher occur. For the purposes of this Contract, Cause or Causes Beyond the Control of ANCAP or Searcher shall mean any fact, event or any other cause beyond the control of ANCAP or Searcher that either Party is able to overcome by the exercise of reasonable efforts; whether to prevent totally or partially the execution of any obligation of either Party including but not limited to: natural events, fire, hurricane, pandemics, flood, explosion, structural collapse, civil unrest, riots, war or similar riots, strikes, labor disputes beyond the control of the Parties, events, restrictions by the government or military agencies (including courts or appropriate authorities jurisdiction), or the impossibilities to dispose of the technical means or necessary permits to fulfill the purpose of the Contract. The delay or non-fulfillment of the obligations shall be excused as long as and to the extent that such delay or nonperformance is caused by Cause or Causes Beyond the Control of ANCAP or Searcher.

Searcher tendrá el derecho a rescindir el Contrato y no proceder con el Programa si no asegura suficiente financiación para su comienzo. Searcher shall have the right to terminate the Contract and not proceed with the Program if there is insufficient funding to start. Such termination of the Contract will not cause damage or injury of any kind to any Party as such, neither Party shall be obliged to pay compensation of any kind, nor be subject to any obligation by reason of this Contract.

Una Parte podrá denunciar el presente Contrato, si la otra Parte se encuentra en mora. Para que una Parte sea considerada en incumplimiento, la otra Parte deberá notificarla de la presente omisión por escrito, especificando con detalle las circunstancias del incumplimiento. La Parte en incumplimiento contará con un plazo de 10 días a partir de y después de la recepción de dicha notificación para rectificar la falta, so pena de que el presente Contrato se dé por terminado.

A Party may terminate this Contract if the other Party is in default. For a Party to be considered in default, the other Party shall notify the formal of the default in writing, specifying in detail the circumstances of the breach. The Party in default shall have a period of 10 days from receipt of said notice to rectify the fault. Except as expressly and specifically defined in this Contract, all notices and communications shall be in writing and shall be deemed sufficient for all purposes if they are sent by registered letter via courier (i.e. FedEx, DHL or similar) to the recipient's address as set forth below, or by email to the address of the recipient established below. The notification of the receiving Party shall be valid immediately upon receipt of the notice of communication. La importancia potencial del play Cretácico en el margen pasivo uruguayo se ha demostrado recientemente con los pozos perforados en 2022 en la Cuenca Orange en Namibia. El pozo Venus-1, tuvo como objetivos arenosos de fondo de cuenca que se apoyan sobre lutitas marinas Aptianas depositadas en condiciones restrictas, y que yacen sobre la corteza oceánica en el play estructural y estratigráfico de "buzamiento contra-regional". El pozo Venus-1 encontró 84 m de zona productiva neta en dos reservorios de "sistema mixto" ricos en arenas y apilados, en un yacimiento con un área mapeada de 2700 km2. La calidad del reservorio se describe como "buena, mejor de lo previsto". Las arenas gruesas y la calidad de las arenas hasta ahora han sorprendido a algunos observadores. The potential importance of the Cretaceous play on the Uruguayan Passive margin has very recently been illustrated by wells drilled in 2022 in the conjugate Orange Basin of Namibia. The Venus-1 well, targeted Aptian basin floor sand rich fans deposited on top of restricted marine Aptian mudstone lying over Oceanic Crust in a "counter¬regional dip" structural and stratigraphic play. Venus-1 well found 84m of net pay in two sand rich stacked "mixed system" reservoirs, in a pool with a mapped area of 2700 sqkm. Reservoir quality is described as "good - better than predicted". The thick sands and the quality of the sands so far out has surprised some observers. However, the water depth in the restricted marine basin where the Aptian source and reservoir was deposited is likely not to have been great (<200m), and sands were brought to the basin by fluvial systems running to deltas at the edge of the Aptian basin.

The significance of this result is that this play is exactly the same play as has been described on the Uruguayan conjugate margin in various publications. Deepwater counter regional dip fan and channel plays sit on top of thick, generative (type IV AVO) Aptian source rocks. The analogue to Venus-1 discovery is therefore the play being targeted by this proposed Searcher 3D acquisition.

The only potentially relevant well on the Latin American passive Atlantic margin was the Raya-1 well in Uruguay. However, located in deepwater, this well only tested a DH I (Direct Hydrocarbon Indicator) in the Tertiary, and whilst it did find clastic reservoir, it did not test the underlying Cretaceous.

A carpet of existing 3D's is found just inboard of the proposed operational area. The Searcher data will be acquired to allow merging - or joint processing of these datasets. This proposal would allow Searcher to acquire Multiclient 3D data to support the exploration activities of any potential future license holder that would target the Cretaceous plays in deepwater.
