   VISTO: la gesti�n realizada por la Administraci�n Nacional de Combustibles Alcohol y Portland (ANCAP) solicitando la autorizaci�n del Poder Ejecutivo para la contrataci�n directa con la empresa CGG Services UK Limited (en adelante "CGG");

   RESULTANDO: I) que por el Decreto N� 111/019, de 29 de abril de 2019, el Poder Ejecutivo aprob� el "R�gimen para la Presentaci�n de Ofertas para la Selecci�n de Empresas de Operaciones Petroleras para la Exploraci�n y Explotaci�n de Hidrocarburos en la Rep�blica Oriental del Uruguay", denominado Ronda Uruguay Abierta (RUA);

   II) que ANCAP est� llevando adelante proyectos para la promoci�n de la exploraci�n de hidrocarburos costa afuera (off shore) del Uruguay en el marco del nuevo Decreto;

   III) que CGG formaliz� a ANCAP su inter�s para la suscripci�n de un "Contrato para la realizaci�n del reprocesamiento no exclusivo de datos s�smicos 3D adquiridos costa afuera de Uruguay que integran la base de datos de ANCAP, bajo la modalidad de contrato multicliente;

   IV) que desde el a�o 2011, CGG ha trabajado conjuntamente con ANCAP en dos estudios geol�gicos enfocados en el potencial petrolero del offshore de Uruguay, que generaron nuevos datos anal�ticos, los cuales son propiedad de ANCAP, y que est�n disponibles para futuros proyectos de promoci�n e investigaci�n;

   V) que el presente estudio de reprocesamiento de datos es sin derechos exclusivos para CGG y no implica gastos para ANCAP;

   VI) que seg�n lo dispuesto en el Decreto-Ley N� 15.242 (C�digo de Miner�a), de 8 de enero de 1982, en la redacci�n dada por la Ley N� 18.813, de 23 de setiembre de 2011, ANCAP es el ente competente para ejecutar todas las actividades, negocios y operaciones de la industria de hidrocarburos, no obstante lo cual le compete al Poder Ejecutivo el otorgamiento de la autorizaci�n para una contrataci�n directa en esta materia;

   CONSIDERANDO: I) que ANCAP entiende conveniente la suscripci�n de un contrato multicliente con CGG para la realizaci�n de un reprocesamiento de un m�nimo de 100 km2 de datos de s�smica 3D en la Fase de Estudio y un m�ximo de aproximadamente 22.500 Km2 de datos de s�smica 3D en la Fase de Reprocesamiento Comercial, datos que integran la base de datos de ANCAP;

   II) que la empresa CGG tiene un vasto conjunto de productos geol�gicos multicliente que cubren virtualmente todas las disciplinas de la geolog�a y las geociencias, las mismas incluyen un legado de m�s de cincuenta a�os de reportes geol�gicos regionales de Robertson, al que se suman los nuevos estudios enfocados a encarar los desaf�os exploratorios emergentes en la actualidad;

   III) que CGG ha desarrollado el modelo de negocios multicliente basado en nuevas tecnolog�as e im�genes de alta gama para maximizar el valor de los datos s�smicos, lo que ha acelerado la base de conocimientos y el fomento de las actividades exploratorias;

   IV) que CGG asumir� todos los costos asociados con el objeto del contrato, por lo que no implica gastos para ANCAP;

   V) que no se otorga ning�n derecho sobre petr�leo y/o gas, u otros minerales, ni se autoriza cualquier otra actividad de exploraci�n a CGG o a una tercera parte, y que el licenciamiento no significa ning�n derecho ni obligaci�n para cualquier empresa que adquiera una licencia del mismo;

   VI) que, trat�ndose de actividad minera, ANCAP negoci� con CGG los t�rminos y condiciones particulares del contrato a suscribirse, tomando como base los contratos multiclientes recientemente aprobados por el Poder Ejecutivo, tal como luce en el Contrato que se adjunta y forma parte de la presente;

   VII) que la Direcci�n Nacional de Energ�a, y la Asesor�a Jur�dica del Ministerio de Industria, Energ�a y Miner�a, informan que no existe observaci�n alguna a formular y por lo tanto recomiendan otorgar la autorizaci�n para la contrataci�n directa con CGG;

   ATENTO: a lo expuesto y a lo dispuesto en el art�culo 5 del Decreto-Ley N� 14.181, de 29 de marzo de 1974 y art�culos 66 y siguientes del Decreto-Ley N�15.242, de 8 de enero de 1982, en la redacci�n dada por la Ley N� 18.813, de 23 de setiembre de 2011;

                      EL PRESIDENTE DE LA REP�BLICA

                                RESUELVE:

   Autor�zase a la Administraci�n Nacional de Combustibles Alcohol y Portland (ANCAP) a la contrataci�n directa con la empresa CGG Services UK Limited para la realizaci�n del reprocesamiento no exclusivo de datos s�smicos 3D, adquiridos costa afuera (off shore) de Uruguay que integran la base de datos de ANCAP, bajo la modalidad multicliente.

   Apru�base los t�rminos del Contrato a suscribirse entre la Administraci�n Nacional de Combustibles Alcohol y Portland y CGG Services UK Limited, que luce adjunto a la presente Resoluci�n y forma parte de la misma.

THE ONE PART: CGG Services (UK) Limited, a company incorporated in Crompton Way, Manor Royal Estate, Crawley, RH10 9QN, United Kingdom, with head office at Crompton Way, Manor Royal Estate, Crawley, RH10 9QN, United Kingdom ("CGG") and represented by Thomas Obidairo in his capacity as Director and VP MCNV EAME of CGG;

POR OTRA PARTE: Administraci�n Nacional de Combustibles, Alcohol y P�rtland, persona p�blica-* estatal, ente industrial y comercial del Estado Uruguayo con oficinas centrales en Paysand� s/n y Av. Libertador Brig. Gral. Lavalleja, C.P. 11100, Montevideo, Uruguay ("ANCAP") representada en este acto por XXX en su calidad respectiva de XXX.

CONSIDERANDO QUE:

WHEREAS:

I.
CGG cuyas actividades comerciales incluyen, pero no se limitan a adquisici�n y servicios de procesado de data s�smica para la industria del petr�leo en todo el mundo, en particular la investigaci�n y preparaci�n de estudios, datos e interpretaciones de geolog�a petrolera no exclusivos; y

I.
CGG, whose business activities include but are not limited to seismic data acquisition and data processing services to the petroleum industry world-wide, in particular the research and preparation of non-exclusive petroleum geological studies, data and interpretations; and

II.
ANCAP, empresa petrolera estatal del Uruguay, con competencia para promover y facilitar la exploraci�n de hidrocarburos en Uruguay; y

II.
ANCAP, as the National Oil Company of Uruguay, with competence in the promotion and facilitation of the exploration of hydrocarbons in Uruguay; and

III.
CGG y ANCAP desean cooperar conjuntamente para la realizaci�n del reprocesamiento no exclusivo de datos s�smicos 3D (los "Datos") existente en el offshore de Uruguay (el "Proyecto").

CGG and ANCAP wish to jointly cooperate for the execution of the non-exclusive reprocessing of existing 3D seismic data (the "Data") offshore Uruguay (the "Project").

IV.
ANCAP declara y garantiza a CGG que tiene plena autoridad y potestad para otorgar los derechos tal como se definen en el presente Contrato.

ANCAP represents and warrants to CGG that it has full authority and power to grant the rights as defined in this Contract.

Cl�usula Primera - Objeto

First Clause - Purpose

1.1.
Este Contrato establecer� y regir� la naturaleza y el alcance de la relaci�n comercial entre las Partes en la elaboraci�n de un estudio no exclusivo para el Proyecto.

1.1.
This Contract shall set up and govern the nature and scope of the business relationship between the Parties in elaborating a non-exclusive study for the Project.

1.2.
ANCAP declara que en el marco del presente Contrato no se otorga ning�n derecho sobre el petr�leo y/o gas, u otros minerales, ni se autoriza cualquier otra actividad de exploraci�n a alg�n individuo, a CGG o a una tercera parte.

1.2.
ANCAP states that the framework of this Contract does not grant any rights to the oil, gas, or other minerals, nor does it authorize any other exploration activity to any individual, CGG or third party.

1.3.
CGG tendr� el derecho no exclusivo de reprocesar y realizar estudios relacionados sobre los Datos, a su propio costo y riesgo como se define y acuerda en el Anexo 1 (el "Programa") con las especificaciones t�cnicas que se describen en dicho Anexo, y

1.3.
CGG shall have the non-exclusive right to reprocess and perform related studies with the Data, at their own expense and risk as defined and agreed in Annex 1 (the "Program") with the technical specifications described in such Annex, and,

1.4.
CGG tendr� el derecho exclusivo de realizar la comercializaci�n y otorgar licencias de uso a terceras partes del Producto. Se define como "Producto" todos los Datos procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc. generados en cualquier fase del Programa, as� como el producto final elaborados en cumplimiento de este Programa, como se detalla en el Anexo 2, sean licenciados a terceros o no.

1.4.
CGG shall have the exclusive right to market/commercialize and grant licenses for the use to third parties of the Product. "Product" is defined as all the processed and/or reprocessed Data, intermediate products, additional products, reports, etc. generated in any phase of the Program, as well as the final product elaborated in compliance with this Program, as detailed in Annex 2, whether they are licensed to third parties or not.

1.5.
Por otra parte, ANCAP y CGG acuerdan la "Participaci�n en los Ingresos" por concepto de los ingresos recibidos del licenciamiento del Producto a terceros, incluyendo todos los productos que eventualmente se puedan agregar durante la vigencia del presente Contrato, seg�n lo establecido en los Anexos 1 y 2.

1.5.
Furthermore, ANCAP and CGG agree to the "Income Participation" according to the income received from the licensing of the Product to third parties, including any products which might be added during the term of this Contract, as set out in Annexes 1 and 2.

1.6.
Cualquier an�lisis o interpretaci�n adicional de los Datos durante la vigencia de este Contrato, que no est�n contenidos en el Anexo 1, ser� resultado de com�n acuerdo entre ANCAP y CGG.

1.6.
Any further analysis or additional interpretation of the Data during the term of this Contract, which are not included in Annex 1, shall be agreed between ANCAP and CGG.

1.7.
CGG podr�, de com�n acuerdo con ANCAP, licenciar otros datos procesados y/o reprocesados, productos intermedios, productos adicionales, reportes, etc., no incluidos en el Anexo 2. A todos los efectos, estos nuevos productos ser�n considerados como Producto.

1.7.
CGG may, in accordance with ANCAP, grant licenses of other processed and/or reprocessed data, intermediate products, additional products, reports, etc. not included in the Annex 2. To all effects, these new products shall be considered as Product.

1.8.
A los efectos del otorgamiento de licencias de uso del Producto a terceras partes, CGG usar� modelos de licenciamiento est�ndares de la industria, en idioma ingl�s, lo que ANCAP declara conocer y aceptar.

1.8.
For the effects of granting a license to use the Product to third parties CGG will use industry standard licensing models in the English language, which ANCAP acknowledges and accepts.

1.9.
El Producto podr� ser utilizado como referencia t�cnica y estudio independiente para la evaluaci�n de �reas de exploraci�n-explotaci�n de hidrocarburos onshore y offshore del Uruguay, sin que esto signifique ning�n derecho ni obligaci�n para cualquier empresa que adquiera una licencia del Producto.

1.9.
The Product might be used as technical reference and independent study to support the assessment of exploration and exploitation of hydrocarbon areas in the Uruguayan onshore and offshore, without this meaning any right or obligation for any company licensing the Product.

Cl�usula Segunda - Propiedad de los Datos y el Producto

Second Clause - Data and Product Ownership

2.1.
ANCAP es propietaria de los Datos y ser� propietaria del Producto generado. Asimismo, el t�tulo, la propiedad y el copyright del Producto reside �nicamente en ANCAP, sin perjuicio de que por este Contrato le proporciona a CGG los derechos exclusivos para otorgar las licencias de uso del Producto a terceras partes.

2.1.
ANCAP owns the Data and will own the generated Product. Likewise, title, ownership and copyright for the Product reside only in ANCAP, notwithstanding that ANCAP through this Contract provides to CGG the exclusive right to grant licenses for the use of the Product to third parties.

2.2.
ANCAP tendr� acceso completo e ilimitado al Producto tras su finalizaci�n.

2.2.
ANCAP will have full and unlimited access to Product upon completion.

2.3.
ANCAP recibir� una copia del Producto, dentro de los tres (3) meses posteriores a la finalizaci�n de la correspondiente fase del Programa, seg�n lo establecido en el Anexo 1.

2.3.
ANCAP shall receive a copy of the Product, within three (3) months after the completion of the corresponding phase of the Program, as it is stated in Annex 1.

2.4.
El Producto se suministrar� en un formato est�ndar.

2.4.
The Product will be provided in a standard format.

2.5.
ANCAP tendr� el derecho de usar el Producto, incluyendo mapas y gr�ficos, en trabajos cient�ficos y t�cnicos a ser publicados con la autorizaci�n previa por escrito de CGG.

2.5.
ANCAP shall have the right to use the Product, including maps and graphics, in scientific and technical articles to be published with the prior written authorization of CGG.

2.6.
ANCAP no podr� comercializar, entregar u otorgar licencias del Producto a ning�n tercero durante la vigencia del Contrato otorgado a CGG.

2.6.
ANCAP may not commercialize, supply or license the Product to any third party for the duration of the Contract rights granted to CGG.

2.7.
ANCAP tendr� el derecho de volver a procesar y reinterpretar los Datos con cualquier empresa de servicios, cumpliendo con el acuerdo de confidencialidad establecido en la Cl�usula 3� de este Acuerdo.

2.7.
ANCAP will have the right to re-process and reinterpret the data with any service company, complying with the confidentiality agreement established in the Third Clause of this Agreement.

Cl�usula Tercera - Confidencialidad

Third Clause - Confidentiality

3.1.
CGG y ANCAP garantizan que mantendr�n y har�n que su personal, directores, agentes, consultores, asesores y colaboradores en general, mantengan la estricta confidencialidad del Producto.

3.1.
CGG and ANCAP guarantee that they will maintain and ensure that their staff, directors, agents, consultants, advisors and collaborators in general, maintain confidentiality of the Product.

3.2.
Todos los Datos e informaci�n proporcionados por ANCAP para ser utilizados en el Programa se mantendr�n bajo estricta confidencialidad por parte de CGG y no ser�n copiados ni utilizados para prop�sito alguno ajeno al Programa.

3.2.
All Data and information provided by ANCAP to be used in the Program will be kept strictly confidential by CGG and will not be copied or used for any purpose other than the Program.

3.3.
A menos que se acuerde lo contrario, por escrito, entre ANCAP y CGG, toda la informaci�n derivada del Programa, incluyendo el Producto, deber�n mantenerse confidenciales entre las Partes y no ser�n divulgadas a ninguna persona, firma, corporaci�n, o cualquier otra entidad.

3.3.
Unless otherwise agreed in writing between ANCAP and CGG, all information derived from the Program, including the Product, must stay confidential between the Parties and will not be divulged to any other person, firm, corporation or any other entity.

3.4.
Estas obligaciones no ser�n aplicables en las situaciones siguientes:

These obligations shall not apply in the following situations:

3.4.1.
Cuando la informaci�n recibida haya ingresado al dominio p�blico, sin que ANCAP o CGG, o alguien de su personal, directores, agentes, consultores, asesores o colaboradores en general haya sido responsable de ello y dicha informaci�n no haya ingresado al dominio p�blico como consecuencia de un incumplimiento de la licencia con CGG por parte de un comprador o Licenciatario;

3.4.1.
When the information received has entered the public domain without ANCAP or CGG or any of their staff, directors, agents, consultants, advisors or collaborators in general being responsible for the disclosure and said information has not entered the public domain as a consequence of the breach of a CGG license by a buyer or licensee;

3.4.2.
Si la informaci�n es solicitada por el Ministerio de Industria, Energ�a y Miner�a, a trav�s del cual el Poder Ejecutivo ejerce la tutela administrativa de ANCAP, o solicitada por alg�n otro organismo gubernamental o jurisdiccional, o alguna Bolsa de Valores;

3.4.2.
If the information is requested by the Ministry of Industry, Energy and Mining, through which the Executive Branch exercises administrative supervision of ANCAP, or is requested by some other agency, governmental or judicial, or any Stock Exchange;

3.4.3.
Si CGG p�blica extractos seleccionados del Producto con el fin de generar ventas, estos extractos seleccionados (im�genes id�nticas) pueden ser divulgados por ANCAP;

3.4.3.
If CGG publishes selected extracts from the Product in order to generate sales, these selected extracts (identical images) may also be disclosed by ANCAP;

3.4.4.
Si CGG hace presentaciones del Producto a posibles compradores;

3.4.4.
If CGG makes presentations of the Product to potential buyers;

3.4.5.
Cuando CGG haya suscrito un contrato de licencia con un comprador.

3.4.5.
When CGG has signed a license Contract with a licensee.

3.4.6.
ANCAP podr� ocasionalmente divulgar algunos extractos del Producto solamente a compa��as petroleras que se muestren interesadas en adquirir una licencia de uso del Producto, siempre que sea en las oficinas de ANCAP, en la presencia de personal de ANCAP y por per�odos de tiempo limitado. ANCAP no permitir� que estas compa��as efect�en anotaciones o trabajen con el Producto para confirmar un prospecto o efectuar interpretaciones. ANCAP no permitir� que las compa��as petroleras obtengan copias del Producto ni porciones de estos, salvo en los casos previstos en los numerales 3.4.6.1 y 3.4.6.2, asimismo, no permitir� que el Producto sea removido de sus oficinas. ANCAP podr� usar el Producto para promover la exploraci�n de hidrocarburos en Uruguay en art�culos publicitarios y conferencias de promoci�n utilizando para ellos im�genes est�ticas ("Imagen") y sujetos a las siguientes restricciones:

3.4.6.
ANCAP may occasionally disclose some excerpts of the Product only to oil companies interested in acquiring a license to use the Product, only in the offices of ANCAP, in the presence of ANCAP personnel and for limited periods of time. ANCAP will not allow these companies to make notes or work with the Product to confirm a prospect nor to make interpretations. ANCAP will not allow oil companies to obtain copies of the Product nor portions thereof, except in the cases prescribed in sections 3.4.6.1 and 3.4.6.2, and neither will ANCAP allow third parties to remove the Product from their offices. ANCAP may use the Product to promote hydrocarbon exploration in Uruguay in advertising articles and promotion conferences using static images ("Image") subject to the following restrictions:

3.4.6.1.
Cada Imagen debe contener la siguiente nota: "Dato cortes�a de CGG".

3.4.6.1.
Each Image must contain the following note: "Data courtesy of CGG".

3.4.6.2.
Si las Im�genes son utilizadas en una publicaci�n, una copia del art�culo o presentaci�n debe ser previamente aprobada por CGG antes de ser publicada.

3.4.6.2.
If the Images are used in a publication, a copy of the article or presentation must be previously approved by CGG before being published.

Cl�usula Cuarta - Custodia y uso de los Datos y del Producto

Clause Fourth - Custody and Use of Data and the Product

4.1.
La copia de Datos crudos suministrados por ANCAP a CGG, los Datos procesados o reprocesados, los productos intermedios, los productos adicionales, reportes, etc. y el Producto ser�n mantenidos y estar�n bajo custodia de CGG, en sus oficinas, durante la vigencia del presente Contrato.

4.1.
The copy of the raw Data provided by ANCAP to CGG, the processed and reprocessed Data, the intermediate products, the additional products, reports, etc. and the Product will be maintained under the custody of CGG, in their offices, throughout the term of this Contract.

4.2.
Al terminar este Contrato, el Producto ser� transferido a ANCAP; sin embargo, CGG podr� conservar una copia del Producto hasta el momento en que todas las licencias de uso vendidas con anterioridad hayan caducado, en el entendido de que CGG s�lo utilizar� dichas copias para ayudar a los compradores con preguntas y/o problemas encontrados con el Producto proporcionado previamente.

4.2.
Upon termination of this Contract, the Product will be transferred to ANCAP; however, CGG may retain a copy of the Product until the moment when all granted data use licenses have expired, on the understanding that CGG will only use these copies to assist licensees in response to questions and/or problems encountered with the Product.

4.3.
Al vencimiento o terminaci�n de dichas licencias, CGG destruir� cualquier copia de los Datos crudos y del Producto en su poder en ese momento, debiendo presentar a ANCAP una Declaraci�n donde manifiesta que ha cumplido con esta obligaci�n.

4.3.
Upon expiration or termination of said licenses, CGG will destroy all copies of the raw Data and the Product in its possession and submit to ANCAP a Declaration stating that it has complied with this obligation.

Cl�usula Quinta - Roles y responsabilidades en la ejecuci�n del Programa

Fifth Clause - Roles and responsibilities in implementing the Program

ANCAP:

5.1
Proporcionar� a CGG los Datos e informaci�n necesarios para cada Fase del Programa, sin perjuicio de cualquier informaci�n adicional que ANCAP desee facilitar, en tanto no contravenga otros acuerdos y compromisos de confidencialidad.

5.1
Will provide CGG with the necessary Data and information for each Phase of the Program, notwithstanding any additional information that ANCAP may wish to contribute, insofar as it does not contravene any previous agreements and confidentiality commitments.

5.2.
Cooperar� con CGG, si es aplicable, en la gesti�n de los permisos necesarios con los eventuales titulares de contratos de exploraci�n y explotaci�n de hidrocarburos en las �reas donde se desarrollar� el Programa.

5.2.
Will cooperate with CGG, if applicable, in the processing of necessary permits with the eventual hydrocarbon exploration and exploitation contract holders in the areas where the Program is to be developed.

5.3.
Cooperar� con CGG o sus subcontratistas, si es aplicable y dentro de la esfera de su competencia, para la gesti�n de las autorizaciones necesarias por parte de las entidades laborales, aduaneras, migratorias, ambientales, mar�timas, pesqueras y cualesquier otras entidades gubernamentales con jurisdicci�n respecto a las �reas donde se llevar� a cabo el Programa y concernientes a las operaciones involucradas en el mismo, as� como para la coordinaci�n y comunicaci�n en la fase de adquisici�n del Programa, con dichas entidades y otras partes interesadas. Para ello, ANCAP podr�a solicitar a CGG la documentaci�n e informaci�n t�cnica acerca del Programa previamente a su inicio, durante y despu�s de que haya concluido la adquisici�n.

5.3.
Will cooperate with CGG or its sub-contractors, if applicable and within its competences, for the processing of necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing entities and other governmental entities with jurisdiction regarding the areas where the program is to be carried out and concerning the operations involved thereof, as well as the coordination and communication with such entities and other interested parties in the acquisition phase of the Program. For this, ANCAP could request the disclosure, by CGG, of the documents and the technical information about the Program prior to its start, during and after the acquisition phase has been concluded.

5.4.
Cooperar� con CGG en la difusi�n del Proyecto, incluyendo informaci�n general del mismo en las actividades y materiales de promoci�n de la exploraci�n de hidrocarburos en Uruguay, e informando a CGG de todas las consultas y solicitudes relacionadas con el Proyecto que reciba durante dicha promoci�n.

5.4.
Will cooperate with CGG in the dissemination of the Project; including general information about it in the activities and promotional materials for hydrocarbon exploration in Uruguay and informing CGG of all queries and requests related to the Project received during such promotion.

5.5.
Participar� en el dise�o y la revisi�n del Programa propuesto, junto al personal de CGG.

Will participate in the design and review of the proposed Program, in conjunction with CGG personnel.

5.6.
Pondr� a disposici�n a dos de sus empleados para visitar las instalaciones de CGG en Houston, Texas, EEUU, durante aproximadamente una semana, para hacer un seguimiento del avance y condiciones de la ejecuci�n del Programa.

5.6.
Will make available two of its staff to visit CGG facilities in Houston, TX, US, for one week approximately, to monitor the progress and conditions of the execution of the Program.

CGG conducir� el Programa en tres Fases: Estudio, Piloto y Reprocesamiento Comercial. CGG se compromete como m�nimo a realizar la Fase de Estudio con la sola firma del contrato.

CGG will carry out the Program in three Phases: Scouting, Pilot and Commercial Reprocessing. CGG commits to carry out as a minimum the Scouting phase with the sole signing of the contract.

5.8.
En caso de asegurar suficiente financiamiento de la industria, o si CGG est� dispuesta a ejecutar la Fase Piloto del Programa a su propio riesgo financiero, conducir� todas las operaciones y actividades necesarias para ejecutar esta fase del Programa dentro de los plazos estipulados y establecidos en la Cl�usula Octava, de acuerdo con las especificaciones t�cnicas descritas en el Anexo 1. CGG s�lo solicitar� los Datos requeridos para realizar esta fase a ANCAP en caso de que CGG decida pasar a la Fase Piloto del Programa.

5.8.
Upon sufficient underwriting from the industry, or if CGG is willing to execute the Pilot Phase of the Program at its own financial risk, CGG shall conduct all operations and activities necessary to the implementation of this phase of the Program within the stipulated deadlines set out in the Eighth Clause, according to the technical specifications described in Annex 1. CGG will only request the Data required to carry out this phase from ANCAP in the event that CGG decides to proceed to the Pilot Phase of the Program.

5.9.
En caso de asegurar suficiente financiamiento de la industria, o si CGG est� dispuesta a ejecutar la Fase de Reprocesamiento comercial del Programa a su propio riesgo financiero, conducir� todas las operaciones y actividades necesarias para ejecutar esta fase del Programa dentro de los plazos estipulados y establecidos en la Cl�usula Octava, de acuerdo con las especificaciones t�cnicas descritas en el Anexo 1 ("Reprocesamiento Comercial"). CGG s�lo solicitar� los Datos requeridos para realizar esta fase a ANCAP en caso de que CGG decida pasar a la Fase de Reprocesamiento Comercial del Programa.

5.9.
Upon sufficient underwriting from the industry, or if CGG is willing to execute the Commercial Reprocessing Phase of the Program at its own financial risk, CGG shall conduct all operations and activities necessary to the implementation of this phase of the Program within the stipulated deadlines set out in the Eighth Clause, according to the technical specifications described in Annex 1 ("Commercial Reprocessing"). CGG will only request the Data required to carry out this phase from ANCAP in the event that CGG decides to proceed to the Commercial Reprocessing Phase of the Program.

5.10.
Proporcionar� a ANCAP una copia del Producto elaborado en cualquier Fase, con los plazos establecidos en la Cl�usula Octava.

Conservar� dos (2) copias del Producto para referencia futura, sujeto a lo previsto en la Cl�usula Cuarta.

Shall retain two (2) copies of the Product for future reference, subject to the provisions set out in the Fourth Clause.

5.12.
Permitir� y facilitar�, a su propio costo, las tareas de seguimiento del Programa por representantes de ANCAP y por representantes de otras autoridades nacionales, si fuese necesario. CGG no cubrir� el transporte, alojamiento y los gastos de manutenci�n de los representantes de ANCAP, ni el de los representantes de otras autoridades nacionales.

5.12.
Shall allow and facilitate, at its own cost, the monitoring of the Program by ANCAP representatives and, if necessary, representatives of other national authorities. CGG will not cover transportation, accommodation nor living expenses incurred by the representatives of ANCAP or other national authorities.

5.13.
Solicitar� y recabar� la autorizaci�n, si es aplicable, de los respectivos titulares de los contratos de exploraci�n y explotaci�n de hidrocarburos en las �reas donde se realizar� el Programa para la adquisici�n de Datos, dentro de las jurisdicciones de dichos contratos, siendo esto una condici�n para el inicio del Programa en estas �reas.

5.13.
Will request and gather the authorization, if applicable, from the hydrocarbon exploration and exploitation contracts holders in the areas where the Program for data acquisition will be carried out, inside the jurisdiction of such contracts, this being a condition for the beginning of the Program in such areas.

5.14.
Solicitar� y recabar� por s�, o a trav�s de sus subcontratistas, si es aplicable, las autorizaciones necesarias por parte de las entidades laborales, aduaneras, migratorias, ambientales, mar�timas, pesqueras y cualesquier otras entidades gubernamentales con jurisdicci�n respecto a las �reas donde se llevar� a cabo el Programa y concernientes a las operaciones involucradas en el mismo, siendo esto una condici�n para el inicio del Programa. CGG suministrar� a ANCAP la informaci�n y documentaci�n requeridas por cualquiera de estas autoridades o cualquier otra parte interesada, a fin de coordinar la fase de adquisici�n del Programa.

5.14.
Will request and gather by itself, or through its subcontractors, if applicable, the necessary authorizations from the labor, customs, migratory, environmental, maritime, fishing authorities and any other governmental entities with jurisdiction regarding the areas where the Program is to be carried out and concerning the operations involved thereof, this being a condition for the beginning of the Program. CGG will provide ANCAP with the information and documents required by any of these authorities or any other interested party, in order to coordinate the acquisition phase of the Program.

5.15.
Si es aplicable, elaborar� un Plan de Gesti�n Ambiental de las operaciones involucradas en el Programa, cuyo alcance estar� sujeto a los lineamientos vigentes de ANCAP, y que ser�n comunicados a CGG antes de la firma de este Contrato, y que contendr� como m�nimo lo siguiente:

If applicable, will prepare an Environmental Management Plan for the operations involved in the Program, the scope of which will be subject to the current ANCAP guidelines, and which will be communicated to CGG before the signing of this Contract, and which will contain at least the following:

5.17.
CGG y ANCAP trabajar�n para determinar un plan de capacitaci�n apropiado para dos (2) aprendices de la Gerencia de Exploraci�n y Producci�n de ANCAP, designados por ANCAP, a llevarse a cabo durante la ejecuci�n del Programa. Los gastos incurridos por el plan de capacitaci�n ser�n responsabilidad de CGG, excepto el traslado, alojamiento y los gastos de manutenci�n, generados fuera del Uruguay, de los aprendices de ANCAP. El programa de capacitaci�n tendr� una duraci�n m�xima de dos semanas.

5.17.
CGG and ANCAP will work together to determine an appropriate training plan for two (2) staff of ANCAP's Exploration and Production trainees, nominated by ANCAP, to be carried out during the execution of the Program. All costs incurred in executing the training program will be of CGG's responsibility, except for travel, accommodation and living expense costs incurred outside Uruguay by ANCAP's trainees. The training program will last a maximum of two weeks.

Cl�usula Sexta - Garant�as y limitaciones de responsabilidad

Sixth Clause - Warranties and disclaimers

6.1
CGG asume la plena responsabilidad por los servicios prestados con relaci�n con el Proyecto, y por este medio se compromete a indemnizar y mantener indemne por cualquier demanda, causa de acci�n, da�os o cualquier otra responsabilidad que surja de tales servicios prestados a ANCAP y al Estado Uruguayo; considerando, sin embargo, que CGG no otorga garant�as, expresas o impl�citas, ni garantiza los resultados del uso ni del desempe�o del Producto.

6.1.
CGG assumes full responsibility for the services provided in relation to the Project, and hereby agrees to indemnify and hold harmless from any claim, cause of action, damages or any other liabilities arising out of the provision of the services to ANCAP and the Uruguayan State; considering, however, that CGG makes no warranties, express or implied, nor guarantees the results of the use nor the performance of the Product.

El personal de CGG ejercer� su buen juicio en virtud de las condiciones prevalecientes seg�n su leal saber y entender. Cualquier recomendaci�n, interpretaci�n, opini�n o informe por parte de CGG o sus empleados estar�n basados en entendimientos en cuanto a las condiciones y en inferencias y suposiciones que est�n sujetas a error, y con respecto a las cuales, analistas situados de manera similar pueden diferir. En consecuencia, CGG no puede y de hecho no representa, garantiza ni asegura los resultados, precisi�n ni la exactitud de cualquiera de dichas recomendaciones, interpretaciones u opiniones que surjan del uso del Producto.

The staff of CGG shall exercise good judgment under the prevailing conditions according to their knowledge and understanding. Any recommendation, interpretation, opinion or report from CGG or its employees is based upon judgments regarding conditions, inferences and assumptions that are subject to error, and with respect to which similarly situated analysts may differ. Consequently, CGG cannot and does not represent, warrant or guarantee the results, precision or accuracy of any such recommendations, interpretations or opinions arising from the Product.

Cualquier acci�n tomada por ANCAP con base en cualquiera de los resultados del Proyecto ser� bajo su propia responsabilidad y su propio riesgo. CGG no asume ninguna responsabilidad y no otorga ninguna garant�a, incluyendo sin limitaci�n cualquier garant�a expresa o impl�cita de comerciabilidad, condici�n, durabilidad, dise�o, capacidad, facilidad de operaci�n, defectos, integridad, adecuaci�n, idoneidad para un prop�sito o uso particulares, utilidades, productividad, operaciones adecuadas ni sobre la rentabilidad, que surjan del uso del Producto.

Any action taken by ANCAP based on any of the results of the Project will be at its own risk. CGG assumes no liability and makes no guarantees, including, but not limited to, any express or implied warranties of merchantability, condition, durability, design, capacity, ease of operation, integrity, defects, completeness, suitability, fitness for a purpose or private use, productivity nor the profitability, that might arise from the use of any part of the Product.

6.2.
Bajo ning�n concepto CGG ser� responsable ante ANCAP con relaci�n a da�os punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin car�cter limitativo, los da�os por p�rdida de producci�n, p�rdida de ingresos, p�rdida de producto, lucro cesante, p�rdida de negocios o interrupciones de negocios, da�os ejemplares o punitivos, resultantes o emanados del uso del Producto; y CGG se compromete expresamente a no alegar garant�as generales ni espec�ficas, expresas o impl�citas, con relaci�n a la precisi�n, utilidad y calidad del Producto ni su idoneidad para cualquier uso o prop�sito en particular. CGG no asume responsabilidad alguna de ning�n tipo por el uso del Producto.

6.2.
Under no circumstances shall CGG be liable to ANCAP for punitive, indirect, special, incidental or consequential damages, including, but not limited to, damages for loss of production, loss of revenue, loss of product, loss of profits, loss of business or business interruptions, exemplary or punitive, consequential or arising from the use of the processed Data or the Product; and CGG expressly agrees not to make guarantees neither general or specific, explicit or implied, relating to the accuracy, usefulness and quality of the processed Data or the Product nor its fitness for any particular purpose. CGG does not assume any responsibility whatsoever for the use of the Product.

6.3.
Bajo ning�n concepto ANCAP y/o el Estado Uruguayo ser� responsable ante terceros con relaci�n a da�os punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin car�cter limitativo, los da�os por p�rdida de producci�n, p�rdida de ingresos, p�rdida de producto, lucro cesante, p�rdida de negocios o interrupciones de negocios, da�os ejemplares o punitivos, resultantes o emanados de la adquisici�n, procesamiento y todas las dem�s actividades incluidas en el Proyecto.

6.3.
Under no circumstances shall ANCAP and/or the Uruguayan State be liable to third parties for punitive, indirect, special, incidental nor consequential damages, including, but not limited to, damages for loss of production, loss of revenue, loss of product, loss of profits, loss or interruptions of business neither from exemplary, punitive, or consequential damages arising from the processing and any other activity included in the Project.

6.4.
El Producto ser� licenciado a terceras partes entendi�ndose y acord�ndose que CGG y ANCAP y/o el Estado Uruguayo no ser�n responsables de ninguna acci�n realizada ni gasto efectuado por terceros y sus grupos de exploraci�n resultantes del estudio, evaluaci�n, interpretaci�n o uso del Producto, y CGG se compromete a que las terceras partes exonerar�n, defender�n e indemnizar�n a CGG y a ANCAP y/o el Estado Uruguayo de y contra cualquier demanda o responsabilidad que de ellos emanara.

6.4.
The Product will be licensed to third parties under the understanding and agreement that CGG and ANCAP and/or the Uruguayan State shall not be liable for any actions undertaken nor expenditure incurred by third parties and their exploration groups as a result of the study, evaluation, interpretation or use of the Product, and CGG commits that the third parties will exempt, defend and indemnify CGG and ANCAP and/or the Uruguayan State from and against any claim or liability which may emanate from those third parties and their exploration groups.

6.5.
Sujeto a los l�mites establecidos en la presente cl�usula 6 y cualquier otra limitaci�n contenida en este documento, cada una de las Partes proteger�, defender� e indemnizar� y se mantendr� y mantendr� indemne, por el presente, la otra Parte, a sus ejecutivos, directores, agentes, empleados ante todo tipo de reclamos, demandas, causas de acci�n, costos, p�rdidas, da�os y perjuicios, gastos, incluidas las costas judiciales y los honorarios legales, juicios y fallos que surjan o se produzcan por actividades desarrolladas conforme a este Contrato, salvo que se deban a la negligencia grave de alguna de las Partes.

6.5.
Subject to the limits established in this Section 6 and any other limitations contained herein, each Party shall protect, defend and indemnify and hold the other Party, their officers, directors, agents, employees harmless from and against all claims, demands, causes of action, costs, losses, damages, expenses, including court costs and legal fees, suits and judgments suffered by the Party arising out of or resulting activities under this Contract, save as such shall be due to gross negligence by the other Party.

6.6.
CGG garantiza que los medios en los cuales se entregar� el Producto no tendr�n defectos y que el Producto estar� debidamente registrado en tales medios. En caso de que ANCAP identifique que los medios tienen alg�n defecto lo comunicar� de inmediato a CGG, quien reemplazar� dicho medio a la brevedad del caso.

6.6.
CGG guarantees that the media through which the Product shall be delivered will be free from defects and that the Product will be duly recorded on said media. In the event that ANCAP identifies that the medium has a defect, it shall immediately notify CGG, who will replace the medium promptly.

6.7.
CGG deber� tener adecuadamente transferidos los riesgos de sufrir y/o producir da�os o p�rdidas, que la actividad objeto del presente Contrato pudiere generar. CGG y sus Subcontratistas deber�n contratar todos los seguros obligatorios que correspondan, de acuerdo a la legislaci�n de Uruguay y se deber� incluir, siempre y cuando sea posible, a ANCAP como coasegurado y/o asegurado adicional.

6.7.
CGG must be adequately insured against the risks of suffering or causing damage or loss as a consequence of complying with this Contract. CGG and its Subcontractors must obtain all the corresponding compulsory insurance, required by Uruguayan legislation and shall include, wherever possible, ANCAP as co-insured and / or additional insured.

6.8.
Ninguna medida de transferencia de riesgos, por ejemplo: auto-seguro, fondo mutuo, utilizaci�n de cautiva, o contrataci�n de seguro, liberar� a CGG de sus responsabilidades. Aun contratando con seguros, la responsabilidad de CGG se mantendr� en todo momento o caso intacta.

6.8.
No measure of insurance such as self-insurance, mutual fund, captive use, or contract of insurance releases CGG from its responsibilities. Even when contracting insurance, the responsibility of CGG will be maintained at all times and in all cases intact.

Cl�usula S�ptima - Finanzas

Seventh Clause - Finances

7.1.
CGG asumir� todos los costos asociados con todas las fases del Proyecto y el riesgo de intentar recuperar tales costos mediante el otorgamiento de licencias de uso del Producto a terceros.

CGG will assume all costs associated with all phases of the Project as well as the risks incurred attempting to recover such costs by granting licenses of the Product to third parties.

CGG y ANCAP acuerdan la Participaci�n en los Ingresos por venta de licencias, de la siguiente forma:

El Costo nominal de la Fase de Estudio se establece como el costo unitario de quinientos d�lares americanos por kil�metro cuadrado de datos procesados (500 USD /km2) multiplicado por el n�mero total de kil�metros cuadrados procesados.

The nominal Cost of the Scouting Phase is set as the unit cost of five hundred US dollars per square kilometer of processed data (500 USD/km2) multiplied by the total number of square kilometers processed.

El "Costo Nominal del Programa" se establece como el costo unitario de mil d�lares americanos por kil�metro cuadrado de datos reprocesados (1000 USD /km2) multiplicado por el n�mero total de kil�metros cuadrados reprocesados. Este Costo Nominal del Programa s�lo aplicar� a las fases Piloto y de Reprocesamiento Comercial del Programa.

The "Nominal Program Cost" is set as the unit cost of one thousand US dollars per square kilometer of reprocessed data (1000 USD/km2 of reprocessed data) multiplied by the total number of square kilometers reprocessed. This Nominal Program Cost will apply to the Pilot and Commercial Reprocessing phases only.

El "Costo del Programa" se establece como el costo efectivamente incurrido por CGG para la realizaci�n de cualquiera de las Fases del Programa y aplica al reparto de Ingresos por venta de licencias presentado en la tabla precedente.

The "Program Cost" is set as the cost actually incurred by CGG to carry out any of the Phases of the Program and applies to the Income Participation established in the table above.

Antes de la finalizaci�n del Proyecto, se considerar� que se ha producido la recuperaci�n del Costo del Programa cuando los ingresos de CGG sean iguales a este Costo del Programa.

Prior to completion of the Project, the Program Cost recovery shall be deemed to have occurred when the CGG income equals the Program Cost.

Si tras la conclusi�n del Programa, se constata que el Costo del Programa var�a con respecto al Costo Nominal del Programa, CGG proporcionar� a ANCAP las pruebas documentales pertinentes y la justificaci�n de la desviaci�n. Las causas aceptables incluyen, entre otras, cambios en la cantidad real de datos s�smicos reprocesados o cambios en el tipo o la cantidad de reprocesamiento e im�genes requeridas. En cualquier caso, el Costo del Programa no podr� variar en m�s de � 10% del Costo Nominal del Programa.

If following completion of the Program, Program Cost is found to vary from the Nominal Program Cost, CGG shall provide ANCAP with relevant documentary evidence and rationale for the variance. Acceptable causes include, but are not limited to, changes in the actual amount of seismic data reprocessed or changes in the type or amount of reprocessing and imaging required. In any case, the Cost of the Program may not vary by more than � 10% of the Nominal Cost of the Program.

7.3.
CGG ser� responsable de asumir los costos relacionados con el mercadeo y el licenciamiento del Producto.

CGG shall be responsible for the costs associated with marketing and licensing the Product.

7.4.
CGG determina la "Tarifa de Licencia" del Producto. La Tarifa de Licencia nominal para el Producto es de quinientos d�lares americanos por kil�metro cuadrado reprocesado (USD 500/km2) y la misma es comunicada a ANCAP �nicamente con fines informativos; ANCAP entiende y acepta que, por razones comerciales o de otra naturaleza que son imprevisibles y est�n fuera del control de CGG, la Tarifa de Licencia puede ser diferente de la Tarifa de Licencia nominal.

7.4.
CGG determines the "License Fee" of the Product. The nominal License Fee for the Product is five hundred US dollars per square kilometer reprocessed (USD 500/ km2) and it is communicated to ANCAP for informational purposes only; ANCAP understands and agrees that, for commercial or other reasons that are unpredictable and are beyond the control of CGG, the License Fee may be different from the nominal license fee.

7.5.
Si CGG se viese obligada a pagar cualquier impuesto sobre ventas, uso o IVA en Uruguay para el otorgamiento de la licencia del Producto, dichos impuestos ser�n deducidos antes de que el ingreso se comparta con ANCAP.

7.5.
If CGG is obligated to pay any taxes on sales, use or VAT in Uruguay for the Product, such taxes will be deducted from income before the ANCAP revenue share is calculated.

7.6.
CGG asumir� toda la responsabilidad de la emisi�n de facturas y recibos por el dinero pagado por terceros por las Tarifas de Licencia del Producto. CGG asumir� la responsabilidad plena de conceder a ANCAP su parte de los ingresos.

7.6.
CGG will assume full responsibility for issuing invoices and receipts for the values paid by third parties for the Product License Fees. CGG shall take full responsibility for payment to ANCAP for its share of revenue.

7.7.
CGG efectuar� el pago de su parte de ingresos a ANCAP dentro de los 30 d�as siguientes al trimestre en que se haya pagado la factura. Los pagos no realizados a ANCAP por CGG dentro de los 30 d�as siguientes al trimestre en que se haya pagado la factura, estar�n sujetos a una tasa de inter�s mensual de valor LIBOR (promedio mensual de la tasa LIBOR en USD).

7.7.
CGG will pay ANCAP its share of revenues within 30 days following the quarter in which the invoice is paid. Invoices not paid by CGG to ANCAP within 30 days following the quarter in which the invoice is paid, shall be subject to an interest charge of LIBOR (average monthly LIBOR rate in USD) per month.

CGG entregar� a ANCAP una declaraci�n trimestral de ventas de licencias dentro de un plazo de treinta (30) d�as tras la finalizaci�n del trimestre anterior, que CGG deber� reportar seg�n el formato establecido en el Anexo 3. CGG llevar� registros por separado de todo lo recaudado por el otorgamiento de licencias del Producto, y proporcionar�, cuando ANCAP lo solicite, los estados auditados anuales pertinentes, preparados por auditores independientes, de estos registros.

CGG shall provide ANCAP with quarterly license sales statements within thirty (30) days of the end of each quarter, which CGG shall report according to the format set out in Annex 3. CGG will maintain separate records of all the proceeds earned from the Product, and will provide, upon ANCAP's request, the relevant annual audited statements as prepared by independent auditors, of such records.

7.8.
Durante la vigencia del presente Contrato, ANCAP o sus auditores tendr�n derecho a inspeccionar y a auditar los libros, las cuentas y los registros de CGG relacionados con el otorgamiento de licencias, a los fines de verificar que CGG cumpla con los t�rminos y condiciones del presente. ANCAP puede, previo aviso razonable y a cuenta propia, solicitar que tales cuentas sean auditadas por un auditor independiente. Dichas auditor�as deber�n estar limitadas a una por a�o.

7.8.
Throughout the term of this Contract, ANCAP or its auditors have the right to inspect and audit the books, accounts and records belonging to CGG that relate to the revenue earned from licensing in order to verify that CGG has complied with the terms and conditions of this Contract. ANCAP may, upon reasonable prior notice and at its own cost, request that such accounts be audited by an independent auditor. Such audits shall be limited to one per year.

7.9.
CGG y ANCAP autofinanciar�n sus propios costos relacionados con las horas-hombre de trabajo profesional para asumir sus obligaciones de conformidad con este Contrato.

CGG and ANCAP will self-finance their own costs associated with man-hours of professional work to meet their obligations under this Contract.

Cl�usula Octava - Plazo y Terminaci�n

Eighth Clause - Term and Termination

8.1.
La duraci�n del Contrato ser� de diez (10) a�os desde la fecha de su suscripci�n. El Per�odo de Exclusividad establecido en la Cl�usula 1.4 permanecer� hasta la finalizaci�n del Contrato.

The duration of the Contract will be of ten (10) years from the date of signature. The Exclusivity Right established in Clause 1.4 will remain in effect until the end of the duration of the Contract.

8.2.
ANCAP tendr� derecho exclusivo de prorrogar el Contrato por plazos adicionales de hasta cinco (5) a�os en total, previa solicitud fundada y por escrito de CGG que deber� ser presentada con una antelaci�n m�nima de noventa (90) d�as del plazo original o de cualquiera de sus pr�rrogas.

8.2.
ANCAP shall have the exclusive right to extend the Contract for additional terms of up to five (5) years in total, upon the well-founded and written request of CGG, which must be submitted at least ninety (90) days in advance of the original term or any of its extensions.

CGG will complete the Scouting Phase of the Program within the first Contract year and ANCAP will have the right to extend it for up to one (1) additional year or to terminate the Contract if this is not accomplished, upon the well-founded and written request of CGG, which must be submitted at least thirty (30) days in advance of the original term.

En caso de que CGG decida pasar a la Fase Piloto del Programa, completar� esta fase del Programa en un plazo de dos (2) a�os, una vez retirados por CGG los Datos de ANCAP requeridos para esta fase, tal como se especifica en el Anexo 1 y ANCAP tendr� el derecho de extenderlo por hasta un (1) a�o adicional o de rescindirlo si no se cumple esta condici�n, previa solicitud fundada y por escrito de CGG que deber� ser presentada con una antelaci�n m�nima de treinta (30) d�as del plazo original.

8.4.
In the event that CGG decides to move forward to the Pilot Phase of the Program, it will complete this phase of the Program within a period of two (2) years, once ANCAP's Data required to perform this phase of the Program is withdrawn by CGG, as specified in Annex 1, and ANCAP will have the right to extend it for up to one (1) additional year or to terminate the Contract if this is not accomplished, upon the well-founded and written request of CGG, which must be submitted at least thirty (30) days in advance of the original term.

8.5.
En caso de que CGG decida pasar a la Fase de Reprocesamiento Comercial del Programa, completar� esta fase del Programa en un plazo de dos (2) a�os, una vez retirados por CGG los Datos de ANCAP requeridos para esta fase, tal como se especifica en el Anexo 1 y ANCAP tendr� el derecho de extenderlo por hasta dos (2) a�os adicionales o de rescindirlo si no se cumple esta condici�n, previa solicitud fundada y por escrito de CGG que deber� ser presentada con una antelaci�n m�nima de treinta (30) d�as del plazo original.

8.5.

8.6.
De conformidad con las disposiciones de la Cl�usula Cuarta, al terminar este Contrato, sea al finalizar su vigencia o por rescisi�n del mismo, todos los Datos y el Producto ser�n transferidos a ANCAP y CGG deber� destruir cualquier copia de los Datos en su poder en ese momento.

8.6.
In accordance with the provisions of clause four, at the expiration of this Contract, whether due to the accomplishment of its term or for its termination, all the Data and the Product will be transferred to ANCAP and CGG shall destroy any copies of the Data in its possession.

8.7.
El cronograma de trabajo en el Anexo 1 deber� suspenderse en caso de que ocurra una Causa Extra�a No Imputable a ANCAP o CGG. Para los efectos del presente Contrato, Causa Extra�a No Imputable se entender� como cualquier hecho, evento o cualquier otra causa fuera del control de ANCAP o CGG y que ninguna de las Partes sea capaz de superar mediante el ejercicio de esfuerzos razonables; ya sea que impida, total o parcialmente la ejecuci�n de cualquier obligaci�n de cualquiera de las Partes incluyendo a v�a ilustrativa pero no limitativa: eventos de la naturaleza, incendio, hurac�n, pandemias, inundaci�n, explosi�n, derrumbe de estructuras, disturbios civiles, motines, guerra o disturbios similares, huelgas, conflictos laborales m�s all� del control de las Partes, actos, restricciones por parte de los organismos gubernamentales o militares (incluidos los tribunales o autoridades de jurisdicci�n competente), o la imposibilidad de disposici�n de los medios t�cnicos o permisos necesarios para cumplir con el objeto del Contrato. La demora o incumplimiento de las obligaciones ser�n excusados durante el tiempo y en la medida que dicha demora o incumplimiento sea ocasionado por Causa Extra�a No Imputable a ANCAP o CGG.

8.7.
The work schedule in Annex 1 shall be discontinued in case a Cause or Causes Beyond the Control of ANCAP or CGG occur. For the purposes of this Contract, Cause or Causes Beyond the Control of ANCAP or CGG shall mean any fact, event or any other cause beyond the control of ANCAP or CGG that neither Party is able to overcome by the exercise of reasonable efforts; whether to prevent totally or partially the execution of any obligation of either Party including but not limited to: natural events, fire, hurricane, pandemics, flood, explosion, structural collapse, civil unrest, riots, war or similar riots, strikes, labor disputes beyond the control of the Parties, events, restrictions by the government or military agencies (including courts or appropriate authorities jurisdiction), or the impossibilities to dispose of the technical means or necessary permits to fulfill the purpose of the Contract. The delay or non-fulfillment of the obligations shall be excused as long as and to the extent that such delay or nonperformance is caused by cause or Causes Beyond the Control of ANCAP or CGG.

8.8.
CGG tendr� el derecho a rescindir el Contrato y no proceder con las fases Piloto y de Reprocesamiento Comercial del Programa si no asegura suficiente financiaci�n para su comienzo. Dicha rescisi�n del Contrato no ocasionar� da�os o perjuicios de ning�n tipo para ninguna de las Partes. En tal sentido, ninguna de las Partes tendr� obligaci�n de pagar indemnizaci�n de ning�n tipo, ni ser� sujeta a obligaci�n alguna por causa del presente Contrato.

8.8.
CGG shall have the right to terminate the Contract and not proceed with the Pilot and Commercial Reprocessing phases of the Program if there is insufficient funding to start. Such termination of the Contract will not cause damage or injury of any kind to any Party. As such, neither Party shall be obliged to pay compensation of any kind, nor be subject to any obligation by reason of this Contract.

8.9.
Una Parte podr� denunciar el presente Contrato, si la otra Parte se encuentra en mora. Para que una Parte sea considerada en incumplimiento, la otra Parte deber� notificarla de la presente omisi�n por escrito, especificando con detalle las circunstancias del incumplimiento. La Parte en incumplimiento contar� con un plazo de 10 d�as a partir de y despu�s de la recepci�n de dicha notificaci�n para rectificar la falta, so pena de que el presente Contrato se d� por terminado.

8.9.
A Party may terminate this Contract if the other Party is in delay. For a Party to be considered in default, the other Party shall notify the Party about its omission in writing, specifying in detail the circumstances of the breach. The Party in default shall have a period of 10 days from receipt of said notice to rectify the fault. The failure to rectify the fault within 10 days shall render this Contract terminated.

Ninth Clause - Assignment of rights

9.1
En ning�n caso podr� CGG transferir o ceder este Contrato, con sus derechos para otorgar licencias de uso del Producto a terceras partes, sin la aprobaci�n previa por escrito de ANCAP.

Under no circumstances may CGG transfer or assign this Contract with the right to grant licenses for the use of the Product to third parties without the prior written approval of ANCAP.

No obstante lo anterior, CGG tendr� libertad para ceder o transferir el Contrato a cualquiera de sus afiliados, siempre y cuando ANCAP haya sido informada por CGG por escrito al menos un mes antes de dicha cesi�n o transferencia.

Notwithstanding the above, CGG shall be free to assign or transfer the Contract to any of its Affiliates as long as ANCAP has been informed by CGG in writing at least one month before this assignment or transfer.

CGG podr� tener subcontratistas para efectuar ciertas porciones del Programa por su cuenta, lo cual no ser� considerado como una cesi�n del Contrato.

CGG may, at its own expense, employ subcontractors to perform certain aspects of the Program. This shall not be considered as an assignment of the Contract.

Cl�usula D�cima - Legislaci�n aplicable y jurisdicci�n

Tenth Clause - Applicable law and jurisdiction

10.1.
Este Contrato estar� regido por la ley de la Rep�blica Oriental del Uruguay. Cualquier otra cuesti�n que emane o est� relacionada con este Contrato y con sus Anexos tambi�n estar� regulada y se decidir� mediante la aplicaci�n de las leyes de la Rep�blica Oriental del Uruguay.

10.1.
This Contract will be governed by the laws of Uruguay. All other questions arising out of or concerning this Contract and its Annexes shall be governed and decided by application of the laws of Uruguay.

Todas las acciones que se inicien en consecuencia de este Contrato estar�n regidas bajo la jurisdicci�n de Montevideo, Uruguay.

Eleventh Clause - Full Contract

Este Contrato y sus Anexos constituyen el acuerdo completo de las Partes, y no se podr� efectuar ninguna modificaci�n, enmienda ni agregado a este Contrato ni a sus Anexos a menos que sea por escrito y haga referencia espec�fica a este Contrato y/o el Anexo aplicable, y est� firmado por un representante autorizado de ambas Partes.

This Contract and its Annexes constitute entire agreement between the Parties, and no modification, amendment or addition shall be made to this Contract or the Annexes unless it is agreed in writing and specific reference to this Contract and/or the applicable Annex, and it is signed by an authorized representative of both Parties.

Twelfth Clause - Notices

12.1.
Salvo como se define expresa y espec�ficamente en este Contrato, todos los avisos y comunicaciones deber�n cursarse por escrito y ser�n considerados suficientes para todo fin si son enviados mediante carta certificada por servicios de mensajer�a (por ejemplo a trav�s de FedEx, DHL o similar) a la direcci�n del destinatario establecida a continuaci�n o v�a correo electr�nico a la direcci�n del destinatario establecida a continuaci�n. La notificaci�n de la otra parte ser� v�lida en el momento del recibo del aviso o comunicaci�n. Cada Parte puede cambiar su direcci�n mediante aviso por escrito o por correo electr�nico. Cada aviso enviado entrar� en vigencia en la fecha de la recepci�n real.

12.1.
Except as expressly and specifically defined in this Contract, all notices and communications shall be in writing and shall be deemed sufficient for all purposes if they are sent by registered letter via courier (i.e. FedEx, DHL or similar) to the recipient's address as set forth below, or by email to the address of the recipient established below. The notification of the receiving Party shall be valid immediately upon receipt of the notice of communication. Each Party may notify the other Party of a change of address by written notice or by email. Each message shall enter into force on the date of actual receipt.

En el caso de comunicaci�n a ANCAP o CGG v�a correo electr�nico, el correo enviado a ANCAP o CGG deber� solicitar confirmaci�n de lectura y ser� considerado como formalmente recibido cuando el remitente reciba autom�ticamente dicha confirmaci�n.

In the case of communication to ANCAP or CGG via email, the mail sent to ANCAP or CGG must request confirmation of reading and will be considered as formally received when the sender automatically receives said confirmation.

12.2.
Cada Parte designa representante/s autorizado/s para que sea/n responsable/s de todas las comunicaciones entre las Partes. Las Partes establecen como responsables las personas indicadas a continuaci�n, asimismo establecen las siguientes como las direcciones a las que deben efectuarse todos los avisos relacionados con el Contrato y su ejecuci�n.

La s�smica multicliente ha desempe�ado un papel fundamental en la aceleraci�n de la base de conocimientos geol�gicos costa afuera (offshore) y en el fomento de las actividades exploratorias en todo el mundo. En los �ltimos dos a�os, se ha producido un gran avance en las tecnolog�as de im�genes s�smicas, como FWI y LS-PSDM, lo que ha supuesto un salto en la calidad de las im�genes s�smicas. CGG propone reprocesar los datos s�smicos 3D existentes offshore Uruguay en el marco de un Acuerdo multicliente. Los objetivos de este Proyecto multicliente son:

Multiclient Seismic has played a critical role in accelerating the offshore geological knowledge base and globally promoting exploration activities. Over the last couple of years, there has been a leap in seismic imaging technologies, such as FWI and LS-PSDM, representing an advancement in seismic imaging quality. CGG is proposing to reprocess legacy 3D seismic data offshore Uruguay under a multi-client Agreement; the objectives of this multiclient re-imaging Project are to:

Scouting Phase

El Programa incluir� una Fase de Estudio, basada en la informaci�n existente. El equipo de Geociencias del Petr�leo de CGG har� una revisi�n inicial del trabajo de ANCAP sobre los amarres de los pozos s�smicos, y las �ltimas ideas de ANCAP sobre plays y prospectos. Asimismo, el equipo revisar� los datos apilados en tiempo (PSTM), en profundidad (PSDM) y apilados por �ngulo (angle stack) a fin de evaluar calidad y prospecci�n, para escoger el �rea m�nima donde se har� el procesamiento de amplitud con respecto a la distancia (AVO), compromiso de la Fase de Estudio.

The program will include a Scouting Study phase ("Scouting" or "Initial Study"), based on existing information. The CGG Petroleum Geoscience team will do an initial review of ANCAP's work on seismic well tiebacks, and ANCAP's latest thinking on plays and prospects. Also, the team will review the PSTM, PSDM stacked data an angle stack data, in order to evaluate quality and prospectivity, to be able to choose the minimum area where the AVO processing will be done, commitment of the Scouting Phase.

El equipo de CGG utilizar� los resultados de esta revisi�n para obtener im�genes de subconjuntos de los vol�menes s�smicos 3D, utilizando el an�lisis AVO sobre un m�nimo de 100 km2, dise�ado para abordar temas exploratorios que consideramos clave para impulsar el Proyecto.

The CGG team will use the results of this review to obtain subset images of the 3D seismic volumes, using AVO analysis over a minimum area of 100Km2, designed to address exploratory questions that we consider key to promote the program.

Dichas comunicaciones ir�n seguidas de un contacto directo con los representantes para recabar la opini�n de la Compa��a sobre su nivel de inter�s.

Subject to the terms established in Clause 8�, CGG will prepare technical and commercial proposals to be communicated to representatives of international exploration companies known to be interested in this market and, in particular, potentially licensing Derivatives in respect of this Project. Such communications would be followed-up by direct contact with the representatives to gather feedback from the Company of its interest level.

For the Scouting Phase, ANCAP will provide CGG access to stack PSTM, PSDM and angle stack data, non-seismic information (geological and wells), so that the area of interest can be defined, between 100 and 500 km�, on which the AVO processing of this Scouting Phase will be applied.
