AND DEVELOPMENT
LOAN AGREEMENT
Agreement dated as of the Signature Date, between REPUBLICA ORIENTAL DEL URUGUAY ("Borrower") and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT ("Bank"). The Borrower and the Bank hereby agree as follows:
ARTICLE I - GENERAL CONDITIONS; DEFINITIONS
1.01. The General Conditions (as defined in the Appendix to this
Agreement) constitute an integral part of this Agreement.
1.02. Unless the context requires otherwise, the capitalized terms
used in this Agreement have the meanings ascribed to them in the
General Conditions or in the Appendix to this Agreement.
ARTICLE II - LOAN
2.01. The Bank agrees to lend to the Borrower, on the terms and
conditions set forth or referred to in this Agreement, the amount
of twelve million Dollars, ($ 12,000,000), as such amount may be
converted from time to time through a Currency Conversion in
accordance with the provisions of Section 2.08 of this Agreement
("Loan"), to assist in financing the project described in
Schedule 1 to this Agreement ("Project").
2.02. The Borrower may withdraw the proceeds of the Loan in accordance
with Section IV of Schedule 2 to this Agreement.
2.03. The Front-end Fee payable by the Borrower shall be equal to one
quarter of one percent (0.25%) of the Loan amount. The Borrower
shall pay the Front-end Fee not later than sixty days after the
Effective Date.
2.04. The Commitment Charge payable by the Borrower shall be equal to
one quarter of one percent (0.25%) per annum on the Unwithdrawn
Loan Balance.
2.05. The interest payable by the Borrower for each Interest Period
shall be at a rate equal to the Reference Rate for the Loan
Currency plus the Variable Spread; provided, however, that the
interest payable shall in no event be less than zero percent (0%)
per annum; and provided furthermore that, upon a Conversion of
all or any portion of the principal amount of the Loan, the
interest payable by the Borrower during the Conversion Period on
such amount shall be determined in accordance with the relevant
provisions of Article IV of the General Conditions.
Notwithstanding the foregoing, if any amount of the Withdrawn
Loan Balance remains unpaid when due and such non-payment
continues for a period of thirty days, then the interest payable
by the Borrower shall instead be calculated as provided in
Section 3.02 (e) of the General Conditions.
2.06. The Payment Dates are February 15 and August 15 in each year.
2.07. The principal amount of the Loan shall be repaid in accordance
with the amortization schedule set forth in Schedule 3 to this
Agreement.
2.08. (a) The Borrower may at any time request any of the following
Conversions of the terms of the Loan in order to facilitate
prudent debt management: (i) a change of the Loan Currency of all
or any portion of the principal amount of the Loan, withdrawn or
unwithdrawn, to an Approved Currency; and (ii) a change of the
interest rate basis applicable to: (A) all or any portion of the
principal amount of the Loan withdrawn and outstanding from a
Variable Rate to a Fixed Rate, or vice versa; or (B) all or any
portion of the principal amount of the Loan withdrawn and
outstanding from a Variable Rate based on a Reference Rate and
the Variable Spread to a Variable Rate based on a Fixed Reference
Rate and the Variable Spread, or vice versa; or (C) all of the
principal amount of the Loan withdrawn and outstanding from a
Variable Rate based on a Variable Spread to a Variable Rate based
on a Fixed Spread; and (iii) the setting of limits on the
Variable Rate or the Reference Rate applicable to all or any
portion of the principal amount of the Loan withdrawn and
outstanding by the establishment of an Interest Rate Cap or
Interest Rate Collar on the Variable Rate or the Reference Rate.
(b) Any conversion requested pursuant to paragraph (a) of this
Section that is accepted by the Bank shall be considered a
"Conversion", as defined in the General Conditions, and shall be
effected in accordance with the provisions of Article IV of the
General Conditions and of the Conversion Guidelines.
ARTICLE III - PROJECT
3.01. The Borrower declares its commitment to the objective of the
Project. To this end, the Borrower, through MEF, shall carry out
the Project in accordance with the provisions of Article V of the
General Conditions.
3.02. Without limitation upon the provisions of Section 3.01 of this
Agreement, and except as the Borrower and the Bank shall
otherwise agree, the Borrower shall ensure that the Project is
carried out in accordance with the provisions of Schedule 2 to
this Agreement.
ARTICLE IV - EFFECTIVENESS; TERMINATION
4.01. The Additional Condition of Effectiveness consists of the
following, namely, that the Borrower has adopted the Operational
Manual in a manner acceptable to the Bank.
4.02. The Effectiveness Deadline is the date ninety (90) days alter
the Signature Date.

SCHEDULE 1
Project Description
The objective of the Project is to improve the quality of selected e-government services for citizens, businesses and the Borrower's public entities, and facilitate their access.
The Project consists of the following parts:
Part 1: Improving the Delivery of e-Government Services to Citizens
1.1 Strengthening of AGESIC's e-government service provision through,
inter alia:
(a) The development and implementation of a national government
data architecture in alignment with the Borrower's digital
government plan including, inter alia: (i) the preparation
of a preliminary design of a data architecture platform;
(ii) the carrying out of a technical and regulatory
framework assessment; (iii) the issuance of guidelines
related to the Borrower's governance structure, security
tools and data privacy protocols needed for the national
data architecture platform; (iv) the carrying out of a pilot
testing of the new data architecture platform; (v) the
provision of support for the implementation of the data
architecture platform across the Borrower's public entities;
and (vi) the dissemination of lessons learned;
(b) (i) the design of new smart services to enable a proactive
engagement with citizens; and (ii) the conceptual design and
development of a business analytics and intelligence
platform;
(c) (i) the development of a framework for citizen
participation, transparency and oversight mechanisms to
promote effective citizen engagement through electronic
means; (ii) the acquisition and implementation of
e-participation tools; and (iii) the development of an
impact evaluation of the implemented tools;
(d) the provision of support for the implementation of the
Borrower's digital government plan through the development
and piloting of collaboration mechanisms between the
Borrower's public entities and citizens to address key
public challenges and boost the development of new smart and
innovative public services; and
(e) the facilitation of access to government services and
information, and the prioritization of access in remote
areas, including, inter alia: (i) the acquisition and
operation of a mobile unit for engagement with citizens on
the use of eservices; and (ii) the design and implementation
of a citizen outreach strategy and training.
1.2 Strengthening of Centro Ceibal's capacity to manage its e-learning programs through, inter alia:
(a) the improvement of tools to manage users' customer service
experience including: (i) the development of a proposal for
a new customer service model; (ii) the development of a
system for the registry of teachers' lessons and the
personalization of course offerings; (iii) the development
of a system to provide an integrated overview of educational
centers; (iv) the design and implementation of a user
self-management system; and (v) the automatization of
multichannel customer services;
(b) the provision of support for the establishment of a computer
security incidence response team, including: (i) the
carrying out of a diagnostic to deploy a cyber security
response strategy; (ii) the definition of initial policies
and procedures; and (iii) the provision of training to
Centro Ceibal's personnel to manage the computer security
incidence response team's operations;
(c) the strengthening of Centro Ceibal's management and
back-office systems through the development and
implementation of new modules within the Borrower's
enterprise resource planning system, including, but not
limited to modules for e-invoicing, human resources
management, budget management, framework agreements,
procurement, supply planning and monitoring, and business
intelligence;
(d) the provision of support to improve Centro Ceibal's data
management, including: (i) the identification of
alternatives and strategies for data management; (ii) the
design and implementation of an institutional data
management policy and data management methodologies; (iii)
the carrying out of an assessment of business intelligence
needs; and (iv) the design and implementation of business
intelligence tools to integrate various data sources and
improve the analysis capacity of Centro Ceibal;
(e) the provision of technical assistance and last-mile
connectivity to the existing national broadband
infrastructure to support the implementation of broadband
internet access in approximately 300 rural schools,
including, inter alia: (i) the carrying out of an in-situ
design survey; (ii) the development of initial and detailed
technical specifications; (iii) the acquisition of hardware
and the configuration, assembly, and design of the
installation strategy; and
(f) the provision of support to strengthen Centro Ceibal's
strategic planning capacity, including, inter alia: (i) the
elaboration of an integrated technology roadmap to enhance
strategic decision-making on the development,
implementation, maintenance and retirement of technologies
critical for service delivery; (ii) the carrying out of
technical and academic activities; and (iii) the elaboration
of a human resource management strategy to enhance Centro
Ceibal's service delivery.
Part 2: Improving the Delivery of e-Government Services to Businesses
2.1 Provision of support to improve export-related services for businesses through, inter alia:
(a) the optimization of the administrative processes of the
Borrower's public entities and institutions involved on
international trade and which use VUCE, through the provision of
technical assistance and training;
(b) the institutional strengthening of VUCE, including its quality
management system, through: (i) upgrading of VUCE's internal
quality management system; (ii) obtaining international quality
management certification ISO9001-2015; and (iii) improving VUCE
portal's functioning;
(c) the provision of support for the implementation of a new
interoperability platform for international information exchange,
including the carrying out of pilots related to the exchange of
phytosanitary certificates and digital origin certificates with
selected countries of the Latin America and the Caribbean Region
in accordance with the criteria set forth in the Operational
Manual; and
(d) the provision of support for the expansion of VUCE's integrated
platform coverage and the implementation of an administrative
process re-engineering across the value chain for priority
exports.
2.2 Provision of support for implementing e-invoicing for small and medium businesses through, inter alia:
(a) the development and implementation of an e-invoicing system
for small and medium taxpayers which are subject to the
Borrower's electronic tax invoicing regime;
(b) the enhancement of DGI's fiscal risk management system to
enable the strategic planning of taxpayer compliance plans
and programs, as well as the carrying out of audit case
management in alignment with DGI's new organizational model;
and
(c) the provision of support for the operationalization of DGI's
new governance model including, inter alia: (i) the design
of a human resource management strategic plan to align staff
competences with the new governance model; and (ii) the
design and implementation of a training program to close
capability gaps with DGI's new governance structure,
organizational arrangements, tax administration procedures
and computer systems.
2.3 Provision of support to improve access to specialized information to businesses through, inter alia:
(a) the expansion of the services provided through Portal Timbó,
including, inter alia: (i) the addition of business and
scientific literature based on demand; (ii) the
establishment of a national system of digital repositories
to preserve and disseminate the Borrower's scientific
output, including the definition of guidelines for
streamlined filing and dissemination practices, and the
creation of an interoperability layer integrating all
databases of national universities and institutes; (iii) the
carrying out of an assessment to inform the design of an
online database for schoolbooks in Spanish; (iv) the
development or acquisition of an information technology
solution to launch an online database for schoolbooks and
the fostering of its use through public outreach
initiatives; (v) the expansion of access to scientific
materials based on demand and following a structured testing
process to validate take-up of new materials and achieve low
per unit costs; and (vi) the design of a new version of
Portal Timbó to improve its user-friendliness; and
(b) the development of an online knowledge exchange platform
containing: (i) a database of projects and ideas of
potential interest to investors; (ii) a human resource
registry to facilitate firms' access to the specialized
labor force; (iii) social network capabilities to facilitate
connections among ANII's stakeholders; and (iv) a section to
disseminate the online knowledge exchange platform's
objectives and results.
Part 3: Improving the Delivery of e-Government Services to Government Entities
3.1 Enabling the receipt of electronic invoices by the Borrower's public entities through the provision of support to CGN, including: (a) the development of a system to receive and oversee electronic invoices generated by providers for use by all of the budget executing units within the SIIF; (b) the acquisition of the software and hardware needed for the system mentioned herein; (c) the installation of the system mentioned herein in about 243 executing units operating within the SIIF, including the provision of Training and the creation of a help desk.
3.2 Strengthening MEF's capacity to manage information through the provision of technical assistance for the production, processing, analysis and dissemination of information within MEF's priority areas and among other entities responsible for the implementation of activities related to such priority areas, including the strengthening of the national statistics system.
Part 4: Strategic Diagnostics, Activities and Knowledge Sharing, and Project Coordination
Strengthening the Borrower's capacity to support strategic reforms in areas that are critical for the achievement of the Project's objective through, inter alia: (a) the carrying out of activities to strengthen the Borrower's monitoring and evaluation capacity to carry out research and learn about the impact of Project activities on the take-up of the associated e-government services and identify potential future adjustments to improve their effectiveness; (b) the carrying out of knowledge sharing and learning activities to disseminate lessons learned on e-government service provision across the Borrower's public entities and internationally; (c) the provision of selected technical assistance, training and services for improving the quality of e-government services for citizens, business and the Borrower's public entities, and for facilitating their access; (d) the definition and implementation of change management strategies related to the areas addressed within the Project, including, inter alia: (i) the preparation of a risk assessment in the areas where new services are being launched to help prioritize interventions and develop well-targeted change management plans; (ii) the carrying out of specific stakeholder analyses; and (iii) the preparation of change management plans; and (e) the provision of support for overall Project coordination and management, including the strengthening and maintenance of the PCU with adequate fiduciary and implementation capacity.
SCHEDULE 2
Project Execution
Section I. Implementation Arrangements
A. Institutional Arrangements
1. The Borrower, through MEF, shall operate and maintain, during
Project implementation, the Project coordination unit (the "PCU")
with functions, staffing and responsibilities satisfactory to the
Bank, including, inter alia: (a) a Project coordinator; (b) a
monitoring and evaluation specialist; (c) a procurement
specialist; (d) a financial management specialist; and (e)
technical and administrative support personnel.
2. (a) The Borrower shall carry out the Project in accordance with
the Operational Manual; such manual to include, inter alia:
(i) the procedures for carrying out, monitoring and evaluating
the Project;
(ii) the final format of the Financial Statements, chart of
accounts and the interim unaudited financial reports for the
Project; and
(iii) the performance indicators to be used for monitoring and
evaluating the implementation of the Project.
(b) The Operational Manual may be amended by the Borrower from time
to time with the prior approval of the Bank. In the case of any
conflict between the terms of the Operational Manual and those of
this Agreement, the terms of this Agreement shall prevail.
B. Anti-Corruption
The Borrower shall ensure that the Project is carried out in
accordance with the provisions of the Anti-Corruption
Guidelines.
C. Other Arrangements
The Borrower shall ensure that the terms of reference for any
consultancy related to the technical assistance provided under
Parts 1.1 (e), 1.2(e) and 4(a) of the Project, shall be
satisfactory to the Bank following its review thereof and, to
that end, such terms of reference shall duly incorporate the
requirements of the Bank Safeguards Policies then in force, as
applied to the advice conveyed through such technical
assistance.
Section II. Project Monitoring Reporting and Evaluation
A. Project Reports
1. The Borrower shall monitor and evaluate the progress of the
Project and prepare Project Reports in accordance with the
provisions of Section 5.08 of the General Conditions and on the
basis of the indicators set forth in the Operational Manual. Each
Project Report shall cover the period of one calendar semester,
and shall be furnished to the Bank not later than 45 days after
the end of the period covered by such report.
B. Financial Management, Financial Reports and Audits
1. The Borrower shall maintain or cause to be maintained a financial
management system in accordance with the provisions of Section
5.09 of the General Conditions.
2. Without limitation on the provisions of Part A of this Section,
the Borrower shall prepare and furnish to the Bank not later than
45 days after the end of each calendar semester, interim
unaudited financial reports for the Project covering the
semester, in form and substance satisfactory to the Bank.
3. The Borrower shall have its Financial Statements audited in
accordance with the provisions of Section 5.09 (b) of the General
Conditions. Each audit of the Financial Statements shall cover
the period of one fiscal year of the Borrower or another period
agreed upon with the Bank (not exceeding 18 consecutive calendar
months) when, due to Project circumstances, it is more cost
effective to join periods to be audited, commencing with the
fiscal year in which the first withdrawal was made under the
Preparation Advance for the Project. The audited Financial
Statements for each such period shall be furnished to the Bank
not later than six months after the end of such period.
Section III. Procurement
All goods, non-consulting services and consulting services
required for the Project and to be financed out of the proceeds
of the Loan shall be procured in accordance with the requirements
set forth or referred to in the Procurement Regulations and the
provisions of the Procurement Plan.
Section IV. Withdrawal of Loan Proceeds
A. General
1. The Borrower may withdraw the proceeds of the Loan in accordance
with the provisions of Article II of the General Conditions, this
Section, and such additional instructions as the Bank shall
specify by notice to the Borrower (including the "Disbursement
Guidelines for Investment Project Financing" dated February 2017,
as revised from time to time by the Bank and as made applicable
to this Agreement pursuant to such instructions), to finance
Eligible Expenditures as set forth in the table in paragraph 2
below.
2. The following table specifies the categories of Eligible
Expenditures that may be financed out of the proceeds of the Loan
("Category"), the allocation of the amounts of the Loan to each
Category, and the percentage of expenditures to be financed for
Eligible Expenditures in each Category.

B. Withdrawal Conditions; Withdrawal Period
1. Notwithstanding the provisions of Part A of this Section, no
withdrawal shall be made:
(a) from the Loan Account (other than to repay the Preparation
Advance) until the Bank has received payment in full of the
Front-end Fee; or
(b) for payments made prior to the Signature Date.
2. The Closing Date is December 31, 2021.
SCHEDULE 3
Amortization Schedule
1. The following table sets forth the Principal Payment Dates of the
Loan and the percentage of the total principal amount of the Loan
payable on each Principal Payment Date ("Installment Share"). If
the proceeds of the Loan have been fully withdrawn as of the
first Principal Payment Date, the principal amount of the Loan
repayable by the Borrower on each Principal Payment Date shall be
determined by the Bank by multiplying: (a) Withdrawn Loan Balance
as of the first Principal Payment Date; by (b) the Installment
Share for each Principal Payment Date, such repayable amount to
be adjusted, as necessary, to deduct any amounts referred to in
paragraph 4 of this Schedule, to which a Currency Conversion
applies.

2. If the proceeds of the Loan have not been fully withdrawn as of
the first Principal Payment Date, the principal amount of the
Loan repayable by the Borrower on each Principal Payment Date
shall be determined as follows:
(a) To the extent that any proceeds of the Loan have been
withdrawn as of the first Principal Payment Date, the
Borrower shall repay the Withdrawn Loan Balance as of such
date in accordance with paragraph 1 of this Schedule.
(b) Any amount withdrawn after the first Principal Payment Date
shall be repaid on each Principal Payment Date falling after
the date of such withdrawal in amounts determined by the
Bank by multiplying the amount of each such withdrawal by a
fraction, the numerator of which is the original Installment
Share specified in the table in paragraph 1 of this Schedule
for said Principal Payment Date ("Original Installment
Share") and the denominator of which is the sum of all
remaining Original Installment Shares for Principal Payment
Dates falling on or after such date, such amounts repayable
to be adjusted, as necessary, to deduct any amounts referred
to in paragraph 4 of this Schedule, to which a Currency
Conversion applies.
3. (a) Amounts of the Loan withdrawn within two calendar months
prior to any Principal Payment Date shall, for the purposes
solely of calculating the principal amounts payable on any
Principal Payment Date, be treated as withdrawn and
outstanding on the second Principal Payment Date following
the date of withdrawal and shall be repayable on each
Principal Payment Date commencing with the second Principal
Payment Date following the date of withdrawal.
(b) Notwithstanding the provisions of sub-paragraph (a) of this
paragraph, if at any time the Bank adopts a due date billing
system under which invoices are issued on or after the
respective Principal Payment Date, the provisions of such
sub-paragraph shall no longer apply to any withdrawals made
after the adoption of such billing system.
4. Notwithstanding the provisions of paragraphs 1 and 2 of this
Schedule, upon a Currency Conversion of all or any portion of the
Withdrawn Loan Balance to an Approved Currency, the amount so
converted in the Approved Currency that is repayable on any
Principal Payment Date occurring during the Conversion Period,
shall be determined by the Bank by multiplying such amount in its
currency of denomination immediately prior to the Conversion by
either: (i) the exchange rate that reflects the amounts of
principal in the Approved Currency payable by the Bank under the
Currency Hedge Transaction relating to the Conversion; or (ii) if
the Bank so determines in accordance with the Conversion
Guidelines, the exchange rate component of the Screen Rate.
5. If the Withdrawn Loan Balance is denominated in more than one
Loan Currency, the provisions of this Schedule shall apply
separately to the amount denominated in each Loan Currency, so as
to produce a separate amortization schedule for each such
amount.
APPENDIX
Section I Definitions
1. "AGESIC" means Agencia para el Desarrollo del Gobierno de Gestión
Electrónica y la Sociedad de la Información y del Conocimiento,
the Borrower's Agency for the Development of Electronic
Government Management and an Information and Knowledge Society,
established pursuant to Article 72 of the Borrower's Law No.
17,930, dated December 19, 2005 and duly published in the
Borrower's Official Gazette on December 23, 2005, as amended by
Article 80 of the Borrower's Law No. 18,834, dated November 4,
2011 and duly published in the Borrower's Official Gazette on
November 17.2011.
2. "ANII" means Agencia Nacional de Investigación e Innovación, the
Borrower's National Research and Innovation Agency, established
pursuant to Article 256 of the Borrower's Law No. 17,930, dated
December 19, 2005 and duly published in the Borrower's Official
Gazette on December 23, 2005, as amended by Article 1 of the
Borrower's Law No. 18,084, dated December 28, 2006 and duly
published in the Borrower's Official Gazette on January 7, 2007.
3. "Anti-Corruption Guidelines" means the "Guidelines on Preventing
and Combating Fraud and Corruption in Projects Financed by IBRD
Loans and IDA Credits and Grants", dated October 15, 2006 and
revised in January 2011 and as of July 1, 2016.
4. "Bank's Safeguards Policies" means the Bank's operational
policies and procedures set forth in the Bank's Operational
Manual under OP/BPs 4.01, 4.04, 4.09, 4.10, 4.11, 4.12, 4.36 and
4.37, as said manual is published under
www.WorldBank.org/opmanual.
5. "Category" means a category set forth in the Table in Section IV
of Schedule 2 to this Agreement.
6. "Centro Ceibal" means Centro Ceibal para el Apoyo a la Educación
de la Niñez y la Adolescencia, the Borrower's Center for the
Support of Childhood and Adolescence Education in charge of
implementing Plan Ceibal, established pursuant to Article 2 of
the Borrower's Law No. 18,640, dated January 8, 2010 and duly
published in the Borrower's Official Gazette on January 26, 2010,
as amended by Article 838 of the Borrower's Law No. 18,719, dated
December 27, 2010 and duly published in the Borrower's Official
Gazette on January 5, 2011.
7. "CGN" means Contaduría General de la Nación, the Borrower's
General Accounting Office, which functions are established under
Articles 37 and 43 of Borrower's Law No. 16.736, dated January 5,
1996, and duly published in the Borrower's Official Gazette on
January 12, 1996, as amended by Article 15 of Borrower's Law No.
17,213, dated September 24th, 1999, and duly published in the
Borrower's Official Gazette on October 7, 1999.
8. "DGI" means Dirección General Impositiva, the Borrower's
Directorate General of Taxation.
9. "General Conditions" means the "International Bank for
Reconstruction and Development General Conditions for Loans",
dated March 12, 2012, with the modifications set forth in Section
II of this Appendix.
10. "MEF" means Ministerio de Economía y Finanzas, the Borrower's
Ministry of Economy and Finance, or any successor thereto
acceptable to the Bank.
11 "Operating Costs" means reasonable recurrent expenses (other than
consulting services) directly related to the execution of the
Project activities incurred by the Borrower through AGESIC, ANII,
CGN, Centro Ceibal, DGI, VUCE and/or MEF, which would not have
been incurred absent the Project, all as approved by the Bank,
including, inter alia: rental and maintenance of equipment,
vehicles and facilities, rental of office facilities, office
utilities, and transportation costs and per diem of the
Borrower's staff assigned to Project supervision.
12. "Operational Manual" means the Borrower's manual, acceptable to
the Bank, referred to in Section I.A.2 (a) of Schedule 2 to this
Agreement, as said manual may be amended from time to time with
the prior approval of the Bank.
13. "PCU" means the Project Coordination Unit referred to in
paragraph 1 of Section I.A.1 of Schedule 2 to this Agreement.
14. "Plan Ceiba!" means the Borrower's program for integration and
equal opportunities aiming at providing support through the use
of technology to the Borrower's education policies.
15. "Portal Timbo" means ANII's online tool which allows access to
the latest global scientific and technical literature.
16. "Preparation Advance" means the advance referred to in Section
2.07 (a) of the General Conditions, granted by the Bank to the
Borrower pursuant to the letter agreement signed on behalf of the
Bank on March 8, 2017 and on behalf of the Borrower on May 2,
2017.
17. "Procurement Plan" means the Borrower's procurement plan for the
Project, dated June 29, 2017 and provided for under Section IV of
the Procurement Regulations, as the same may be updated from time
to time in agreement with the Bank.
18. "Procurement Regulations" means the "World Bank Procurement
Regulations for Borrowers under Investment Project Financing",
dated July 1, 2016.
19. "Signature Date" means the latest of the two dates on which the
Borrower and the Bank signed the Loan Agreement.
20. "SIIF" means Sistema Integrado de Información Financiera, the
Borrower's integrated financial information system.
21. "Training" means the reasonable expenditures (other than those
for consulting services) incurred by the Borrower in connection
with the carrying out of training activities (including
workshops, conferences and seminars) under the Project, including
travel costs, per diem of trainers and trainees, facilitators and
stakeholders, and training materials.
22. "VUCE" means Ventanilla Única de Comercio Exterior, the
Borrower's foreign trade single window system established
pursuant to Articles 378 through 381 of the Borrower's Law No.
19,149 dated October 16, 2016 and duly published in the
Borrower's Official Gazette on November 11, 2013.
Section II. Modifications to the General Conditions
The General Conditions are hereby modified as follows:
1. In the Table of Contents, the references to Sections, Section
names and Section numbers are modified to reflect the
modifications set forth in the paragraphs below.
2. Section 3.01. (Front-end Fee) is modified to read as follows:
"Section 3.01. Front-end Fee; Commitment Charge
(a) The Borrower shall pay the Bank a front-end fee on the Loan
amount at the rate specified in the Loan Agreement (the
"Front-end Fee").
(b) The Borrower shall pay the Bank a commitment charge on the
Unwithdrawn Loan Balance at the rate specified in the Loan
Agreement (the "Commitment Charge"). The Commitment Charge shall
accrue from a date sixty days after the date of the Loan
Agreement to the respective dates on which amounts are withdrawn
by the Borrower from the Loan Account or cancelled. The
Commitment Charge shall be payable semi-annually in arrears on
each Payment Date."
3. In the Appendix, Definitions, all relevant references to Section
numbers and paragraphs are modified, as necessary, to reflect the
modification set forth in paragraph 2 above.
4. The Appendix is modified by inserting a new paragraph 19 and a
new paragraph 88 with the following definition of "Commitment
Charge" and "Signature Date", respectively, and renumbering the
subsequent paragraphs accordingly:
"88. "Signature Date" means the latest of the two dates on which
the Borrower and the Bank signed the Loan Agreement."
"19. "Commitment Charge" means the commitment charge specified in
the Loan Agreement for the purpose of Section 3.01(b)."
5. In the renumbered paragraph 49 (originally paragraph 48) of the
Appendix, the definition of "Front-end Fee" is modified by
replacing the reference to Section 3.01 with Section 3.01 (a).
6. In the renumbered paragraph 68 (originally paragraph 67) of the
Appendix, the definition of the term "Loan Payment" is modified
to read as follows:
"68. "Loan Payment" means any amount payable by the Loan Parties
to the Bank pursuant to the Legal Agreements or these General
Conditions, including (but not limited to) any amount of the
Withdrawn Loan Balance, interest, the Front-end Fee, the
Commitment Charge, interest at the Default Interest Rate (if
any), any prepayment premium, any transaction fee for a
Conversion or early termination of a Conversion, the Variable
Spread Fixing Charge (if any), any premium payable upon the
establishment of an Interest Rate Cap or Interest Rate Collar,
and any Unwinding Amount payable by the Borrower."
7. In the renumbered paragraph 73 (originally paragraph 72) of the
Appendix, the definition of "Payment Date" is modified by
deleting the word "is" and inserting the words "and Commitment
Charge are" after the word "interest".
8. Any reference to "the date of the Loan Agreement" shall be
modified with the term "Signature Date".

/Carátula/.- VERSIÓN NEGOCIADA - María Pía CRAVERO - 30 de junio de 2017 - Préstamo Número 8778-UY - CONVENIO DE PRÉSTAMO.- (Mejora la Prestación de Servicios a los Ciudadanos y Empresas a través del Proyecto de Gobierno Electrónico) entre la REPUBLICA ORIENTAL DEL URUGUAY y el Banco Internacional de Reconstrucción y Fomento (BIRF).
/Texto del Convenio/.- CONVENIO DE PRÉSTAMO.- Convenio celebrado en la Fecha de la Firma, entre la REPUBLICA ORIENTAL DEL URUGUAY ("Prestatario") y el Banco Internacional de Reconstrucción y Fomento ("Banco"). Por el presente, el Prestatario y el Banco se obligan a lo siguiente:
ARTÍCULO I - CONDICIONES GENERALES; DEFINICIONES.
1.01.- Las Condiciones Generales (tal como están definidas en el Apéndice de este Convenio) constituyen parte integral del presente Convenio.
1.02.- A menos que el contexto lo requiera de otra forma, los términos en mayúscula del presente Convenio tendrán los significados que se le atribuyen en las Condiciones Generales o en el Apéndice de este Convenio.
ARTÍCULO II - PRÉSTAMO.
2.01.- El Banco se obliga a prestar al Prestatario, en los términos y condiciones establecidas o referidas en el presente Convenio, la suma de doce millones de dólares (US$ 12.000.000), y dicha suma podrá ser convertida con el correr del tiempo mediante la Conversión de Moneda de acuerdo a las disposiciones del Artículo 2.08 del presente Convenio ("Préstamo"), para asistir el financiamiento del proyecto descrito en el Anexo N° 1 de este Convenio ("Proyecto").
2.02.- El Prestatario podrá retirar el producido del Préstamo conforme a la Sección IV del Anexo N° 2 del presente Convenio.
2.03.- La Comisión Inicial exigible al Prestatario será igual a un cuarto del uno por ciento (0.25%) del total de Préstamo. El Prestatario abonará la Comisión Inicial en un plazo no mayor de sesenta días a partir de la Fecha Efectiva.
2.04.- El Cargo por Apertura de Crédito que deberá pagar el Prestatario será igual a un cuarto de un uno por ciento (0.25%) anual sobre el Saldo de Préstamo sin Retirar.
2.05.- El interés exigible al Prestatario por cada Período de Interés será a una tasa igual a la Tasa de Referencia para la Moneda del Préstamo más un Margen Variable; siempre que, sin embargo, el interés, exigible no sea en ningún caso menor a cero por ciento (0%) anual; y siempre que además, tras dicha Conversión del total o cualquier porción del capital del Préstamo, el interés exigible al Prestatario durante el Período de Conversión sobre dicha suma se determinará de acuerdo a las disposiciones pertinentes del Artículo IV de las Condiciones Generales. No obstante lo anterior; si cualquier monto del Saldo del Préstamo Retirado permanece impago a la fecha del vencimiento y dicho incumplimiento continua por un período de treinta días, entonces el interés exigible al Prestatario será entonces calculado según lo dispuesto en la Sección 3.02 (e) de las Condiciones Generales.
2.06.- Las Fechas de Pago serán el 15 de febrero y el 15 de agosto de cada año.
2.07.- El capital del Préstamo será reembolsado de acuerdo al cronograma de amortizaciones establecido en el Anexo N° 3 del presente Convenio.
2.08.- (a) El Prestatario podrá solicitar en cualquier momento cualquiera de las siguientes Conversiones en los términos del Préstamo de manera de facilitar una gestión prudente de la deuda: (i) un cambio de Moneda del Préstamo en la totalidad o porción del capital del Préstamo, ya sea retirado o no retirado, a una Moneda Aprobada; (ii) un cambio de criterio en la tasa de interés aplicable a: (A) todo o parte del capital del Préstamo de una Tasa Variable a una Tasa Fija, o a la inversa; o (B) todo o cualquier porción del capital del Préstamo retirado y exigible de una Tasa Variable basada en una Tasa de Referencia y el Margen Variable a una Tasa Variable basada en una Tasa de Referencia Fija y el Margen Variable o a la inversa; o (C) la totalidad del monto del Préstamo retirado y exigible de una Tasa Variable basada en un Margen Variable a una Tasa Variable basada en un Margen Fijo; y (iii) la fijación de límites de la Tasa Variable o la Tasa de Referencia aplicables a todo o parte del capital del Préstamo retirado y exigible por la fijación de un Techo de Tasa de Interés (Interest Rate Cap) o Cuello de Tasa de Interés (Interest Rate Collar) sobre la Tasa Variable o la Tasa de Referencia.
(b) Cualquier conversión solicitada conforme al párrafo (a) de esta Sección que sea aceptada por el Banco será considerada una "Conversión", tal como se definió en las Condiciones Generales, y se efectuará de acuerdo a las disposiciones del Artículo IV de las Condiciones Generales y de las Directivas de Conversión.
ARTÍCULO III - PROYECTO.
3.01.- El Prestatario declara su compromiso con el objetivo del Proyecto. Con esta finalidad, el Prestatario ejecutará el Proyecto a través del MEF conforme a las disposiciones del Artículo V de las Condiciones Generales.
3.02.- Sin limitaciones a lo dispuesto en la Sección 3.01 de este Convenio, excepto cuando el Prestatario y el Banco lo hayan acordado de otra manera, el Prestatario se asegurará que el Proyecto se ejecute de acuerdo a las disposiciones del Anexo 2 del presente Convenio.
ARTÍCULO IV - EFECTIVIDAD; EXTINCIÓN.
4.01.- La Condición Adicional de Efectividad consiste en lo siguiente, es decir, que el Prestatario haya adoptado el Manual de Operaciones de manera aceptable para el Banco.
4.02.- La Fecha Límite de Efectividad es de noventa días (90) luego de la Fecha de la Firma.

ANEXO 1 - Descripción del Proyecto.
El objetivo de Proyecto consiste en la mejora de la calidad de servicios de gobierno electrónico para los ciudadanos, empresas y los organismos públicos del Prestatario, y facilitar su acceso. El Proyecto contiene las siguientes partes:
Parte 1: Mejora de la Prestación de los Servicios de Gobierno Electrónico a los Ciudadanos.-
1.1.- Fortalecimiento de la prestación de servicios de gobierno electrónico de AGESIC a través de, entre otros:
(a) El desarrollo e implementación de una arquitectura nacional de datos de gobierno alineada con el plan digital de gobierno del Prestatario que incluye, entre otros: (i) la preparación de un diseño preliminar de una plataforma de arquitectura de datos; (ii) la realización de una evaluación del marco técnico y regulatorio; (iii) la confección de directivas relacionadas con la estructura de gestión del Prestatario, sus herramientas de seguridad y protocolos de privacidad de datos necesarios para la plataforma de arquitectura de datos nacional; (iv) la realización de un plan piloto de la nueva plataforma de arquitectura de datos; (v) el suministro de soporte para la implementación de la plataforma de arquitectura de datos a través de los organismos públicos del Prestatario; y (vi) la divulgación de las lecciones aprendidas;
(b).- (i) el diseño de nuevos servicios inteligentes para posibilitar un involucramiento proactivo de los ciudadanos; y (ii) el diseño y desarrollo conceptual de una plataforma de análisis de datos e inteligencia de empresas;
(c).- (i) el desarrollo de un marco para la participación del ciudadano, transparencia y supervisión de mecanismos para promover el involucramiento efectivo del ciudadano a través de medios electrónicos; (ii) la adquisición e implementación de herramientas de participación electrónica; y (iii) el desarrollo de una evaluación de impacto de las herramientas implementadas;
(d).- el suministro de soporte para la implementación del plan de gobierno digital del Prestatario a través del desarrollo y la puesta en práctica de mecanismos de colaboración entre los organismos públicos del Prestatario y los ciudadanos para responder a desafíos públicos claves e impulsar el desarrollo de nuevos servicios públicos inteligentes e innovativos; y
(e).- la facilitación del acceso a los servicios de gobierno e información, y la priorización del acceso en áreas remotas, incluyendo entre otros: (i) la adquisición y operación de una unidad móvil para involucrar a los ciudadanos en el uso de los servicios electrónicos; y (ii) el diseño e implementación de una estrategia de alcance al ciudadano y capacitación.
1.2.- Fortalecimiento de la capacidad del Centro Ceibal de gestionar sus programas de aprendizaje electrónico a través de, entre otros:
(a).- la mejora de las herramientas para gestionar la experiencia de los usuarios del servicio de atención al cliente incluyendo (i) el desarrollo de una propuesta para un nuevo modelo de servicio de atención al cliente; (ii) el desarrollo de un sistema de registro de lecciones de instructores y personalización de las ofertas de los cursos; (iii) el desarrollo de un sistema para proveer una supervisión integrada de los centros educativos; (iv) el diseño e implementación de un sistema de autogestión del usuario; y (v) la automatización multicanal de los servicios de atención al cliente;
(b).- el suministro de soporte para establecer un equipo de respuesta de incidencias de seguridad informática, que incluyan: (i) la realización de un diagnóstico para desplegar una estrategia de seguridad cibernética; (ii) la definición de políticas y procedimientos iniciales; and (iii) el suministro de capacitación al personal del Centro Ceibal para gestionar las operaciones del equipo de respuesta de incidencias seguridad informática;
(c).- el fortalecimiento de los sistemas de gestión y administrativos del Centro Ceibal a través del desarrollo e implementación de nuevos módulos dentro del sistema de planificación de recursos empresariales del Prestatario, incluyendo pero sin limitación alguna, a los módulos de facturación electrónica, gestión de recursos humanos, gestión presupuestal, acuerdos marco, contrataciones, monitoreo y planificación de los suministros e inteligencia de negocios;
(d).- el suministro de soporte para mejorar la gestión de datos del Centro Ceibal, incluyendo: (i) la identificación de alternativas y estrategias para el manejo de datos; (ii) el diseño e implementación de una política institucional de gestión de datos y metodologías de gestión de datos; (iii) la realización de una evaluación de las necesidades de inteligencia de negocios; y (iv) el diseño e implementación de las herramientas de inteligencia de negocios para integrar diferentes fuentes de datos y mejorar la capacidad de análisis del Centro Ceibal;
(e).- el suministro de asistencia técnica y conectividad de la última milla a la infraestructura nacional de banda ancha existente para soportar la implementación del acceso a internet de banda ancha en aproximadamente 300 escuelas rurales, incluyendo, entre otros: (i) la realización de un relevamiento de diseño in-situ; (ii) el desarrollo de especificaciones técnicas iniciales y detalladas; (iii) la adquisición de hardware y la configuración, montaje y diseño de la estrategia de instalación; y
(f).- el suministro de soporte para el fortalecimiento de la capacidad de planeamiento estratégico del Centro Ceibal, incluyendo entre otros: (i) la elaboración de una hoja de ruta de tecnología integrada para la mejora de la toma de decisiones respecto al desarrollo, la implementación, mantenimiento y retiro de las tecnologías críticas para la prestación de los servicios; (ii) la realización de actividades técnicas y académicas; y (iii) la elaboración de una estrategia de gestión de los recursos humanos para mejorar la prestación de los servicios del Centro Ceibal.
Parte 2: Mejora de la Prestación de Servicios de Gobierno Electrónico a las Empresas.
2.1.- Suministro de soporte para la mejora de servicios relacionados con la exportación a través de, entre otros:
(a) la optimización de los procesos administrativos de los organismos públicos del Prestatario y las instituciones involucradas en el comercio internacional y que utilizan VUCE, a través del suministro de asistencia técnica y capacitación;
(b) el fortalecimiento institucional de VUCE, incluyendo su sistema de gestión de calidad, a través de: (i) mejora del sistema de gestión de calidad interna de VUCE; (ii) la obtención de la certificación en gestión de la calidad internacional ISO9001-2015; y (iii) la mejora del funcionamiento del portal de VUCE;
(c) el suministro de soporte para la implementación de una nueva plataforma de interoperabilidad para el intercambio de información internacional, incluyendo la realización de planes pilotos relativos al intercambio de certificados fitosanitarios y certificados de origen digitales con países seleccionados de Latinoamérica y el Caribe conforme a los criterios establecidos por el Manual de Operaciones; y
(d) el suministro de soporte para la expansión de la cobertura de la plataforma integrada de VUCE y la implementación de un proceso administrativo para la reingeniería a través de la cadena de valor para exportaciones de prioridad.
2.2.- Suministro de soporte para la implementación de facturación electrónica para pequeñas y medianas empresas a través de, entre otros:
(a) el desarrollo e implementación de un sistema de facturación electrónica para contribuyentes pequeños medianos que esté sujeto al régimen tributario de facturación electrónica del Prestatario;
(b) la mejora del sistema de gestión de riesgo fiscal de la DGI que permita la planificación estratégica del cumplimiento de los planes y programas del contribuyente así como la realización de la gestión de auditoría de casos alineada con el nuevo modelo organizativo de la DGI; y
(c) el suministro de soporte para la puesta en marcha del nuevo modelo administrativo de la DGI incluyendo entre otros: (i) el diseño de un plan estratégico de gestión de recursos humanos para alinear las competencias del personal con el nuevo modelo administrativo; y (ii) el diseño e implementación de un programa de capacitación para llenar las brechas de capacidad en la nueva estructura administrativa de la DGI, acuerdos institucionales, procedimientos de administración tributaria y sistemas informáticos.
2.3.- Suministro de soporte para la mejora del acceso a la información especializada para las empresas a través de, entre otros:
(a) la expansión de los servicios prestados a través del Portal Timbó, incluyendo entre otros: (i) la incorporación de literatura científica y de negocios basada en la demanda; (ii) el establecimiento de un sistema nacional de repositorios digitales para preservar y divulgar la producción científica del Prestatario, incluyendo la definición de lineamientos para la racionalización de archivos y prácticas de divulgación, y la creación de una capa de interoperabilidad que integre a todas las bases de datos de universidades e institutos nacionales; (iii) la realización de una evaluación para conformar el diseño de una base de datos para libros escolares en español; (iv) el desarrollo o la adquisición de una solución de tecnología de información para lanzar una base de datos en línea para libros escolares y promover su uso a través de iniciativas de alcance público; (v) la expansión del acceso a material científico basado en la demanda y siguiendo un proceso de prueba estructurado para validar la asimilación de nuevos materiales y lograr bajos costos unitarios; y (vi) el diseño de una nueva versión del Portal Timbó para mejorar la amigabilidad hacia el usuario; y
(b) el desarrollo de una plataforma de intercambio de conocimientos en línea que contenga: (i) una base de datos de proyectos e ideas de interés potencial para inversores; (ii) un registro de recursos humanos para facilitar el acceso de las firmas a mano de obra especializada; (iii) capacidades en redes sociales para facilitar las conexiones entre los interesados de la ANII; y (iv) una sección para la divulgación de los objetivos y resultados de la plataforma de intercambio de conocimientos en línea.
Parte 3: Mejora de la Prestación de los Servicios de Gobierno Electrónico a Organismos Públicos.
3.1.- Permitir la recepción de facturas electrónicas por los organismos públicos del Prestatario a través del suministro de soporte a CGN, incluyendo: (a) el desarrollo de un sistema para recibir y supervisar las factures electrónicas generadas por proveedores para su uso por todas las unidades ejecutoras del SIIF; (b) la adquisición de software y hardware necesario para el antemencionado sistema; (c) la instalación de dicho sistema en aproximadamente 243 unidades ejecutoras que operan dentro del SIIF, incluyendo el suministro de Capacitación y la creación de una mesa de ayuda.
3.2.- Fortalecimiento de la capacidad del MEF para gestionar la información a través del suministro de asistencia técnica para la producción, procesamiento, análisis y divulgación de la información dentro de las áreas de prioridad del MEF y entre otras entidades responsables de la implementación de actividades relacionadas a tales áreas de prioridad, incluyendo el fortalecimiento del sistema nacional de estadísticas.
Parte 4: Diagnósticos Estratégicos, Intercambio de Actividades y Conocimiento, y Coordinación de Proyecto.
Fortalecimiento de la capacidad del Prestatario para apoyar reformas estratégicas que son críticas para el logro de los objetivos del Proyecto a través de, entre otros: (a) la realización de actividades para fortalecer el monitoreo y la capacidad de evaluación del Prestatario para llevar a cabo investigaciones y conocer el impacto de las actividades del Proyecto en la asimilación de servicios asociados al gobierno electrónico e identificar futuros ajustes potenciales para mejorar su eficacia; (b) la realización de actividades de intercambio de conocimientos y aprendizaje para divulgar las lecciones aprendidas en la prestación de servicios de gobierno electrónico en todas las entidades públicas del Prestatario y en el ámbito internacional (c) el suministro de asistencia técnica seleccionada, capacitación y servicios para mejorar la calidad de los servicios de gobierno electrónico para ciudadanos, empresas y organismos públicos del Prestatario, y para la facilitación de su acceso; (d) la definición e implementación de estrategias de gestión del cambio relativas a las áreas atendidas dentro del Proyecto, incluyendo entre otros: (i) la preparación de una evaluación del riesgo en las áreas donde se están lanzando nuevos servicios para ayudar a priorizar las intervenciones y desarrollar planes de gestión de cambio bien orientados; (ii) la realización de análisis específicos de interesados; y (iii) la preparación de planes de gestión del cambio; y (e) el suministro de soporte para la Coordinación general del Proyecto y su gestión, incluyendo el fortalecimiento y mantenimiento la Unidad Coordinadora de Proyecto (UCP) con una adecuada capacidad fiduciaria y de implementación.
ANEXO 2 - Ejecución del Proyecto.-
Sección I.- Preparativos para la implementación.
A.- Preparativos Institucionales.
1.- El Prestatario, a través del MEF, operará y mantendrá, durante la implementación del proyecto, a la Unidad Coordinadora de Proyecto ("UCP") con las funciones, personal y responsabilidades que sean satisfactorias para el Banco, incluyendo entre otros: (a) un coordinador de Proyecto; (b) un especialista de monitoreo y evaluación; (c) un especialista en contrataciones; (d) un especialista en gestión financiera; y (e) personal de apoyo técnico y administrativo.
2.- (a) El Prestatario llevará a cabo el Proyecto en conformidad con el Manual de Operaciones; dicho manual incluirá entre otros:
(i) los procedimientos para llevar a cabo, monitorear y evaluar el Proyecto; (ii) el formato final de los Estados Contables, plan general contable y los informes financieros provisorios sin auditar del Proyecto; y (iii) indicadores de rendimiento para ser usados en el monitoreo y evaluación de la implementación del Proyecto.
(b) El Manual de Operaciones podrá ser modificado por el Prestatario con el correr del tiempo con el previo consentimiento del Banco. En caso de cualquier conflicto entre los términos del Manual de Operaciones y los del presente Convenio, los términos de este Convenio prevalecerán.
B.- Anticorrupción.-
El Prestatario deberá asegurarse de que el Proyecto se llevará a cabo en conformidad con las disposiciones de las Directivas Anticorrupción.
C.- Otros Preparativos.
El Prestatario deberá asegurarse de que los términos de referencia para cualquier consultoría relacionada a la asistencia técnica dispuesta en las Partes 1.1 (e), 1.2(e) y 4(a) del Proyecto deberán ser satisfactorios para el Banco luego de la revisión de los mismos y, a tales efectos, dichos términos de referencia deberán incorporar debidamente los requisitos de las Políticas de Salvaguarda del Banco vigentes en ese momento, según se aplican al asesoramiento llevado a cabo a través de dicha asistencia técnica.
Sección II.- Informes y evaluación del monitoreo del Proyecto.
A.- Informes del Proyecto.
1.- El Prestatario monitoreará y evaluará el progreso del Proyecto y preparará los Informes del Proyecto de acuerdo a las disposiciones de la Sección 5.08 de las Condiciones Generales y sobre la base de indicadores establecidos en el Manual de Operaciones. Cada Informe de Proyecto cubrirá el período de un semestre calendario, y será proporcionado al Banco en un período no mayor a 45 días luego del fin del período cubierto por dicho informe.
B.- Gestión Financiera, Estados Contables y Auditorías.
1.- El Prestatario mantendrá o hará que se mantenga un sistema de gestión financiera de acuerdo con las disposiciones de la Sección 5.09 de las Condiciones Generales.
2.- Sin limitaciones con respecto a las disposiciones de la Parte A de esta Sección, el Prestatario deberá preparar y proporcionar al Banco, en un plazo no mayor a 45 días luego de cada semestre calendario, estados contables provisorios no auditados al Banco que cubran el semestre, con las formalidades y contenidos satisfactorios para el Banco.
3.- El Prestatario hará que sus Estados Contables sean auditados de acuerdo a las disposiciones de la Sección 5.09 (b) de las Condiciones Generales. Cada auditoria de los Estados Contables cubrirá el periodo de un año fiscal del Prestatario u otro período que fuese aceptado por el Banco (que no exceda los 18 meses calendario consecutivos), cuando, debido a circunstancias del Proyecto, sea más efectivo por los costos juntar períodos para auditar, comenzando con el año fiscal en el que se haga el primer retiro de acuerdo al Adelanto para la Preparación del Proyecto. Los Estados Financieros auditados para cada uno de esos períodos serán proporcionados al Banco en un plazo no mayor a seis meses luego del fin de ese período.
Sección III.- Contrataciones.
Todos los bienes, servicios de consultoría y otros que no fueren de consultoría que sean requeridos por el Proyecto y sean financiados por el producido del Préstamo serán contratados de acuerdo a los requerimientos establecidos o referidos en la Sección I de las Directivas de Contrataciones y a las disposiciones del Plan de Contrataciones.
Sección IV.- Retiro del Producido del Préstamo.
A. - Generalidades
1.- El Prestatario podrá retirar el producido del Préstamo de acuerdo a las disposiciones del Artículo II de las Condiciones Generales, esta Sección; y aquellas instrucciones adicionales que el Banco especificará mediante notificación al Prestatario (incluyendo las "Directivas de Desembolso para la Financiación de Proyectos de Inversión" con fecha de febrero de 2017, según fuese revisado periódicamente por el Banco y se hiciere aplicable a este Convenio conforme a tales instrucciones) para financiar los Gastos Subvencionables tal como fuera establecido en la tabla siguiente del párrafo 2 a continuación.
2.- La siguiente tabla especifica las categorías de Gastos Subvencionables que podrán ser financiados por el producido del Préstamo ("Categoría"), la distribución de los montos del Préstamo para cada Categoría, y el porcentaje de gastos que serán financiado para Gastos Subvencionables en cada Categoría.

B.- Condiciones de Retiros; Período de Retiros.
1.- Sin perjuicio de las disposiciones de la Parte A de esta Sección, no se harán retiros:
(a) de la cuenta del Préstamo (si no fuese para reembolso del Adelanto de Preparación del Proyecto) hasta que el Banco haya recibido el pago completo de la Comisión Inicial; o
(b) por pagos realizados previamente a la Fecha de la Firma.
2.- La Fecha de Cierre es el 31 de diciembre de 2021.
ANEXO 3 - Plan de amortización.
1.- La tabla siguiente establece las Fechas de Pago del Capital del Préstamo y el porcentaje del monto del capital del Préstamo exigible en cada Fecha de Pago de Capital ("Porción de la Cuota"). Si el producido del Préstamo ha sido completamente retirado a la fecha de primer pago de capital, el monto del capital del Préstamo reembolsable por el Prestatario en cada Fecha de Pago de Capital será determinada por el Banco multiplicando: (a) El Saldo del Préstamo Retirado a la fecha del primer pago de capital; por (b) la Porción de la Cuota para cada Fecha de Pago de Capital, tal suma exigible será ajustada según sea necesario para deducir cualquier monto mencionado en el párrafo 4 de este Anexo, al que se aplique una Conversión de Moneda.

2.- Si el producido del Préstamo no hubiese sido retirado completamente a la fecha del primer pago de capital, el monto del capital del Préstamo reembolsable por el Prestatario en cada Fecha de Pago de Capital se determinará de la siguiente manera:
(a) En la medida en que parte del producido del Préstamo haya sido retirado a la primer fecha de pago de capital, el Prestatario deberá rembolsar el Saldo del Préstamo Retirado a la fecha dispuesta en el párrafo I de este Anexo.
(b) Cualquier monto retirado posterior a la primera Fecha de Pago de Capital será reembolsado en cada Fecha de Pago de Capital que caiga luego de la fecha del retiro en sumas determinadas por el Banco multiplicando la suma de cada retiro por una fracción, siendo el numerador de la misma la Porción de la Cuota original especificada en la tabla del párrafo 1 de este Anexo para dicha Fecha de Pago de Capital ("Porción Original de la Cuota") y el denominador de la misma será la suma de todos las porciones originales de cuotas para las Fechas de Pago de Capital que caigan en esa fecha o posterior, siendo tales sumas reembolsables reajustables según sea necesario para deducir cualquier suma mencionada en el párrafo 4 de este Anexo a la que se aplique una Conversión de Moneda.-
3.- (a) Los montos del Préstamo retirados dentro de los dos meses calendario previo a cualquier Fecha de Pago de Capital, serán tratados, con propósitos exclusivos del cálculo de las sumas de capital exigibles en cualquier Fecha de Pago de Capital, como retirados y exigibles en la segunda Fecha de Pago de Capital siguiente a la fecha de retiro y será reembolsable en cada Fecha de Pago de Capital comenzando con la Fecha de Pago de Capital siguiente a la fecha del retiro.
(b) Sin perjuicio de las disposiciones del literal (a) de este párrafo, si en cualquier momento el Banco adopta un sistema de facturación de fecha de vencimiento bajo el cual las facturas son emitidas en la fecha de Pago de Capital respectiva o posterior, las disposiciones de dicho numeral no serán aplicables en lo sucesivo para retiros hechos luego de la adopción de tal sistema de facturación.
4.- No obstante las disposiciones de los párrafos 1 y 2 de este Listado, tras una Conversión de Moneda de la totalidad o parte del Saldo del Préstamo Retirado a una Moneda Aprobada, la suma así convertida en dicha Moneda Aprobada que sea reembolsable en cualquier Fecha de Pago de Capital que ocurra durante el Periodo de Conversión, será determinada por el Banco multiplicando dicha suma en su Moneda de denominación inmediatamente previa a la Conversión por: (i) la tasa de cambio que refleje la suma de capital en la Moneda Aprobada exigible por el Banco según la Operación de cobertura monetaria relacionada a la Conversión; o (ii) si el Banco así lo determinase conforme a las Directivas de Conversión, el componente de tasa de cambio del Índice de Pantalla.
5.- Si el Saldo de Préstamo Retirado está denominado en más de una Moneda de Préstamo, las disposiciones de este Anexo se aplicarán separadamente a las sumas en las denominaciones de cada Moneda del Préstamo, de forma de producir un calendario independiente de amortizaciones para cada suma.
APÉNDICE - Sección I.- Definiciones.
1.- "AGESIC" significa Agencia para el Desarrollo del Gobierno de Gestión Electrónica y la Sociedad de la Información y del Conocimiento, creada conforme al Artículo 72 de la Ley No. 17.930 del Prestatario, con fecha 19 de diciembre de 2005 y debidamente publicada en el Diario Oficial del Prestatario el 23 de diciembre de 2005, según fuera modificada por la Ley N° 18.834 del Prestatario de fecha 4 de noviembre de 2011 y debidamente publicada en el Diario Oficial del Prestatario el 17 de noviembre de 2011.
2.- "ANII" significa Agencia Nacional de Investigación e Innovación, creada conforme al Artículo 256 de la Ley No. 17.930 del Prestatario, de fecha 19 de diciembre de 2005 y debidamente publicada en el Diario Oficial del Prestatario el 23 de diciembre de 2005, según las modificaciones dadas por el Artículo 1 de la Ley N° 18084 del Prestatario de fecha 28 de diciembre de 2006 y debidamente publicada en el Diario Oficial del Prestatario el 7 de enero de 2007.
3.- "Directivas Anticorrupción" significan las "Directivas sobre Prevención y Combate al Fraude y Corrupción en Proyectos Financiados por préstamos del BIRF y créditos y asistencias de la AIF", de fecha 15 de octubre de 2006 y modificada en enero de 2011 y de fecha 1 de julio de 2016.
4.- "Políticas de Salvaguarda del Banco" significa las políticas operacionales y procedimientos del Banco establecidos en el Manual de Operaciones del Banco en OP/BPs 4.01, 4.04, 4.09, 4.10, 4.11, 4.12, 4.36 y 4.37, con dicho manual publicado en www.WorldBank.org/opmanual.
5.- "Categoría" significa una categoría establecida en la tabla de la Sección IV del Anexo 2 de este Convenio.
6.- "Centro Ceibal" significa Centro Ceibal para el Apoyo a la Educación de la Niñez y la Adolescencia, a cargo de la implementación del Plan Ceibal, establecido conforme al Artículo 2 de la Ley No. 18,640 de Prestatario de fecha 8 de enero de 2010 y debidamente publicada en el Diario Oficial del Prestatario el 26 de enero de 2010, según la modificación dada por el Artículo 838 de la Ley N° 18.719 del Prestatario fecha 27 de diciembre de 2010 y debidamente publicada en Diario Oficial del Prestatario el 5 de enero de 2011.
7.- "CGN" significa Contaduría Generala de la Nación, cuyas funciones están definidas por los Artículos 37 y 43 de la Ley N° 16.736 del Prestatario de fecha 5 de enero de 1996, y debidamente publicada en el Diario Oficial del Prestatario el 12 de enero de 1996, según la modificación dada por el Articulo 15 de la Ley N° 17,213 del Prestatario de fecha 24 de setiembre de 1999, y debidamente publicada en el Diario Oficial del Prestatario el 7 de octubre de 1999.
8.- "DGI" significa Dirección General Impositiva.
9.- "Condiciones Generales" significa las "Condiciones Generales para Préstamos del Banco Internacional de Reconstrucción y Fomento" de fecha 12 de marzo de 2012 con las modificaciones establecidas en la Sección II de este Apéndice.
10.- "MEF" significa Ministerio de Economía y Finanzas, o cualquier sucesor del mismo aceptable por el Banco.
11.- "Costos Operativos" significa gastos recurrentes razonables (que no sean de servicios de consultoría) directamente relacionados con la ejecución de las actividades del Proyecto incurridas por el Prestatario a través de AGESIC, ANII, CGN, Centro Ceibal, DGI, VUCE y/o el MEF, en los que no se habría incurrido si no existiera el Proyecto, todo según lo aprobado por el Banco, incluyendo, entre otros: alquileres y mantenimiento de equipos, vehículos e instalaciones, alquiler de instalaciones de oficinas y costos de transporte y costos diarios del personal de Prestatario asignado a la supervisión del Proyecto.
12.- "Manual de Operaciones" significa el manual del Prestatario, aceptable para el Banco, mencionado en la Sección I.A.2 (a) del Anexo 2 de este Convenio, según las modificaciones que pueda sufrir dicho manual con el correr del tiempo, y con el consentimiento previo del Banco.
13.- "UCP" significa Unidad Coordinadora de Proyecto mencionada en el párrafo 1 de la Sección I.A.1 del Anexo 2 de este Convenio.
14.- "Plan Ceibal" significa el programa del Prestatario para la integración e igualdad de oportunidades con el objeto de proporcionar apoyo a través del uso de la tecnología en las políticas educativas del Prestatario.
15.- "Portal Timbo" significa la herramienta en línea de la ANII que permite el acceso a la literatura técnica y científica más reciente.
16.- "Adelanto de Preparación" significa el Adelanto mencionado en la Sección 2.07 (a) de las Condiciones Generales, otorgadas por el Banco al Prestatario conforme a una carta de acuerdo firmada en nombre del Banco el 8 de marzo de 2017 y en nombre del Prestatario el 2 de mayo de 2017.
17.- "Plan de Contrataciones" significa el plan de contrataciones del Prestatario para el Proyecto de fecha 29 de junio de 2017 y prevista en la Sección IV de las Directivas de Contratación, según las mismas puedan ser actualizadas con el correr del tiempo en conformidad con el Banco.
18.- "Regulaciones de Adquisiciones" significa las "Regulaciones de Adquisiciones del Banco Mundial bajo Financiamiento de Proyectos de Inversión", de fecha 1 de julio de 2016.
19.- "Fecha de la Firma" significa la más reciente de las dos fechas en las que el Prestatario y el Banco firmaron el Convenio de Préstamo.
20.- "SIIF" significa Sistema Integrado de Información Financiera.
21.- "Capacitación" significa los gastos razonables (que no sean para gastos de servicios de consultoría) incurridos por el Prestatario correspondientes a la realización de actividades de capacitación (incluyendo talleres, conferencias y seminarios) dentro del Proyecto, incluyendo costos de viaje, remuneraciones de capacitadores y capacitandos, facilitadores y participantes, y los materiales de capacitación.
22.- "VUCE" significa Ventanilla Única de Comercio Exterior, establecida conforme a los Artículos 378 al 381 de la Ley N° 19,149 del Prestatario de fecha 16 de octubre de 2016 y debidamente publicada en el Diario Oficial del Prestatario el 11 de noviembre de 2013.
Sección II.- Modificaciones a las Condiciones Generales.
Por el presente se modifican las Condiciones Generales de acuerdo a lo siguiente:
1.- En el Índice, las referencias a las Secciones, nombres y números de las Secciones se modifican para reflejar los cambios establecidos en los párrafos que siguen a continuación.
Sección 3.01.- (Comisión Inicial) se modifica para redactarse de la manera siguiente:
"Sección 3.01.- Comisión Inicial; Cargo por Apertura de Crédito: (a) El Prestatario deberá abonar al Banco una comisión inicial sobre el monto del Préstamo a la tasa especificada en el Convenio de Préstamo (la "Comisión Inicial"). (b) El Prestatario deberá abonar al Banco un cargo por el Saldo del Préstamo no Retirado a una tasa especificada en el Convenio de Préstamo (el "Cargo por Apertura de Crédito"). El Cargo por Apertura de Crédito se devengará desde una fecha de sesenta días posteriores a la del Convenio de Préstamo hasta las fechas en las que tales montos sean retirados por el Prestatario de la Cuenta del Préstamo o sean cancelados. El Cargo por Apertura de Crédito será exigible en forma bianual con posterioridad a cada Fecha de Pago."
3.- En el Apéndice, Definiciones, todas las referencias pertinentes a los números de Secciones y párrafos se modifican, según sea necesario, para reflejar las modificaciones establecidas en el párrafo 2 anterior.
4.- Se modifica el Apéndice insertando un nuevo párrafo 19 y un nuevo párrafo 88 con la siguiente definición de "Cargo por Apertura de Crédito" y "Fecha de la Firma", respectivamente, y se reenumera los párrafos subsiguientes de forma correspondiente:
"88.- "Fecha de la Firma" significa la última de las dos fechas en las que el Prestatario y el Banco firmaron el Convenio de Préstamo."
"19.- "Cargo por Apertura de Crédito" significa el cargo por el compromiso especificado en el Convenio de Préstamo para el propósito de la Sección 3.01 (b)."
5.- En el párrafo 49 reenumerado (originalmente párrafo 48) del Apéndice la definición de "Comisión Inicial" se modifica reemplazando la referencia a la Sección 3.01 con la Sección 3.01 (a).
6.- En el párrafo 68 reenumerado (originalmente párrafo 67) del Apéndice, la definición del término "Pago del Préstamo" se modifica para redactarse de la siguiente manera:
"68.- "Pago del Préstamo" significa todo monto exigible a las Partes del Préstamo por el Banco conforme a Contratos o estas Condiciones Generales, incluyendo (pero sin limitación alguna) cualquier monto del Saldo del Préstamo Retirado, intereses, Comisión Inicial, Cargo por Apertura de Crédito, intereses moratorios (si los hubiere), cualquier prepago de una prima, cualquier tasa por operaciones de una Conversión o rescisión de una Conversión, el Cargo Fijo de Margen Variable (si lo hubiere), cualquier prima exigible tras el establecimiento de un Techo de Tasa de Interés (Interest Rate Cap) o Cuello de Tasa de Interés (Interest Rate Collar) y cualquier Monto de Liquidación exigible al Prestatario."
7.- En el párrafo 73 reenumerado (originalmente párrafo 72) del Apéndice, la definición de "Fecha de Pago" se modifica mediante el borrado de la palabrea "es" y se insertan las palabras "y los Cargos por Apertura de Crédito son" luego de la palabra "interés".
8.- Cualquier referencia a la "fecha del Convenio de Préstamo" será modificada con el término "Fecha de la Firma".
