WHEREAS the Green Climate Fund ("Fund") ante the Oriental Republic of Uruguay are conscious of the need to ensure, consistent with paragraphs 7 and 8 of the Governing Instrument for the Green Climate Fund, that the Fund and the persons associated with the Fund are covered by privileges an immunities in the Oriental Republic of Uruguay; |

CONSIDERANDO que el Fondo Verde para el Clima (el "Fondo") y la República Oriental del Uruguay son conscientes de la necesidad de garantizar, de conformidad con los párrafos 7 y 8 del Instrumento Rector del Fondo Verde para el Clima (el "Instrumento Rector"), que el Fondo y las personas asociadas con el mismo queden cubiertas por privilegios e inmunidades en la República Oriental del Uruguay; |

WHEREAS the Fund and the Oriental Republic of Uruguay agree that granting privileges and immunities to the Fund and the persons associated with the Fund is essential for the effective performance of the functions of the Fund. |

CONSIDERANDO que el Fondo y la República Oriental del Uruguay están de acuerdo en que la concesión de privilegios e inmunidades al Fondo y a las personas asociadas con el mismo es esencial para el desempeño eficaz de las funciones del Fondo. |

THE GREEN CLIMATE FUND AND THE ORIENTAL REPUBLIC OF URUGUAY HAVE AGREED AS FOLLOWS: |

For the purposes of this Agreement, the following definitions shall apply: |

(a) |
"Accountability Units" means the evaluation unit, the integrity unit and the redress mechanism established by the Board pursuant to the Governing Instrument; |
|

"Unidades de Rendición de Cuentas": significa la unidad de evaluación, la unidad de integridad y el mecanismo de corrección establecido por el Directorio en el Instrumento Rector; |
|
|
|
|
|
|
(b) |
"Agreement" means this Agreement between the Fund and the Oriental Republic of Uruguay; |
|

"Acuerdo": significa el presente Acuerdo entre el Fondo y la República Oriental del Uruguay; |
|
|
|
|
|
|
(c) |
"Archives of the Fund" means all records, correspondences, documents, manuscripts, still or moving images, audio records, computer or media data, and other digital and electronic records or other compilations of data or other materials, whether digital or otherwise, belonging to or held by the Fund; |
|
(c) |
"Archivos del Fondo": significa todos los registros, correspondencia, documentos, manuscritos, imágenes fijas y móviles, grabaciones de sonido, datos informáticos o de medios, y demás registros digitales y electrónicos, u otras compilaciones de datos u otros materiales, ya sea en forma digital o de otra índole, que pertenezcan o estén en poder del Fondo; |

|
(d) |
"Board" means the Board of the Fund; |
|

"Directorio": significa el Directorio del Fondo; |

|
|
|
(e) |
"Convention" means the United Nations Framework Convention on Climate Change, adopted in New York on May 9th, 1992 which entered into force on March 21st, 1994; |
|

"Convención": significa la Convención Marco de las Naciones Unidas sobre el Cambio Climático, adoptada el 9 de mayo de 1992 en Nueva York, que entró en vigor el 21 de marzo de 1994; |

|
(f) |
"Custom Duties" means any fee, tax, duty or levy on articles imported or exported by the Fund for official purposes, including vehicles, equipment, materials and supplies, these duties does not include Value Added Tax; |
|

"Derechos Arancelarios": significa los derechos, impuestos o cargos sobre los artículos que el Fondo importe o exporte con fines oficiales, que incluye vehículos, equipos, materiales y suministros; estos cargos no incluyen el Impuesto al Valor Agregado; |

|
|
|
(g) |
"Executive Director" means the head of the Secretariat appointed by the Board; |
|
(g) |
"Director Ejecutivo": significa el director de la Secretaría nombrado por el Directorio; |
|
|
|
|
|
|
(h) |
"Expert" means an expert or consultant providing services under a contractual agreement with the Fund (or between the Expert ante the Fund or between an entity and the Fund), including the Accountability Units and members of the Board Committees, panels and working groups; |
|
(h) |
"Experto": significa un experto o consultor que presta servicios de conformidad con acuerdos contractuales con el Fondo (ya sea entre el experto y el Fondo o entre una entidad y el Fondo), incluidas las Unidades de Rendición de Cuentas y los miembros de comités, paneles y grupos de trabajo del Directorio; |

|
|
(i) |
"Observers" means active observers invited and accredited to participate in meetings of the Board and any designated representative of an observer who has been accredited by the Fund; |
|

"Observadores": significa los observadores activos invitados y acreditados a participar en las reuniones del Directorio, así como cualquier representante designado de un observador que haya sido acreditado por el Fondo; |

|
|
|
(j) |
"Officials" means the members and alternate members of the Board and their advisers, the Executive Director of the Secretariat and other staff and employees of the Fund, including staff of Accountability Units, regardless of their nationalty, except for those persons recruited locally and contracted under hourly pay; |

"Funcionarios": significa los miembros y suplentes del Directorio y sus respectivos asesores, el Director Ejecutivo de la Secretaría, y otros funcionarios y empleados del Fondo, incluido el personal de las Unidades de Rendición de Cuentas, sin perjuicio de su nacionalidad, con la excepción de las personas reclutadas a escala local y aquellas que han sido contratadas por hora; |

|
|
(k) |
"Party" or "Parties" means the Fund and/or the Oriental Republic of Uruguay; |

"Parte" o "Partes": significa el Fondo y/o la República Oriental del Uruguay, según sea el caso; |

|
|

"Property of the Fund" means the assets, funds, income and rights belonging to, or held or managed by, the Fund; and |

"Bienes del Fondo": significa los activos, fondos, ingresos y derechos que pertenezcan al Fondo, o estén en su poder o bajo su administración; y |

|
|
|
|
(m) |
"Secretariat" means the Secretariat of the Fund created by the Fund in accordance with the Governing Instrument. |

In order to enable to Fund to effectively fulfil its purpose and carry out its functions, the status, immunities, exemptions and privileges set out hereinafter shall be granted to the Fundo and the persons associated with it in the territory of the Oriental Republic of Uruguay. |

Para permitir que el Fondo cumpla de manera eficaz con su objeto y lleve a cabo sus funciones, se le conferirán al Fondo y a las personas asociadas con el mismo, es estatus, las inmunidades, las exenciones y los privilegios previstos en el presente en todo el territorio de la República Oriental del Uruguay. |

The Fund shall possess juridical personality and, in particular, shall have full capacity: |

1. The Fund shall enjoy immunity from all judicial proceedings, except in cases arising out of or in connection with the exercise of its powers to borrow money, to guarantee obligations or to buy and sell securities, in which case actions may be brought against the Fund before a competent Court in the territory of a country in which the Fund has its principal office or branches, or has appointed an agent for the purpose of receiving notices or has issued or guaranteed securities. |

El Fondo disfrutará de inmunidad contra todo tipo de proceso judicial, excepto en los casos que surjan o se relacionen con el ejercicio de sus facultades para tomar dinero en préstamo, garantizar obligaciones, o comprar y vender valores, en cuyos casos se podrán interponer acciones contra el Fondo ante un tribunal competente, en el territorio del país donde el Fondo tenga su domicilio principal o una sucursal, o donde haya nombrado a un representante para recibir notificaciones, o donde haya emitido o garantizado títulos valores. |

2. The property and assets of the Fund, wherever located and by whomsoever held, shall enjoy immunity from all forms of confiscation, seizure, execution and garnishment, prior to the final judgment against the Fund. |

Inviolability of Premises an Immunity of Assets |

1. Any premises occupied or used by Fund, in agreement with the Oriental Republic of Uruguay, shall be inviolable and under the control and authority of the Fund. The Oriental Republic of Uruguay shall ensure the protection of and the provision of public services for, any such premises. |
|
1. Cualquier predio e instalaciones utilizadas por el Fondo, con la anuencia de la República Oriental del Uruguay, serán inviolables y estarán bajo el control y la autoridad del Fondo. La República Oriental del Uruguay garantizará la protección de, y la prestación de servicios públicos para dichos predios e instalaciones. |

|
2. The property and assets of the Fund, wherever located and by whomsoever held, shall be immune from search, requisition, confiscation, expropriation or any other form of taking or foreclosure any executive or legislative action. |

The Archives of the Fund, and in general all documents and data, in whatever format, including electronic formats, belonging to the Fund or held by it, shall be inviolable wherever located. |

Subject to the provisions of this Agreement and the laws and regulations of the Oriental Republic of Uruguay, and without being restricted by financial controls, regulations or moratoria of any kind. |

(a) |
The Fund may hold funds, gold or currency of any kind and operate accounts in any currency; and |

|
|
|
(b) |
The Fund shall be free to transfer its funds, gold or currency from one country to another or within any country, and to convert any currency held by it into any other currency. |

Privileges and Communications |

|
|
The official communications of the Fund shall receive a treatment not less favorable than that accorded by the Oriental Republic of Uruguay to the official communications of any international organization present in the Oriental Republic of Uruguay. |

Las Comunicaciones oficiales del Fondo recibirán un tratamiento no menos favorable que aquél que se da a las comunicaciones oficiales de las organizaciones internacionales presentes en la República Oriental del Uruguay. |

Immunities and Communications of Officials of the Fund |

|
|
|
1. All members and alternate members of the Board, their Advisers, the Executive Director, an Officials of the Fund, and Experts shall: |

1. Todos los miembros y miembros suplentes del Directorio, sus Asesores, el Director Ejecutivo y los Funcionarios del Fondo, incluídos los Expertos; |
|
|
|
|
|
(a) |
Enjoy immunity from legal process in respect of acts performed by them in their official capacity, except where the Fund has waived immunity; |
|
(a) |
serán inmunes a todo proceso judicial con respecto a los actos que ejecuten en su calidad oficial, excepto cuando el Fondo haya renunciado a la inmunidad; |
|
|
|
|
|
|
(b) |
Be accorded, if they are not locally recruited citizens or nationals, the same treatment as regards immigration requirements, foreign registration requirements and national service obligations, as well as the same facilities for exchange of regulations, which the Oriental Republic of Uruguay grants to representatives, officials and employees of comparable rank from other international organizations; and |

(b) |
se les concederá, cuando no sean ciudadanos o locales, el mismo tratamiento con respecto a los requisitos de inmigración, requisitos de registro de extranjeros y obligaciones de servicio nacional, así como las mismas facilidades para el intercambio de reglamentación, que la República Oriental del Uruguay otorga a los representantes, funcionarios y empleados de rango similar de otras organizaciones internacionales; y |

(c) |
Enjoy the same treatment in relation to the travel facilities which the Oriental Republic of Uruguay grants to representatives, officials and employees of comparable ranks of other international organizations. |

2. In addition to the provisions set forth in paragraph 1 of this Article, members and alternate members of the Board and the Executive Director while exercising their functions, shall enjoy in the territory of the Oriental Republic of Uruguay immunity from personal arrest or detention and from seizure of personal baggage. |

Además de las disposiciones previstas en el párrafo 1 del presente Artículo, los miembros y suplentes del Directorio y el Director Ejecutivo, mientras llevan a cabo sus funciones disfrutarán en todo el territorio de la República Oriental del Uruguay de inmunidad de arresto o detención personal, así como de inmunidad de confiscación de equipaje personal. |

3. Observers and individuals not covered by paragraph 1 of this Article invited and accredited by the Fund to participate in conferences and meetings, shall, enjoy in respect of words spoken or written and all acts done by them in their capacity as invitees of the Fund, immunity from legal process of every kind. |

Los Observadores y las personas no cubiertas en el párrafo 1 del presente Artículo invitadas y acreditadas por el Fondo a participar en conferencias y asambleas, disfrutarán de inmunidad respecto a todo tipo de proceso judicial con respecto a las palabras que pronuncien o escriban, y todos los actos que ejecuten en su calidad de invitados del Fondo. |

|
1. The Oriental Republic of Uruguay shall facilitate transit, including the expeditious processing of visa applications, to members and alternate members of the Board, their Advisers, the Executive Director, Officials of the Fund, an Experts. |

1. La República Oriental del Uruguay facilitará el tránsito, que incluye la pronta tramitación de solicitudes de visas, a los miembros y suplentes del Directorio, el Director Ejecutivo, los Funcionarios y los Expertos del Fondo. |
|
|
|
|
|
2. The Oriental Republic of Uruguay shall grant visa applications to Observers and other invitees of the Fund, for the purpose of participating in meetings and conferences organized by the Fund. |
|
2. La República Oriental del Uruguay otorgará solicitudes de visa a los Observadores y otras personas invitadas por el Fondo, para participar en asambleas o conferencias organizadas por el Fondo. |

|
|
|
3. The Oriental Republic of Uruguay shall recognize the use of the United Nations laissez passer by the Fund's Officials, if so authorized by the United Nations, and the use of any other travel document approved by the Board, for use by members and alternate members of the Board, the Executive Director, and Officials and Experts. |

La República Oriental del Uruguay reconocerá el uso del salvoconducto de las Naciones Unidas por parte de los funcionarios del Fondo, y el uso de cualquier otro documento de viaje aprobado por el Directorio, para ser usado por los miembros y suplentes del Directorio, el Director Ejecutivo, los Funcionarios y los Expertos. |

1. The Fund, its assets, property, revenues and its operations and transactions shall be exempt from any direct tax or levy. |
|
1. El Fondo, sus activos, bienes, ingresos y operaciones y transacciones estarán exentas de todos los impuestos y cargos directos. |
|
|
|
|
|
2. While the Fund will not, as a general rule, claim exemption from excise duties and from taxes on the sale of movable and immovable property which form part of the price to be paid, nevertheless when the Fund is making important purchases for official use of property on which such duties and taxes have been charged or are chargeable, the Oriental Republic of Uruguay will, whenever possible, make appropriate administrative arrangements for the remission or return of the amount of duty or tax. |

Si bien el Fondo, como regla general, no reclamará la exención de impuestos especiales o indirectos e impuestos sobre la venta de bienes muebles e inmuebles que forman parte del precio a pagar, de todas formas, cuando el Fondo realiza compras importantes para uso oficial de bienes sobre los cuales dichos impuestos y cargos son imputables, la República Oriental del Uruguay, hará, siempre que sea posible, los arreglos administrativos pertinentes para la remisión o devolución del monto de dicho impuesto o cargo. |

3. No tax shall be levied on or in respect of salaries and emoluments paid by the Fund to members and alternate members of the Board and their Advisers, the Executive Director, and Officials of the Fund, except to those who are citizens or nationals of the Oriental Republic of Uruguay. |

Los salaries y emolumentos pagados por el Fondo a los miembros y suplentes del Directorio y sus Asesores, el Director Ejecutivo, y Funcionarios del Fondo, incluidos los Expertos, no estarán sujetos a impuestos, excepto para aquellos que sean oriundos o ciudadanos de la República Oriental del Uruguay. |

|
The Fund, in its, discretion, may waive any of the privileges, immunities and exemptions conferred by this Agreement, in any case or instance, in such form and under such conditions as it deems appropriate in the interests of the Fund, taking into account that privileges and immunities are accorded to members and alternate members of the Board, their Advisers, the Executive Director, Officials of the Fund, and Experts, in the interest of the effective functioning of the Fund and not for the personal benefit of the individuals themselves. Therefore, the Fund shall have both the right and the duty to waive the immunity of the members, alternate members of the Board, their Advisers, the Executive Director, Officials of the Fund, and Experts, in any case when, in the opinion of the Fund, the immunity would impede the course of justice and where it may be waived, without prejudice to the purpose for which immunity is granted or to the interests of the Fund, as appropriate. |

El Fondo, a su discreción, podrá renunciar a cualquiera de los privilegios, inmunidades y exenciones conferidos en el presente Acuerdo en cualquier caso o instancia, en la forma y condiciones que determine sean apropiadas en el interés del Fondo, tomando en cuenta que los privilegios e inmunidades se otorgan a los miembros y suplentes del Directorio, sus Asesores, el Director Ejecutivo, los Funcionarios, incluidos los Expertos no para su beneficio personal, sino en el interés del funcionamiento efectivo del Fondo. Por lo tanto, el Fondo no solo tiene el derecho sino la obligación de renunciar a la inmunidad de los miembros y suplentes del Directorio, sus Asesores, el Director Ejecutivo, los Funcionarios, incluidos los Expertos en cualquier caso en el cual, en opinión del Fondo, la inmunidad impidiera el curso de la justicia, y cuando se pueda renunciar a ésta, sin perjuicio del objeto para el cual se otorga la inmunidad, o de los intereses del Fondo, según sea el caso. |

Settlements of Disputes |

|
1. The Parties will seek to settle any dispute relating to the application or interpretation of this Agreement by mutual consultation. |
|
1. Las Partes procurarán resolver cualquier disputa relacionada con la interpretación del presente Acuerdo mediante consultas mutuas. |
|
|
|
|
|
2. In the event that a dispute cannot be resolve by consultation within six (6) months, any dispute, controversy or claim arising out of or in relation to this Agreement, or the existence, interpretation, application, breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the Permanent Court of Arbitration (PCA) Arbitration Rules 2012 and: |

Si una disputa no puede resolverse mediante consultas mutuas dentro de un plazo de seis (6) meses, cualquier disputa, controversia o reclamo que surja de o con relación al presente Acuerdo, o la existencia, interpretación, aplicación, incumplimiento, rescisión o invalidad del mismo, deberá resolverse por arbitraje de acuerdo con las Reglas de la Corte Permanente de Arbitraje (la CPA) de 2012, y; |

|
|
(a) |
The number of arbitrators shall be three; |

The place of arbitration shall be The Hague, the Netherlands, at the seat of the Permanent Court of Arbitration; |

The language to be used in the arbitral proceedings shall be English; and |

The Parties hereby waive their right to any form of recourse against an award to any Court or other competent authority, insofar as such waiver can validly be made under the applicable law. |

Las Partes renuncian en este acto a su derecho a cualquier forma de recurso contra un laudo ante cualquier tribunal u otra autoridad competente, en la medida en que dicha renuncia se pueda efectuar válidamente al amparo de la ley aplicable. |

|
1. The Oriental Republic of Uruguay and the Fund may enter into such supplementary agreements as may be necessary within the scope of this Agreement. |

1. La República Oriental del Uruguay y el Fondo podrán celebrar los acuerdos suplementarios que sean necesarios dentro del ámbito del presente Acuerdo. |

|
|
|
2. This Agreement shall enter into force after the date on which the Ministry of Foreign Affairs of the Oriental Republic of Uruguay notifies the Executive Director of the Fund that all requirements for its entry into force have been fulfilled. |
|
2. El presente Acuerdo entrará en vigencia luego de la fecha en la que el Ministerio de Relaciones Exteriores de la República Oriental del Uruguay notifique al Director Ejecutivo del Fondo el cumplimiento de todos los requisitos para su entrada en vigencia. |

3. This Agreement may be modified and amended by the written consent of both Parties at any time. Such modifications and amendments shall enter into force in accordance with the provisions of the preceding paragraph. |

3. El presente Acuerdo podrá ser modificado y enmendado por consentimiento escrito de ambas Partes en cualquier momento. Dichas modificaciones y enmiendas entrarán en vigencia de acuerdo con las disposiciones del párrafo precedente. |

|
4. This Agreement shall remain in force indefinitely. Nevertheless, any of the Parties may notify in writing their intention to denounce it, at least one hundred and eighty (180) days in advance. Any termination shall be without prejudice to any situation which occurred prior the effective date of termination. |

4. El presente Acuerdo tendrá vigencia indefinida. Sin embargo, cualesquiera de las Partes podrá notificar por escrito su intención de denunciar el Acuerdo, al menos ciento ochenta (180) días previo a la fecha. Cualquier rescisión del mismo será sin perjuicio de cualquier situación que ocurra con anterioridad a la fecha efectiva de finalización del acuerdo. |

5. This Agreement has been executed in English and Spanish, both versions being deemed authentic. In case of discrepancies resulting from the translation of the document, the text in English shall prevail. |
