VISTO: el proyecto de Contrato de Préstamo N° 8675-UY, a celebrarse entre la República Oriental del Uruguay (ROU) y el Banco Internacional de Reconstrucción y Fomento (BIRF), destinado a financiar el "Proyecto de Apoyo a la Mejora de la Calidad de la Educación Inicial y Primaria en Uruguay".
RESULTANDO: I) que el monto total del financiamiento asciende a la suma de U$S 40:000.000 (cuarenta millones de dólares de los Estados Unidos de América), que será amortizado en un plazo de 10 (diez) años, con 5 (cinco) años de gracia y con una tasa de interés variable.
II) que dicho préstamo fue formalmente aprobado por el Directorio Ejecutivo del BIRF en sesión de fecha 16 de diciembre de 2016.
III) que la Administración Nacional de Educación Pública (ANEP) será el Organismo Ejecutor del referido Programa.
CONSIDERANDO: que corresponde proceder a la aprobación del proyecto de Contrato de Préstamo negociado y del correspondiente Convenio de Subejecución y Transferencia de Recursos, a celebrarse, el primero, entre ROU y BIRF, y el segundo, entre ROU y ANEP, así como autorizar que los mismos sean suscritos, en representación del país, por el Señor Ministro de Ecónomía y Finanzas, Cr. Danilo Astori o por el Señor Subsecretario de Economía y Finanzas, Cr. Pablo Ferreri, indistintamente.
ATENTO: a lo dispuesto por el artículo 145 de la Ley N° 15.851 de 24 de diciembre de 1986,
EL PRESIDENTE DE LA REPÚBLICA
RESUELVE:
Apruébase el proyecto de Contrato de Préstamo a celebrarse entre la República Oriental del Uruguay (ROU) y el Banco Internacional de Reconstrucción y Fomento (BIRF), por un monto total de U$S 40:000.000 (cuarenta millones de dólares de los Estados Unidos de América), destinado a financiar el "Proyecto de Apoyo a la Mejora de la Calidad de la Educación Inicial y Primaria en Uruguay", cuyo texto constituye parte integrante de la presente Resolución.
Apruébase el proyecto de Convenio de Subejecución y Transferencia de Recursos del Préstamo, a celebrarse entre la República Oriental del Uruguay (ROU) y la Administración Nacional de Educación Pública (ANEP), cuyo texto constituye parte integrante de la presente Resolución.
Los referidos contratos serán oportunamente otorgados y suscritos, en nombre y representación del país, por el Señor Ministro de Economía y Finanzas, Cr. Danilo Astori o por el Señor Subsecretario de Economía y Finanzas, Cr. Pablo Ferreri, indistintamente.
Desígnanse, indistintamente, a los Dres. Ricardo Pérez Blanco, Marcos Álvarez Rego y Fernando Scelza, para que expidan por la República los dictámenes jurídicos correspondientes.

LOAN AGREEMENT
Agreement dated , 201 , between REPÚBLICA ORIENTAL DEL URUGUAY ("Borrower") and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT ("Bank"). The Borrower and the Bank hereby agree as follows:
ARTICLE I - GENERAL CONDITIONS; DEFINITIONS
1.01. The General Conditions (as defined in the Appendix to this
Agreement) constitute an integral part of this Agreement.
1.02. Unless the context requires otherwise, the capitalized terms
used in this Agreement have the meanings ascribed to them in
the General Conditions or in the Appendix to this Agreement.
ARTICLE II - LOAN
2.01. The Bank agrees to lend to the Borrower, on the terms and
conditions set forth or referred to in this Agreement, the
amount of forty million Dollars ($ 40,000,000)„ as such amount
may be converted from time to time through a Currency
Conversion in accordance with the provisions of Section 2.08 of
this Agreement ("Loan"), to assist in financing the project
described in Schedule 1 to this Agreement ("Project").
2.02. The Borrower may withdraw the proceeds of the Loan in
accordance with Section IV of Schedule 2 to this Agreement.
2.03. The Front-end Fee payable by the Borrower shall be equal to one
quarter of one percent (0.25%) of the Loan amount.
2.04. The Commitment Charge payable by the Borrower shall be equal to
one quarter of one percent (0.25%) per annum on the Unwithdrawn
Loan Balance.
2.05. The interest payable by the Borrower for each Interest Period
shall be at a rate equal to the Reference Rate for the Loan
Currency plus the Variable Spread; provided, however, that the
interest payable shall in no event be less than zero percent
(0%) per annum; and provided furthermore that, upon a
Conversion of all or any portion of the principal amount of the
Loan, the interest payable by the Borrower during the
Conversion Period on such amount shall be determined in
accordance with the relevant provisions of Article IV of the
General Conditions. Notwithstanding the foregoing, if any
amount of the Withdrawn Loan Balance remains unpaid when due
and such non-payment continues for a period of thirty days,
then the interest payable by the Borrower shall instead be
calculated as provided in Section 3.02 (e) of the General
Conditions.
2.06. The Payment Dates are February 15 and August 15 in each year.
2.07. The principal amount of the Loan shall be repaid in accordance
with the amortization schedule set forth in Schedule 3 to this
Agreement.
2.08.
(a)
The Borrower may at any time request any of the following Conversions of the terms of the Loan in order to facilitate prudent debt management: (i) a change of the Loan Currency of all or any portion of the principal amount of the Loan, withdrawn or unwithdrawn, to an Approved Currency; (ii) a change of the interest rate basis applicable to: (A) all or any portion of the principal amount of the Loan withdrawn and outstanding from a Variable Rate to a Fixed Rate, or vice versa; or (B) all or any portion of the principal amount of the Loan withdrawn and outstanding from a Variable Rate based on a Reference Rate and the Variable Spread to a Variable Rate based on a Fixed Reference Rate and the Variable Spread, or vice versa; or (C) all of the principal amount of the Loan withdrawn and outstanding from a Variable Rate based on a Variable Spread to a Variable Rate based on a Fixed Spread; and (iii) the setting of limits on the Variable Rate or the Reference Rate applicable to all or any portion of the principal amount of the Loan withdrawn and outstanding by the establishment of an Interest Rate Cap or Interest Rate Collar on the Variable Rate or the Reference Rate.
(b)
Any conversion requested pursuant to paragraph (a) ofthis Section that is accepted by the Bank shall be considered a "Conversion", as defined in the General Conditions, and shall be effected in accordance with the provisions of Article IV of the General Conditions and of the Conversion Guidelines.
ARTICLE III - PROJECT
3.01. The Borrower declares its commitment to the objectives of the
Project. To this end, the Borrower shall cause the Project
Implementing Entity to carry out the Project in accordance with
the provisions of Article V of the General Conditions and the
Project Agreement.
3.02. Without limitation upon the provisions of Section 3.01 of this
Agreement, and except as the Borrower and the Bank shall
otherwise agree, the Borrower shall ensure that the Project is
carried out in accordance with the provisions of Schedule 2 to
this Agreement.
ARTICLE IV - REMEDIES OF THE BANK
4.01. The Additional Event of Suspension consists of the following,
namely that the Law No. 18.437 or any provision thereof shall
have been amended, suspended, abrogated, repealed, waived or
not enforced in such a manner so as to materially and adversely
affect, in the opinion of the Bank, the ability of the Project
Implementing Entity to perform any of its obligations under the
Project Agreement.
4.02. The Additional Event of Acceleration consists of the following,
namely that, any event specified in Section 4.01 of this
Agreement occurs.
ARTICLE V - EFFECTIVENESS; TERMINATION
5.01. The Additional Condition of Effectiveness consists of the
following, namely that, the Inter-Administrative Agreement has
been executed on behalf of the Borrower and the Project
Implementing Entity in a manner acceptable to the Bank.
5.02. The Additional Legal Matters consist of the following, namely,
that the Inter-Administrative Agreement, has been duly
authorized or ratified by, and executed and delivered on behalf
of, the Borrower and the Project Implementing Entity, and is
legally binding upon the Borrower and the Project Implementing
Entity in accordance with the terms of the Inter-Administrative
Agreement.
5.03. The Effectiveness Deadline is the date ninety (90) days after
the date of this Agreement.
ARTICLE VI - REPRESENTATIVE; ADDRESSES

SCHEDULE 1
Project Description
The objectives of the Project are to improve the teaching practices and the learning environment in early and primary education, as well as the internal efficiency in primary education, al in Full-Time Schools, and to strengthen the evaluation capacity of the education system.
The Project consists of the following parts:
Part 1. Early Education.
1. Provision of support to increase access to early education,
through the construction and/or rehabilitation of approximately
twenty (20) classrooms in selected Full-Time Schools for
three-year old students, including the acquisition of equipment
for said Full-Time Schools.
2. Provision of support for: (a) the setting up of libraries
(including a mobile shelf space) and the acquisition of didactic
games and toys in every selected Full-Time School with a
classroom for three year olds students; (b) the scaling-up of an
early-childhood evaluation (EIT) to assess students across a
number of key dimensions such as self-awareness, awareness of the
environment, social abilities, language, communication, and motor
skills; (c) the development of a local version of an EIT; and (d)
the carrying out of activities aimed at using the information
produced by the EIT referred to in (b) herein.
3. Provision of in-service training for early education teachers of
Full-Time Schools, through, inter alia: (a) the design of an
in-service training course on early education; and (b) the
implementation of said training course.
Part 2. Primary Education.
1. (a) Construction and/or rehabilitation of approximately twenty
(20) selected primary FullTime Schools, including the acquisition
of equipment for said Full-Time Schools; and (b) (i) carrying out
of preventive maintenance activities in selected Full-Time
Schools; and (ii) provision of technical assistance to school
management committees to manage and coordinate said preventive
maintenance activities.
2. Provision oftechnical assistance to supervisors and school
principals of Full-Time Schools, including, inter alia, the
provision of training and the preparation of guidelines on
classroom management, periodic evaluations of learning, learning
planning and allocation of teacher's time.
3. Provision of in-service training for primary education teachers
of Full-Time Schools, through, inter alia: (a) the adjustment of
existing in-service training programs to foster modem pedagogies
adapted to the special needs and bottlenecks of the Borrower's
education system; (b) the acquisition of goods required therefor;
(c) the provision of technical and operational support to CEIP's
teacher training institute.
Part 3. Transition between Primary, and Secondary Education.
1. (a) Strengthening the second cycle of primary education through
the provision of in-service training for sixth grade teachers of
Full-Time Schools in providing remedia support to students most
at-risk in the transition to secondary education; and (b)
carrying out of a pilot remedial course for sixth grade at-risk
students aimed at providing them with the tools needed to succeed
in their transition to secondary education, including the
carrying out of a study concerning the short-term impact of said
pilot remedial course.
2. Provision of support for the setting up of pilot alliances
between Full-Time Schools (providing primary education) and
secondary schools, in order to support primary education
graduates sustain their accomplishments in their trajectory to
secondary education, through, inter alia: (a) the fostering of
student exchanges to help primary students gather information,
align expectations and provide academic preparation for the
transition to secondary education; and (b) the carrying out of
seminars between primary education teachers of Full-Time Schools
and secondary education teachers.
Part 4. Monitoring and Evaluation System.
1. Strengthening the evaluation capacity of the Borrower's education
system, through, inter alia: (a) the carrying out of standardized
learning evaluations to identify learning gaps and students at
risk by evaluating the learning achievements of students at the
end of the second grade; (b) the enhancement of the GURI's
functioning through the provision of support for: (i) the
incorporation of new data fields in the system; and (ii) the
improvement of GURI's interactive platforms' design; (c) the
design and maintenance of an early-warning system to target at
risk students with specific programs; (d) the carrying out of at
least two impact evaluations to understand the impact of key
components of the Project and/or identify promising low-cost
innovations that could be easily scaled-up; (e) the carrying out
of a nationwide diagnosis on gender equality for the education
sector; and (f) the provision of technical support for the
carrying out of any other studies, evaluations and/or assessments
on early and primary education activities to develop education
policies acceptable to the Bank.
2. Provision of support for the implementation, monitoring and
evaluation of the Project, including the provision of technical
assistance to enhance the Project's communication strategy and
disseminate the impact of the Project's activities.
SCHEDULE 2
Project Execution
Section I. Implementation Arrangements
A. Inter-Administrative Agreement.
1. To facilitate the carrying out of the Project, the Borrower shall
make the proceeds of the Loan available to the Project
Implementing Entity, under a subsidiary agreement between the
Borrower and the Project Implementing Entity, under terms and
conditions approved by the Bank (the "Inter-Administrative
Agreement").
2. The Borrower shall exercise its rights and carry out its
obligations under the Inter-Administrative Agreement in such
manner as to protect the interests of the BorroWer and the Bank
and to accomplish the purposes of the Loan. Except as the Bank
shall otherwise agree, the Borrower shall not assign, amend,
abrogate, waive, termínate or fail to enforce the
Inter-Administrative Agreement or any of its provisions.
B. Anti-Corruption
1. The Borrower shall ensure, and shall cause the Project Implementing Entity to ensure, that the Project is carried out in accordance with the provisions of the Anti-Corruption Guidelines.
C. Safeguards.
1. The Borrower shall cause the Project Implementing Entity to
ensure that the Project is carried out in accordance with the
provisions of the Environmental and Social Management Framework
and the Resettlement Policy Framework.
2. The Borrower shall cause the Project Implementing Entity to
ensure that the terms of reference for any consultancies related
to the technical assistance provided under the Project, shall be
acceptable to the Bank following its review thereof and, to that
end, such terms of reference shall duly incorporate the
requirement of the Bank's Safeguard Policies then in force, as
applied to the advice conveyed through such technical
assistance.
Section II. Project Monitoring Reporting and Evaluation
A. Project Reports
1. The Borrower shall cause the Project Implementing Entity to: (a)
monitor and evaluate the progress of the Project and prepare
Project Reports; and (b) furnish to the Bank said Project
Reports, all as provided in Section II.A. 1 of the Schedule to
the Project Agreement.
B. Financial Management, Financial Reports and Audits
1. The Borrower shall cause the Project Implementing Entity to
maintain a financial management system in accordance with the
provisions of Section 5.09 of the General Conditions.
2. Without limitation on the provisions of Part A of this Section,
the Borrower shall cause the Project Implementing Entity to
prepare and furnish to the Bank as part of the Project Report,
interim unaudited financial reports for the Project, as provided
in Section II.B.2 of the Schedule to the Project Agreement.
3. The Borrower shall cause the Project Implementing Entity to have
its financial statements audited as provided in Section II.B.3 of
the Schedule to the Project Agreement.
Section III. Procurement
All goods, works, non-consulting services and consulting services
required for the Project and to be financed out of the proceeds
of the Loan shall be procured in accordance with the provisions
of Section III of the Schedule to the Project Agreement.
Section IV. Withdrawal of Loan Proceeds
A. General
1. The Borrower may withdraw the proceeds of the Loan in accordance
with the provisions of Article II of the General Conditions, this
Section, and such additional instructions as the Bank shall
specify by notice to the Borrower (including the "World Bank
Disbursement Guidelines for Projects" dated May 2006, as revised
from time to time by the Bank and as made applicable to this
Agreement pursuant to such instructions), to finance Eligible
Expenditures as set forth in the table in paragraph 2 below.
2. The following table specifies the categories of Eligible
Expenditures that may be financed out of the proceeds of the Loan
("Category"), the allocation of the amounts of the Loan to each
Category, and the percentage of expenditures to be financed for
Eligible Expenditures in each Category.

B. Withdrawal Conditions; Withdrawal Period
1. Notwithstanding the provisions of Part A of this Section, no
withdrawal shall be made:
(a) for payments made prior to the date of this Agreement,
except that withdrawals up to an aggregate amount not to
exceed eight million Dollars ($ 8,000,000) may be made for
payments made prior to this date but on or after March 1,
2016 (but in no case more than one (1) year prior to the
date of this Agreement), for Eligible Expenditures, provided
that the pertinent obligations/conditions set forth in this
Agreement and in the Additional Instructions, as applicable
to each Eligible Expenditure have been complied with in a
manner acceptable to the Bank; and
(b) under Category (1), unless the Borrower has furnished to the
Bank in respect of any DLI upon submission by the Borrower,
supporting documentation acceptable to the Bank confirming
the achievement of the respective DLI or DLIs, as further
elaborated in the Additional Instructions.
2. Notwithstanding the provisions of paragraphs 1(a) and 1(b) of
this Section, if the Bank is not satisfied that any DLI under
Category (1) has been achieved by the date by which the
respective DLI is set to be achieved, as set forth in Schedule 4
to this Agreement, the Bank may at any time, and by notice to the
Borrower, decide, in its sole discretion to:
(a) withhold the unwithdrawn proceeds of the Loan then allocated
to said DLI until the Bank is satisfied that said DLI has
been fully achieved; or
(b) (i) reallocate all or a portion of the proceeds of the Loan
then allocated to said DLI to any other DLI; and/or (ii)
cancel all or a portion of the proceeds of the Loan then
allocated to said DLI.
3. If, at any time, the Bank determines that any portion of the
amounts withdrawn by the Borrower under Category (1) was made:
(i) for ineligible expenditures; or (ii) not in compliance with
the provisions of paragraph 1(b) of this Section, the Borrower
shall promptly refund any such amount to the Bank as the Bank
shall specify by notice to the Borrower. The Bank may cancel such
refunded amount.
4. The Closing Date is May 31, 2022.
Section V. Other Undertakints
Without limitation to the provisions set forth in Section 5.02(b) of the General Conditions, the Borrower shall take all necessary actions to enable the Project Implementing Entity to comply with its obligations under the Project Agreement.
SCHEDULE 3
Amortization Schedule
1. The following table sets forth the Principal Payment Dates of the
Loan and the percentage of the total principal amount of the Loan
payable on each Principal Payment Date ("Installment Share"). If
the proceeds of the Loan have been fully withdrawn as of the
first Principal Payment Date, the principal amount of the Loan
repayable by the Borrower on each Principal Payment Date shall be
determined by the Bank by multiplying: (a) Withdrawn Loan Balance
as of the first Principal Payment Date; by (b) the Installment
Share for each Principal Payment Date, such repayable amount to
be adjusted, as necessary, to deduct any amounts referred to in
paragraph 4 of this Schedule, to which a Currency Conversion
applies.

2. If the proceeds of the Loan have not been fully withdrawn as
of the first Principal Payment Date, the principal amount of the
Loan repayable by the Borrower on each Principal Payment Date
shall be determined as follows:
(a) To the extent that any proceeds of the Loan have been
withdrawn as of the first Principal Payment Date, the
Borrower shall repay the Withdrawn Loan Balance as of such
date in accordance with paragraph 1 of this Schedule.
(b) Any amount withdrawn after the first Principal Payment Date
shall be repaid on each Principal Payment Date falling after
the date of such withdrawal in amounts determined by the
Bank by multiplying the amount of each such withdrawal by a
fraction, the numerator of which is the original Installment
Share specified in the table in paragraph 1 of this Schedule
for said Principal Payment Date ("Original Installment
Share") and the denominator of which is the sum of all
remaining Original Installment Shares for Principal Payment
Dates falling on or after such date, such amounts repayable
to be adjusted, as necessary, to deduct any amounts referred
to in paragraph 4 of this Schedule, to which a Currency
Conversion applies.

(a)
Amounts of the Loan withdrawn within two calendar months prior to any Principal Payment Date shall, for the purposes solely of calculating the principal amounts payable on any Principal Payment Date, be treated as withdrawn and outstanding on the second Principal Payment Date following the date of withdrawal and shall be repayable on each Principal Payment Date commencing with the second Principal Payment Date following the date of withdrawal.
(b)
Notwithstanding the provisions of sub-paragraph (a) of this paragraph, if at any time the Bank adopts a due date billing system under which invoices are issued on or after the respective Principal Payment Date, the provisions of such subparagraph shall no longer apply to any withdrawals made after the adoption of such billing system.
4. Notwithstanding the provisions of paragraphs 1 and 2 of this
Schedule, upon a Currency Conversion of all or any portion of the
Withdrawn Loan Balance to an Approved Currency, the amount so
converted in the Approved Currency that is repayable on any
Principal Payment Date occurring during the Conversion Period,
shall be determined by the Bank by multiplying such amount in its
currency of denomination immediately prior to the Conversion by
either: (i) the exchange rate that reflects the amounts of
principal in the Approved Currency payable by the Bank under the
Currency Hedge Transaction relating to the Conversion; or (ii) if
the Bank so determines in accordance with the Conversion
Guidelines, the exchange rate component of the Screen Rate.
5. If the Withdrawn Loan Balance is denominated in more than one
Loan Currency, the provisions of this Schedule shall apply
separately to the amount denominated in each Loan Currency, so as
to produce a separate amortization schedule for each such
amount.

APPENDDIX
Section 1. Definitions
1. "Additional Instructions" means the instructions referred to in
Section IV.A.1 of Schedule 2 to this Agreement.
2. "Anti-Corruption Guidelines" means the "Guidelines on Preventing
and Combating Fraud and Corruption in Projects Financed by IBRD
Loans and IDA Credits and Grants", dated October 15, 2006 and
revised in January 2011 and as of July 1, 2016.
3. "Bank Safeguard Policies" means the Bank's operational policies
and procedures set forth in the Bank's Operational Manual under
OP/BPs 4.01, 4.04. 4.09, 4.10, 4.11, 4.12, 4.36, 4.37, 7.50 and
7.60 as said manual is published under
www.WorldBank.org/opmanual.
4. "Category" means a category set forth in the table in Section IV
of Schedule 2 to this Agreement.
5. "ECD" means early childhood development.
6. "CEIP" means the Project Implementing Entity's Primary Education
Council (Consejo de de Educación Inicial y Primaria).
7. "Disbursement-Linked Indicator" or "DLI" means any given
indicator set forth in Schedule 4 of this Agreement, the
achievement of which is a condition for disbursement of Loan
proceeds under Category (1).
8. "EIT" early-childhood evaluation.
9. "Environmental and Social Management Framework" means the
Borrower's framework, dated October 2016, acceptable to the Bank,
published in the Project Implementing Entity's website on October
7, 2016 and on the Bank's website on October 7, 2016, and
included in the Operational Manual, which sets forth, inter alia:
(a) the applicable institutional and regulatory environmental
framework governing the Project; (b) the guidelines for carrying
out the environmental/social screenings/assessments and the
preparation and implementation of environmental management plans
when applicable; and (c) the procedures to mitigate, prevent and
manage environmental and social impacts associated with the
carrying out of Project activities, as said framework may be
amended from time to time with the prior agreement of the Bank.
10. "FulI-Time School" or "FTS" means a preschool/primary school in
the territory of the Borrower and within the administrative
jurisdiction of the Project Implementing Entity that operates in
seven and a half hour shifts on a daily basis; and "Full-Time
Schools" means any Fun-Time School.
11. "General Conditions" means the "International Bank for
Reconstruction and Development General Conditions for Loans",
dated March 12, 2012, with the modifications set forth in Section
II of this Appendix.
12. "GURI" means the Project Implementing Entity's information and
registries unified management system (sistema de gerenciamiento
unificado de registros e informacion).
13. "Inter-Administrative Agreement" means the agreement referred to
in Section I.A.1 of Schedule 2 to this Agreement, as the same
may'be amended from time to time with the agreement of the Bank,
and such term includes all schedules to said inter-Administrative
Agreement.
14. "Law No. 18.437" means Ley No. 18.437, General Law of Education
(Ley General de Educación) of the Borrower, dated December 12,
2008, published in the official gazette (Diario Oficial) on
January 16, 2009; as such law has been amended to the date of
this Agreement.
I5. "Operating Costs" means the reasonable expenditures (other than
consulting services) incurred by the Project Implementing Entity,
the PCU, the Verification Entity or any Full-Time School in
connection with the implementation of the Project including,
inter alia: rental and maintenance of equipment, vehicles and
facilities, rental of office facilities, incremental salaries of
the Verification's Entity staff, office utilities, supplies and
materials, and domestic travel, which expenditures would not have
been incurred absent the Project.
16. "Operational Manual" means the Project Implementing Entity's
manual dated November 1, 2016 acceptable to the Bank and referred
to in Section I.A.1 of the Schedule to the Project Agreement, as
said manual may be amended from time to time with the prior
written agreement of the Bank.
17. "PCU" means the Project coordination unit established in the
Project Implementing Entity, pursuant to the Project Implementing
Entity's Resolution No. 57 (February 2, 1994), and ratified
through Resolution No. 35 (October 27, 1998) and Resolution No.
40 (December 27, 2001); and referred to in Section 1.A.3(a) of
the Schedule to the Project Agreement.
18. "Preventive Maintenance Expenditures" means expenditures for
preventive maintenance of Full-Time School's facilities,
including minor civil works, goods and Operating Costs under Part
2.1(b)(i) of the Project, which schools meet the criteria set
forth in the Operational Manual.
19. "Procurement Plan" means the Borrower's procurement plan for the
Project, dated November 1, 2016 and provided for under Section IV
of the Procurement Regulations, as the same may be updated from
time to time in agreement with the Bank.
20. "Procurement Regulations" means the "World Bank Procurement
Regulations for Borrowers under Investment Project Financing",
dated July 1, 2016.
21. "Project Implementing Entity" means the Borrower's national
administration of public education (Administración Nacional de
Educación Pública), a legal entity established pursuant to the
Borrower's Law No. 15.739 of March 28, 1985.
22. "Resettlement Policy Framework" means the Borrower's framework,
dated September 2016, acceptable to the Bank, published in the
Project Implementing Entity's website on October 7, 2016 and on
the Bank's website on October 7, 2016, and included in the
Operational Manual, outlining general implementation procedures,
mitigation measures and monitoring procedures for Resettlement
under the Project, including the procedures for preparation and
implementation of resettlement action plans, when applicable, as
said framework may be amended from time to time with the Bank's
prior written approval..
23. "Training" means the reasonable expenditures incurred by the
Project Implementing Entity or the PCU for the carrying out of
training activities under the Project, including, inter alia,
reasonable costs of travel, subsistence, rental of training
facilities, per diem for trainers and trainees, registration fees
and training materials.
24. "Verification Entity" means Instituto Nacional de Evaluación
Educativa (INEED) or any other public or private entity selected
and/or hired in accordance with procedures acceptable to the
Bank.
25. "Verification Agreement" means the agreement referred to in
Section I.A.4(a) of the Schedule to the Project Agreement.
Section II. Modifications to the General Conditions
The General Conditions are hereby modified as follows:
1. In the Table of Contents, the references to Sections, Section
names and Section numbers are modified to reflect the
modifications set forth in the paragraphs below.
2. Section 3.01. (Front-end Fee) is modified to read as follows:
"Section 3.01. Front-end Fee; Commitment Charge
(a) The Borrower shall pay the Bank a front-end fee on the Loan
amount at the rate specified in the Loan Agreement (the
"Front-end Fee").
(b) The Borrower shall pay the Bank a commitment charge on the
Unwithdrawn Loan Balance at the rate specified in the Loan
Agreement (the "Commitment Charge"). The Commitment Charge shall
accrue from a date sixty days after the date of the Loan
Agreement to the respective dates on which amounts are withdrawn
by the Borrower from the Loan Account or cancelled. The
Commitment Charge shall be payable semi-annually in arrears on
each Payment Date."
3. In the Appendix, Definitions, all relevant referentes to Section
numbers and paragraphs are modified, as necessary, to reflect the
modification set forth in paragraph 2 above.
4. The Appendix is modified by inserting a new paragraph 19 with the
following definition of "Commitment Charge", and renumbering the
subsequent paragraphs accordingly:
"19. "Commitment Charge" means the commitment Charge specified
in the Loan Agreement for the purpose of Section 3.01(b)."
5. In the renumbered paragraph 49 (originally paragraph 48) of the
Appendix, the definition of "Front-end Fee" is modified by
replacing the reference to Section 3.01 with Section 3.01 (a).
6. In the renumbered paragraph 68 (originally paragraph 67) of the
Appendix, the definition of the term "Loan Payment" is modified
to read as follows:
"68. "Loan Payment" means any amount payable by the Loan
Parties to the Bank pursuant to the Legal Agreements or these
General Conditions, including (but not limited to) any amount of
the Withdrawn Loan Balance, interest, the Front-end Fee, the
Commitment Charge, interest at the Default Interest Rate (if
any), any prepayment premium, any transaction fee for a
Conversion or early termination of a Conversion, the Variable
Spread Fixing Charge (if any), any premium payable upon the
establishment of an lnterest Rate Cap or Interest Rate Collar,
and any Unwinding Amount payable by the Borrower."
7. In the renumbered paragraph 73 (originally paragraph 72) of the
Appendix, the definition of "Payment Date" is modified by
deleting the word "is" and inserting the words "and Commitment
Charge are" after the word "interest".

ARTICLE I - GENERAL CONDITIONS; DEFINITIONS

used in this Agreement have the meanings ascribed to them in
the Loan Agreement or the General Conditions.
ARTICLE II - PROJECT
2.01. The Project Implementing Entity declares its commitment to the
objectives of the Project. To this end, the Project
Implementing Entity shall carry out the Project in accordance
with the provisions of Article V of the General Conditions, and
shall provide, promptly as needed, the funds, facilities,
services and other resources required for the Project.
2.02. Without limitation upon the provisions of Section 2.01 of this
Agreement, and except as the Bank and the Project Implementing
Entity shall otherwise agree, the Project Implementing Entity
shall carry out the Project in accordance with the provisions
of the Schedule to this Agreement.

SCHEDULE
Execution of the Project
Section I. Implementation Arrangements
A. Institutional Arrangements.
1. The Project Implementing Entity shall carry out the Project in
accordance with the provisions of the Operational Manual, which
shall include, inter alia: (a) the structures, functions and
responsibilities of the PCU; (b) the Project's chart of accounts
and internal controls; (c) the formal of: (i) the unaudited
interim financial reports referred to in Section II.B.2 of this
Schedule; and (ii) the financial statements referred to in
Section II.B.1 of this Schedule; (d) the terms of reference for
carrying out the Project audits under Section II.B.3 of this
Schedule; (e) the monitoring indicators to evaluate the
performance of the Project; (f) the Project's financial and
institutional arrangements, including, inter alia: the flow of
funds structure, and selection criteria for Full-Time Schools
under Parts 1.1 and 2.1 of the Project; (g) the Environmental and
Social Management Framework and the Resettlement Policy
Framework; and (h) the arrangement for monitoring, evaluation,
and reporting of Project implementation, including Verification
Protocols to confirm DLI achievement.
2. The Project Implementing Entity shall exercise its rights and
duly perform all its obligations under the Inter-Administrative
Agreement. Except as the Bank shall otherwise agree, the Project
Implementing Entity shall not amend, suspend, abrogate, assign,
terminate, waive or fail to enforce the Inter-Administrative
Agreement or any provision thereof.
3.
(a)
The Project Implementing Entity shall operate and maintain during Project implementation the PCU with a structure, functions and responsibilities satisfactory to the Bank, including, inter alia, its responsibility to assist the Project Implementing Entity in the coordination and implementation of the Project.
(b)
The Project Implementing Entity shall ensure that the PCU is at all times headed by a Project coordinator and assisted by staff in adequate numbers, all with qualifications and experience acceptable to the Bank.
4.
(a)
Not later than three (3) months after the Effective Date, the Project Implementing Entity shall enter into an agreement (the "Verification Agreement") with an agency with experience and qualifications acceptable to the Bank (the "Verification Entity"), for purposes of assisting the Project Implementing Entity in the implementation of Part 4 of the Project (including, inter alia, the verification of compliance of selected DLIs), under terms and conditions acceptable to the Bank (as these are further detailed in the Operational Manual).
(b)
The Project Implementing Entity shall: (i) exercise its rights and carry out its obligations under the Verification Agreement in such manner as to protect the interest of the Borrower and the Bank to accomplish the purposes of the Loan; and (ii) except as the Bank shall otherwise agree, not amend, suspend, abrogate, terminate, waive or fail to enforce the Verification Agreement or any provision thereof.
(c)
In case of any conflict between the provisions of the Verification Agreement and those of the Operational Manual and/or this Agreement, the provisions of this Agreement shall prevail.
B. Anti-Corruption
The Project Implementing Entity shall ensure that the Project is
carried out in accordance with the provisions of the
Anti-Corruption Guidelines.
C. Safeguards.
1. The Project Implementing Entity shall carry out or cause the
Project to be carried out in accordance with the provisions of
the Environmental and Social Management Framework and the
Resettlement Framework.
2. The Project Implementing Entity shall ensure that the terms of
reference for any consultancies related to the technical
assistance provided under the Project, shall be acceptable to the
Bank following its review thereof and, to that end, such terms of
reference shall duly incorporate the requirement of the Bank's
Safeguard Policies then in force, as applied to the advice
conveyed through such technical assistance.
Section II. Project Monitoring, Reporting and Evaluation.
A. Project Reports
1. The Project Implementing Entity shall monitor and evaluate the
progress of the Project and prepare Project Reports the Project
in accordance with the provisions of Section 5.08 (b) of the
General Conditions and on the basis of indicators acceptable to
the Bank and set forth in the Operational Manual. Each such
Project Report shall cover the period of one calendar semester,
and shall be furnished to the Bank not later forty-five (45) days
after the end of the period covered by such report.
B. Financial Management, Financial Reports and Audits
1. The Project Implementing Entity shall maintain a financial
management system and prepare financial statements in accordance
with consistently applied accounting standards acceptable to the
Bank, both in a manner adequate to reflect the operations and
financial condition of the Project Implementing Entity, including
the operations, resources and expenditures related to the
Project.
2. Without limitation on the provisions of Part A of this Section,
the Project Implementing Entity shall prepare and furnish to the
Bank as part of each Project Report, interim unaudited financial
reports for the Project covering the semester, in form and
substance satisfactory to the Bank.
3. The Project Implementing Entity shall have its financial
statements referred to in paragraph 1 above audited by
independent auditors acceptable to the Bank, in accordance with
consistently applied auditing standards acceptable to the Bank.
Each audit of these financial statements shall cover the period
of one fiscal year of the Project Implementing Entity. The
Project Implementing Entity shall ensure that the audited
financial statements for each period shall be: (a) furnished to
the Borrower and the Bank not later than six months after the end
of the period; and (b) made publicly available in a timely
fashion and in a manner acceptable to the Bank.
Section III. Procurement
AII goods, works, non-consulting services and consulting services required for the Project and to be financed out of the proceeds of the Loan shall be procured in accordance with the requirements set forth or referred to in the Procurement Regulations and the provisions of the Procurement Plan.

NACIONAL DE EDUCACIÓN PÚBLICA
CONVENIO: En la ciudad de Montevideo, el de de 2017, comparecen POR UNA PARTE, el Ministro de Economía y Finanzas, Cr. Danilo Astori, en representación de la República Oriental del Uruguay, según resolución del Poder Ejecutivo de fecha de de 2017, constituyendo domicilio en Colonia 1089 piso 3, Montevideo, Y POR OTRA PARTE, el Presidente del Consejo Directivo Central Prof. Wilson Netto y la Secretaria General Dra. Beatriz Dos Santos, en representación de la Administración Nacional de Educación Pública (en adelante ANEP), según resolución del Consejo Directivo Central de la ANEP de fecha de de 2017, constituyendo domicilio en Avda. del Libertador 1409 piso 3°, Montevideo, quienes acuerdan la celebración del siguiente CONVENIO:
ARTICULO I
ANTECEDENTES
1- Con fecha de de 2017, la República Oriental del
Uruguay y el Banco Internacional de Reconstrucción y Fomento (en
adelante Banco Mundial) suscribieron un convenio de préstamo (N°
8675-UY) por un monto de US$ 40.000.000 (dólares estadounidenses
cuarenta millones), destinado a financiar el Proyecto de Apoyo a
la Mejora de la Calidad de la Educación Inicial y Primaria en
Uruguay, (en adelante, el Convenio de Préstamo).
2- Con fecha de de 2017, la ANEP y el Banco
Mundial celebraron un acuerdo (en adelante, Convenio de Proyecto)
mediante el cual la ANEP se compromete a llevar adelante el
proyecto en los términos y condiciones estipulados en el Anexo 1
de dicho acuerdo.
3- Que el Proyecto de referencia incluye esencialmente el
mejoramiento de las prácticas de enseñanza y el entorno de
aprendizaje en los niveles de educación inicial y primaria, la
eficiencia interna de la educación Primaria, en las escuelas de
tiempo completo, y fortalecer la capacidad de evaluación del
sistema educativo, según lo establecido en el Anexo 1 del
Convenio de Préstamo.
4- De conformidad con lo dispuesto en el Convenio de Préstamo, parte
de los fondos del préstamo mencionado serán depositados en una
cuenta especial, la cual será abierta por el MEF a tales efectos
en el Banco Central del Uruguay. Dichos fondos serán
administrados por el CODICEN, de acuerdo con los términos y
condiciones señalados en el Convenio de Préstamo.
ARTICULO II
OBJETO
El objeto del presente Convenio Interadministrativo consiste en definir las obligaciones y facultades del Prestatario, representado por el MEF, y de la ANEP, en cuanto al cumplimiento de lo establecido en el Contrato de Préstamo suscrito con el Banco Mundial.
En la forma y condiciones previstas en el mencionado Contrato de Préstamo, el MEF transferirá a la ANEP, quien asume la calidad de organismo ejecutor, los fondos del préstamo y de contrapartida, conforme a los respectivos créditos presupuestales vigentes en cada oportunidad, a efectos de financiar los gastos de ejecución del proyecto.
ARTICULO III
MONTO DEL CONVENIO
El monto del presente convenio asciende a la suma equivalente de US$ 59.000.000, de los cuales el monto equivalente a US$ 40.000.000 proviene de los fondos del Convenio de Préstamo que el MEF transferirá a la ANEP a fin de financiar los gastos elegibles del proyecto, a través de la Cuenta Especial. Los recursos de contraparte equivalentes a US$ 19.000.000 se transferirán a través de la Tesorería General de la Nación, dependiente del MEF.
Las transferencias de recursos se realizarán dentro de los créditos presupuestales aprobados para la ANEP.
ARTICULO IV
OBLIGACIONES DEL MEF
El MEF se compromete a transferir a ANEP la suma referida en el Artículo III de este convenio en los términos y condiciones establecidas en el Convenio de Préstamo 8675-UY.
ARTICULO V
OBLIGACIONES DE LA ANEP
1- La ANEP se compromete a llevar a cabo todas aquellas actividades
descritas en el Convenio de Préstamo y adoptar todas las medidas
conducentes a la correcta y eficaz ejecución del Proyecto de
Apoyo a la Mejora de la Calidad de la Educación Inicial y
Primaria en Uruguay, de acuerdo a los términos establecidos en el
Convenio del Proyecto referido en el numeral 2 del Artículo I de
este Convenio.
2- La ANEP deberá asimismo suministrar al Ministerio de Economía y
Finanzas toda la información que ésta le requiera relativa al uso
de recursos que se le transfieren por el presente Convenio.
ARTICULO VI
SUSPENSION Y CANCELACION DE DESEMBOLSOS
En el caso que el Banco Mundial suspenda los desembolsos del Préstamo o cancele el monto del Préstamo de acuerdo con lo previsto en el Convenio de Préstamo, el MEF suspenderá o cancelará la transferencia de los fondos mencionados en el Artículo III de este Convenio, dependiendo de la acción adoptada por el Banco Mundial.
ARTICULO VII
DISPOSICIONES GENERALES

Convenio de Préstamo
Celebrado el de 201 , entre la REPÚBLICA ORIENTAL DEL URUGUAY ("Prestatario") y el BANCO INTERNACIONAL DE RECONSTRUCCIÓN Y FOMENTO (el "Banco"). En virtud del presente, el Prestatario y el Banco acuerdan lo siguiente:
ARTÍCULO PRIMERO. CONDICIONES GENERALES;
DEFINICIONES
1.1. Las Condiciones generales (definidas en el Apéndice del
Convenio de Préstamo) constituyen parte integral del presente
Convenio.
1.2. A menos que el contexto indique algo distinto, los términos en
mayúsculas utilizados en el presente Convenio tienen los
significados que se les atribuyen en el Convenio de Préstamo o
en las Condiciones generales.
ARTÍCULO SEGUNDO. PRÉSTAMO
2.1. El Banco acuerda prestar al Prestatario, en virtud de los
términos y condiciones establecidos o a los que se hace
referencia en este Convenio, el monto de US$ 40.000.000
(cuarenta millones de dólares estadounidenses), que podrá ser
convertido de tiempo en tiempo mediante Conversión de monedas
según lo dispuesto en la Sección 2.08 del presente Convenio
("Préstamo"), para asistir en el financiamiento del proyecto
descrito en el Anexo 1 del presente Convenio ("Proyecto").
2.2. El Prestatario podrá retirar los fondos del Préstamo de
conformidad con lo dispuesto en la Sección IV del Anexo 2 de
este Convenio.
2.3. La Comisión inicial pagadera por el Prestatario será 0,25% (un
cuarto de uno por ciento) del monto del Préstamo.
2.4. La Comisión por compromiso pagaderas por el Prestatario será
0,25% (un cuarto de uno por ciento) anual del Saldo del
préstamo no retirado.
2.5. El interés pagadero por el Prestatario por cada Período de
intereses se calculará a una tasa igual a la Tasa de referencia
para la Moneda del Préstamo más el Margen variable;
disponiéndose, sin embargo, que el interés pagadero no será en
ningún caso inferior al 0% anual; y disponiéndose asimismo que
al convertir la totalidad o cualquier parte del monto principal
del Préstamo, el interés pagadero por el Prestatario durante el
Período de conversión sobre dicho monto se determinará según
las disposiciones aplicables del Artículo cuarto de las
Condiciones generales. No obstante lo anterior, si cualquier
monto del Saldo retirado del Préstamo quedase sin pagar a su
vencimiento y dicho incumplimiento en el pago continuara por 30
días, el interés pagadero por el Prestatario se calculará del
modo indicado en la Sección 3.02 (e) de las Condiciones
generales.
2.6. Las Fechas de pago serán el 15 de febrero y el 15 de marzo de
cada año.
ARTÍCULO QUINTO. ENTRADA EN VIGOR;
RESCISIÓN
5.1. Se entenderá por Condición complementaria de efectividad que el
Convenio interadministrativo se haya celebrado en nombre del
Prestatario y de la Institución ejecutora del Proyecto de
manera aceptable para eI Banco.
5.2. Se entenderá por Asuntos jurídicos complementarios que el
Convenio interadministrativo se haya autorizado o ratificado,
celebrado y formalizado en nombre del Prestatario y la
Institución ejecutora del Proyecto y sea legalmente vinculante
para el Prestatario y la Institución ejecutora del Proyecto
según lo dispuesto en el Convenio interadministrativo.
5.3. La Fecha de entrada en vigor del presente Convenio es 90
(noventa) días a partir de la fecha del mismo.
ARTÍCULO SEXTO. REPRESENTANTE; DOMICILIOS

ANEXO 1
Descripción del Proyecto
El Proyecto tiene como objetivos mejorar las prácticas docentes y el entorno de aprendizaje en educación inicial y primaria, además de mejorar la eficiencia interna de la educación primaria, todo ello en Escuelas de tiempo completo y consolidar la capacidad de evaluación del sistema educativo.
El Proyecto se articula en las siguientes partes:
Parte 1. Educación inicial
1. Brindar apoyo para mejorar el acceso a educación inicial a través
de la construcción o rehabilitación de cerca de 20 aulas en
Escuelas de tiempo completo seleccionadas para alumnos de tres
años de edad, incluida la adquisición de equipamiento para dichas
Escuelas.
2. Brindar apoyo para: (a) la creación de bibliotecas (incluida una
estantería móvil) y la adquisición de juegos y juguetes
didácticos en todas las Escuelas seleccionadas que cuenten con un
aula para alumnos de tres años de edad; (b) la ampliación de la
evaluación infantil temprana (EIT) para evaluar a los alumnos en
varias dimensiones claves, tales como conciencia de sí mismos y
del entorno, habilidades sociales, lenguaje, comunicación y
motricidad; el desarrollo de una versión local de EIT; y (d) la
realización de actividades dirigidas a utilizar la información
generada por la EIT mencionada en el literal (b).
3. Ofrecer capacitación en servicio para maestros de educación
inicial que trabajan en Escuelas de tiempo completo, entre otras
cosas, a través de: (a) el diseño de un curso de capacitación
sobre educación temprana en el servicio; (b) la puesta en
práctica de dicho curso.
Parte 2. Educación primaria
1. (a) Construcción, rehabilitación o ambas de aproximadamente 20
(veinte) Escuelas primarias de tiempo completo seleccionadas,
incluida la adquisición de equipamiento para las mismas; (b)
realización de actividades preventivas de mantenimiento en
determinadas Escuelas de tiempo completo; y (ii) prestación de
asistencia técnica a las comisiones administrativas de las
escuelas para la gestión y coordinación de dichas actividades
preventivas de mantenimiento.
2. Prestación de asistencia técnica a supervisores y directores de
Escuelas de tiempo completo, que incluya, entre otras cosas,
capacitación y preparación de guías de gestión de clases,
evaluaciones periódicas del aprendizaje, planificación del
aprendizaje y asignación del tiempo docente.
3. Ofrecer capacitación en el servicio para maestros de enseñanza
primaria que trabajan en Escuelas de tiempo completo, entre otras
cosas, mediante; (a) adaptación de los programas actuales de
capacitación en el servicio para promover pedagogías modernas
adaptadas a las necesidades especiales y obstáculos que enfrenta
el sistema educativo del Prestatario; (b) adquisición de los
artículos necesarios a tales efectos; (c) apoyo técnico y
operativo al centro de formación docente del CEIP.
Parte 3. Transición entre educación primaria y secundaria
1. (a) Fortalecer el segundo ciclo de educación primaria a través de
capacitación en el servicio para maestros de sexto año de
Escuelas de tiempo completo en la prestación de apoyo de
compensación para alumnos que se encuentren en mayor riesgo para
realizar la transición a educación secundaria; (b) realizar un
curso piloto de compensación para alumnos de sexto año que se
encuentran en riesgo de no aprobar, dirigido a brindar las
herramientas necesarias para que una satisfactoria transición a
educación secundaria, incluida la realización de un estudio
acerca del impacto de dicho curso piloto de compensación en el
corto plazo.
2. Brindar apoyo para la creación de alianzas experimentales entre
Escuelas de tiempo completo (que imparten enseñanza primaria) y
liceos, de modo de ayudar a los alumnos que terminan la educación
primaria a mantener sus logros en la trayectoria hacia la
educación secundaria, entre otras cosas, a través de lo
siguiente: (a) fomento de intercambios estudiantiles para ayudar
a los alumnos de primaria a recopilar información, alinear sus
expectativas y prepararse para la transición a educación
secundaria; (b) realización de seminarios entre maestros de
primaria de Escuelas de tiempo completo y profesores de educación
secundaria.
Parte 4. Sistema de seguimiento y evaluación
1. Fortalecimiento de la capacidad de evaluación del sistema
educativo del Prestatario, entre otras cosas, mediante: (a)
evaluaciones estandarizadas del aprendizaje para identificar
deficiencias de aprendizaje y alumnos que se encuentren en
situación de riesgo mediante la evaluación de los logros
académicos de los alumnos al final de segundo año; (b) mejor
funcionamiento de GURÍ a través de apoyo a: (i) la incorporación
de nuevos campos de datos en el sistema; (ii) mejor diseño de las
plataformas interactivas de GURÍ; (c) diseño y mantenimiento de
un sistema de alerta temprana que permita identificar a alumnos
que se encuentren en situación de riesgo con programa
específicos; (d) como mínimo dos evaluaciones de impacto para
comprender el efecto de los componentes claves de Proyecto o
identificar innovaciones prometedoras y de bajo costo que podrían
ampliarse con facilidad; (e) realización de un diagnóstico sobre
igualdad de género en el sector educativo con alcance nacional; y
(f) apoyo técnico para la realización de otros estudios,
evaluaciones o valoraciones de actividades de educación inicial y
primaria con miras al desarrollo de políticas educativas
aceptables para el Banco.
2. Apoyo a la puesta en marcha, el seguimiento y la evaluación del
Proyecto, incluido apoyo técnico para mejorar la estrategia de
comunicación del Proyecto y difundir el impacto de las
actividades del Proyecto.
ANEXO 2
Ejecución del Proyecto
Sección I. Disposiciones sobre la ejecución
A. Convenio interadministrativo
1. Para facilitar la puesta en marcha del Proyecto, el Prestatario
pondrá los fondos del Préstamo a disposición de la Institución
ejecutora del Proyecto en virtud de un Convenio subsidiario entre
el Prestatario y la Institución ejecutora del Proyecto, según
términos y condiciones aprobados por el Banco (el "Convenio
interadministrativo").
2. El Prestatario ejercerá sus derechos y cumplirá con sus
obligaciones en virtud del Convenio interadministrativo de modo
que se protejan los intereses del Prestatario y del Banco y se
alcancen los objetivos del Préstamo. Salvo en los casos en que el
Banco acuerde otra cosa, el Prestatario no cederá, modificará,
derogará, renunciará, terminará ni dejará de cumplir el Convenio
interadministrativo ni disposición alguna del mismo.
B. Anticorrupción
El Prestatario garantizará y dispondrá que la Institución
ejecutora del Proyecto vele por la puesta en práctica del
Proyecto de conformidad con las disposiciones de las Normas
Anticorrupción.
C. Medidas de salvaguardia
1. El Prestatario dispondrá que la Institución ejecutora del
Proyecto garantice que la ejecución del Proyecto se realice de
conformidad con lo dispuesto en el Marco de Gestión Ambiental y
Social y el Marco de Políticas de Reasentamiento.
2. El Prestatario dispondrá que la Institución ejecutora del
Proyecto garantice que los términos de referencia de toda
consultoría relacionada con el apoyo técnico brindado en el marco
del Proyecto sean aceptables para el Banco luego de examinarlos
y, con ese fin, dichos términos de referencia deberán incluir
debidamente el requisito de las Políticas de Salvaguardia del
Banco vigentes en ese momento que se hayan aplicado al
asesoramiento brindado en dicha asistencia técnica.
Sección II. Seguimiento, presentación de informes y evaluación del proyecto
A. Informes del Proyecto
1. El Prestatario dispondrá que la Institución ejecutora del
Proyecto: (a) realice el seguimiento y evalúe el avance del
Proyecto y prepare Informes del Proyecto; (b) entregue dichos
Informes del Proyecto al Banco, todo conforme a lo dispuesto en
la Sección II.A. 1 del Plan del Convenio sobre el Proyecto.
B. Gestión financiera, memorias financieras y auditorías
1. El Prestatario dispondrá que la Institución ejecutora del
Proyecto mantenga un sistema de gestión financiera conforme a lo
establecido en la Sección 5.09 de las Condiciones generales.
2. Sin limitar lo dispuesto en la Parte A de esta Sección, el
Prestatario dispondrá que la Institución ejecutora del Proyecto
elabore y entregue al Banco, como parte del Informe del Proyecto,
informes financieros no auditados del Proyecto, de conformidad
con las disposiciones de la Sección II.B.2 del Plan del Convenio
sobre el Proyecto.
3. El Prestatario dispondrá que la Institución ejecutora del
Proyecto haga auditar sus estados financieros según lo dispuesto
en la Sección II.B. del Plan del Convenio sobre el Proyecto.
Sección III. Adquisiciones
Todos los bienes, obras, servicios sean o no de consultoría,
necesarios para el Proyecto y que sean financiados a partir de
los fondos del Préstamo se adquirirán de conformidad con lo
dispuesto en la Sección III del Plan del Convenio sobre el
Proyecto.
Sección IV. Retiro de los fondos del Préstamo
A. General
1. El Prestatario podrá retirar los fondos del Préstamo de
conformidad con lo dispuesto en el Artículo segundo de las
Condiciones generales, esta Sección, y las demás instrucciones
que el Banco indique mediante notificación al Prestatario
(incluidas las "Directrices del Banco Mundial sobre los
desembolsos para proyectos" de mayo de 2006, que el Banco revisa
con periodicidad y que sean pertinentes a este Convenio en virtud
de dichas instrucciones), para el financiamiento de Gastos
admisibles según se detalla en el cuadro que figura en el numeral
2 a continuación.
2. En el siguiente cuadro se especifican las categorías de Gastos
admisibles que se podrán financiar a partir de los fondos del
Préstamo ("Categoría"), la asignación de montos del Préstamo a
cada Categoría y el porcentaje de gastos que serán financiados a
partir de Gastos admisibles en cada Categoría.

B. Condiciones para el retiro. Plazo para retiros
1. No obstante lo dispuesto en la Parte A de esta Sección, no se
realizarán retiros:
(a) para pagos realizados con anterioridad a la fecha de este
Convenio, con la excepción de que se podrán realizar retiros
hasta una suma total que no supere los US$ 8.000.000 (ocho
millones de dólares) para pagos realizados antes de dicha
fecha sino el día 1° de marzo de 2016 o a partir de esa
fecha (pero en ningún caso más de un año antes de la fecha
de este Convenio), por Gastos admisibles, siempre que se
hayan cumplido las obligaciones o condiciones pertinentes
establecidas en este Convenio y en las Instrucciones
complementarias correspondientes a cada Gasto admisible, en
una forma que resulte aceptable para el Banco;
(b) en la Categoría (1), a menos que el Prestatario haya
presentado al Banco comprobantes aceptables que documenten y
confirmen al Banco resultados con respecto a uno o más
Indicadores vinculados a los desembolsos correspondientes,
tal como se explica en mayor detalle en las Instrucciones
complementarias.
2. No obstante lo dispuesto en los literales 1(a) y 1(b) de esta
Sección, si el Banco no tiene la certeza de que algún Indicador
vinculado al desembolso de la Categoría (1) se ha logrado para la
fecha fijada para su consecución, tal como se establece en el
Anexo 4 de este Convenio, el Banco podrá en cualquier momento,
mediando aviso al Prestatario, decidir a su criterio exclusivo:
(a) retener los fondos no retirados del Préstamo asignados en
esa oportunidad a dicho Indicador vinculado al desembolso
hasta que el Banco se haya cerciorado de que se alcanzó
plenamente; o
(b) (i) reasignar la totalidad o parte de los fondos del
Préstamo asignados en esa instancia a ese Indicador
vinculado al desembolso a cualquier otro Indicador vinculado
al desembolso; o (ii) cancelar la totalidad o parte de los
fondos del Préstamo asignados a dicho Indicador vinculado al
desembolso en ese momento.
3. Si en cualquier momento el Banco determina que alguna parte de
los montos retirados por el Prestatario dentro de la Categoría
(1) se utilizó: (i) para Gastos inadmisibles; o (ii) en
incumplimiento de lo dispuesto en el párrafo 1(b) de esta
Sección, el Prestatario reembolsará inmediatamente dicha suma al
Banco de la forma en que el Banco se lo indique por escrito. El
Banco podrá cancelar dicho monto reembolsado.
4. La Fecha de cierre es el 31 de mayo de 2022.
Sección V. Otras actividades
Sin estar limitado a las disposiciones establecidas en la Sección 5.02(b) de las Condiciones generales, el Prestatario realizará todas las acciones necesarias para permitir que la Institución ejecutora del Proyecto cumpla con sus obligaciones en virtud del Convenio sobre el Proyecto.
ANEXO 3
Plan de amortización
1. En el cuadro siguiente se establecen las Fechas de pago del
capital del Préstamo y el porcentaje del monto principal total
del Préstamo pagadero en cada Fecha de pago del capital
("Cuota"). Si al momento de la primera Fecha de pago del capital
los fondos del Préstamo han sido retirados en su totalidad, el
Banco calculará el monto principal del Préstamo que deberá
reembolsar el Prestatario en cada Fecha de pago del capital
multiplicando: (a) El Saldo retirado del Préstamo a partir de la
primera Fecha de pago del capital; por (b) la Cuota para cada
Fecha de pago de capital; monto a ser reembolsado que será
ajustado, de ser necesario, con el fin de descontar los montos
correspondientes en virtud del numeral 4 de este Anexo, al que
corresponde aplicar una Conversión de monedas.

2. Si al momento de la primera Fecha de pago de capital los fondos
del Préstamo no han sido retirados en su totalidad, el monto
principal del Préstamo que deberá reembolsar el Prestatario en
cada Fecha de pago de capital se calculará de la siguiente
manera:
(a) Si al momento de la primera Fecha de pago de capital se han
retirado fondos del Préstamo, el Prestatario reembolsará eI
Saldo retirado del Préstamo para esa fecha, según lo
establecido en el numeral 1 de este Anexo.
(b) Todo monto retirado luego de la primera Fecha de pago de
capital se reembolsará en cada Fecha de pago de capital que
caiga luego de la fecha de dicho retiro en los montos
determinados por el Banco al multiplicar el monto de cada
uno de dichos retiros por una fracción cuyo numerador es la
Cuota inicial establecida en el cuadro del numeral 1 de este
Anexo para dicha Fecha de pago de capital ("Cuota inicial")
y cuyo denominador es la suma de todas las Cuotas iniciales
restantes para las Fechas de pago de capital que caigan en
dicha fecha o posteriormente; los montos a ser reembolsados
se ajustarán, según sea necesario, con el fin de descontar
los montos mencionados en el numeral 4 de este Anexo, a los
que corresponde aplicar una Conversión de monedas.

(a)
Los montos del Préstamo retirados dentro de los dos meses calendario previos a cualquier Fecha de pago de capital serán tratados como retirados y pendientes para la segunda Fecha de pago de capital siguiente a la fecha de retiro, con el solo fin de calcular los montos de capital pagaderos en cualquier Fecha de pago de capital, y serán pagaderos en cada Fecha de pago de capital, comenzando con la segunda Fecha de pago de capital siguiente a la fecha de retiro.
(b)
No obstante lo dispuesto en el literal (a) de este párrafo, si en algún momento el Banco adoptara un sistema de cobranza con fechas de vencimiento según el cual se emitan recibos en cada Fecha de pago de capital o luego e ella, lo dispuesto en dicho literal ya no será válido para retiros realizados luego de adoptado ese sistema de cobranza.
4. Sin perjuicio de lo dispuesto en los numerales 1 y 2 de este
Anexo, luego de una Conversión de monedas de la totalidad o parte
del Saldo retirado del Préstamo a una Moneda aprobada, el Banco
determinará el monto convertido a la Moneda aprobada y pagadero
en cualquier Fecha de pago de capital dentro del Período de
conversión multiplicando dicho monto en su moneda de denominación
inmediatamente antes de la conversión, ya sea: (i) por el tipo de
cambio que refleje los montos del capital en la Moneda aprobada
pagaderos por eI Banco en virtud de la Transacción de cobertura
de divisas correspondiente a la Conversión; o (ii) si el Banco
así Io determina de acuerdo con las Pautas de conversión, por el
componente de tipo de cambio de la Cotización de pizarra.
5. Si el Saldo retirado del Préstamo está denominado en varias
monedas, lo dispuesto en este Anexo se aplicará por separado al
monto denominado en cada Moneda del Préstamo, de modo de generar
un plan de amortización para cada uno de dichos montos.

APÉNDICE
Sección I. Definiciones
1. Se definen como "Instrucciones Complementarias" las instrucciones
que se mencionan en la Sección IV.A.1 del Anexo 2 de este
Convenio.
2. Se entenderá por "Normas anticorrupción" las "Normas para la
prevención y lucha contra el fraude y la corrupción en proyectos
financiados con préstamos del BIRF y créditos y donaciones de la
AIF", texto de fecha 15 de octubre de 2006, revisado en enero de
2011 y el 1° de julio de 2016.
3. "Políticas de salvaguardia del Banco" son las políticas y
procedimientos operativos del Banco establecidos en el Manual de
Operaciones del Banco según OP/BPs 4.01, 4.04. 4.09, 4.10, 4.11,
4.12, 4.36, 4.37, 7.50 y 7.60 publicado en
www.WorldBank.org/opmanual.
4. Se entenderá por "Categoría" una de las categorías presentadas en
el cuadro de la Sección IV del Anexo 2 del presente Convenio.

6. "CEIP" corresponde al Consejo de de Educación Inicial y Primaria
de la Institución ejecutora del Proyecto.
7. "Indicador vinculado al desembolso" se refiere a los indicadores
presentados en el Anexo 4 de este Convenio cuyo logro es
condición para el desembolso de los fondos del Préstamo de la
Categoría (1).
8. "EIT" hace referencia a Evaluación Infantil Temprana.
9. "Marco de Gestión Ambiental y Social" es el marco del Prestatario
elaborado en octubre de 2016 y aceptado por el Banco, publicado
en el sitio virtual de la Institución ejecutora del Proyecto el 7
de octubre de 2016 y en el sitio virtual del Banco el 7 de
octubre de 2016, incluido también en el Manual de Operaciones y
que establece, entre otros: (a) el marco normativo institucional
y ambiental que rige el Proyecto; (b) las pautas para la
realización de relevamientos o evaluaciones ambientales o
sociales, así como la elaboración y aplicación de planes de
gestión ambiental cuando corresponda; (c) los procedimientos para
paliar, prevenir y gestionar los impactos sociales y ambientales
asociados a la realización de actividades del Proyecto, según las
modificaciones que oportunamente se puedan realizar al marco,
previa autorización del Banco.
10. "Escuela de tiempo completo" es una escuela de educación inicial
o primaria dentro del territorio del Prestatario y dentro de la
jurisdicción administrativa de la Institución ejecutora del
Proyecto que funciona en turnos diarios de siete horas y media;
"Escuelas de tiempo completo" hace referencia a cualquiera de
ellas.
11. Se entenderá por "Condiciones generales" las "Condiciones
generales para el otorgamiento de préstamos del Banco
Internacional de Reconstrucción y Fomento", de fecha 12 de marzo
de 2012 con las modificaciones presentadas en la Sección II de
este Anexo.
12. "GURÍ" hace referencia al sistema de gerenciamiento unificado de
registros e información de la Institución ejecutora del
Proyecto.
13. "Convenio interadministrativo" se refiere al convenio mencionado
en la Sección I.A.1 del Anexo 2 a este Convenio y las
modificaciones que pueda haber de tiempo en tiempo con el
consentimiento del Banco; comprende asimismo todos los anexos a
dicho Convenio interadministrativo.
14. La "Ley N° 18.437" es la Ley General de Educación del Prestatario
de 12 de diciembre de 2008, publicada en el Diario Oficial el 16
de enero de 2009 y sus modificaciones a la fecha del presente
Convenio.
15. "Costos operativos" son los gastos razonables (sin incluir los
servicios de consultoría) en que incurran la Institución
ejecutora del Proyecto, la Unidad Coordinadora del Proyecto, el
Organismo verificador o cualquier Escuela de tiempo completo en
relación con la puesta en funcionamiento del Proyecto incluidos,
entre otros: el alquiler y mantenimiento de equipos, vehículos e
instalaciones, alquiler de espacios de oficinas, salarios
complementarios del personal de la Institución Verificadora,
servicios, materiales e insumos de oficina y viajes internos
cuyos gastos no hubiesen existido de no existir el Proyecto.
16. "Manual de Operaciones" se refiere al manual de la Institución
ejecutora del Proyecto de fecha 1° de noviembre de 2016 aceptado
por el Banco, que se menciona en la Sección I.A.1 del Plan del
Convenio sobre el Proyecto y las modificaciones que se le
realicen de tiempo en tiempo con la aprobación previa del Banco
por escrito.
17. "Unidad Coordinadora del Proyecto" es la unidad creada dentro de
la Institución ejecutora del Proyecto a través de la Resolución
N° 57 (2 de febrero de 1994), ratificada a través de la
Resolución N° 35 (27 de octubre de 1998) y la Resolución N° 40
(27 de diciembre de 2001); a la que se hace referencia en la
Sección 1.A.3(a) del Plan del Convenio sobre el Proyecto.
18. "Gastos preventivos de mantenimiento" son gastos preventivos para
el mantenimiento de las instalaciones de las Escuelas de tiempo
completo que comprenden obras civiles pequeñas, bienes y Costos
operativos contemplados en la Parte 2.1(b)(i) del Proyecto; las
escuelas deben cumplir los criterios establecidos en el Manual de
Operaciones.
19. Se entenderá por "Plan de Adquisiciones" el Plan de Adquisiciones
del Prestatario para el Proyecto, con fecha 1° de noviembre de
2016 y estipulado en la Sección IV del Reglamento de
Adquisiciones y las modificaciones que se le realicen en su
momento con la aprobación del Banco.
20. "Reglamento de Adquisiciones" hace referencia al "Reglamento de
Adquisiciones para Prestatarios en Proyectos de Inversión", de
fecha 1° de julio de 2016.
21. "Institución ejecutora del Proyecto" es la Administración
Nacional de Educación Pública del Prestatario, persona jurídica
creada en virtud de lo dispuesto en la Ley N° 15.739 de 28 de
marzo de 1985.
22. "Marco de Políticas de Reasentamiento" es el marco del
Prestatario elaborado en setiembre de 2016 y aceptado por el
Banco, publicado en el sitio virtual de la Institución ejecutora
del Proyecto el 7 de octubre de 2016 y en el sitio virtual del
Banco el 7 de octubre de 2016, incluido también en el Manual de
Operaciones en el que se presentan los procedimientos generales
de aplicación, medidas paliativas y procedimientos de
reasentamiento en el marco del Proyecto, incluidos los
procedimientos de preparación y puesta en práctica de planes de
acción de reasentamiento, y las modificaciones que se le realicen
de tiempo en tiempo con la aprobación previa del Banco por
escrito.
23. "Capacitación" significa los gastos razonables en que incurra la
Institución ejecutora del Proyecto o la Unidad coordinadora del
Proyecto para realizar actividades de capacitación dentro del
marco del Proyecto, incluidos, entre otros, costos razonables de
transporte, subsistencia, alquiler de instalaciones para
capacitación, viáticos para capacitadores y asistentes a cursos,
cuotas de inscripción y materiales de capacitación.
24. "Organismo verificador" es el Instituto Nacional de Evaluación
Educativa (INEED) o cualquier otra institución pública o privada
seleccionada o contratada conforme a procedimientos aceptados por
el Banco.
25. "Convenio de Verificación" es el acuerdo al que se hace
referencia en la Sección I.A.4(a) del Plan del Convenio sobre el
Proyecto.
Sección II. Modificaciones a las Condiciones generales
Por el presente se realizan las siguientes modificaciones a las Condiciones generales:
1. Las referencias a Secciones, nombres de sección y números de
sección se modifican en el Índice para reflejar las
modificaciones presentadas a continuación.
2. Sección 3.01. (Comisión inicial) debería decir: "Sección
3.01. Comisión inicial; Comisión por compromiso
(a) El Prestatario pagará al Banco una Comisión inicial sobre el
monto del Préstamo a la tasa establecida en el Convenio de
Préstamo (la "Comisión inicial").
(b) El Prestatario pagará al Banco una Comisión por compromiso sobre
el Saldo del préstamo no retirado a la tasa establecida en el
Convenio de Préstamo (la "Comisión por compromiso"). La Comisión
por compromiso se devengará a partir de una fecha sesenta días
después de la fecha del Convenio de Préstamo hasta las fechas
correspondientes en las que el Prestatario retire los montos de
la Cuenta del Préstamo o los cancele. La Comisión por compromiso
será pagadera cada seis meses a mes vencido en cada Fecha de
pago.
3. En el Anexo Definiciones, todas las referencias pertinentes a
números de sección y párrafos han sufrido las modificaciones
necesarias para reflejar la modificación presentada en el numeral
2 que antecede.
4. El Anexo se modifica insertando un nuevo párrafo 19 con la
siguiente definición de "Comisión por compromiso" y cambiando la
numeración de los párrafos posteriores:
"19. "Comisión por compromiso" se refiere la Comisión por
compromiso que se detalla en el Convenio de Préstamo a efectos de
la Sección 3.01(b)."
5. Se modifica la definición de "Comisión inicial" en el nuevo
párrafo 49 (párrafo 48 en la versión inicial) del Anexo,
reemplazando la referencia a la Sección 3.01 por la Sección 3.01
(a).
6. La definición del término "Amortización del Préstamo" en el nuevo
numeral 68 (67 en la versión inicial) del Anexo, se modifica de
este modo:
"68. "Amortización del Préstamo" significa cualquier monto
pagadero las Partes del Préstamo en virtud de los Acuerdos
jurídicos o de estas Condiciones generales, incluidos (pero sin
limitarse a) cualquier monto retirado del Saldo del Préstamo,
intereses, Comisión inicial, la Comisión por compromiso,
intereses a la Tasa de interés por incumplimiento (si la
hubiera), cualquier prima por reembolso anticipado, comisiones
por transacción por Conversiones o cancelación anticipada de una
Conversión, el cargo por corregir el Margen variable (de
existir), cualquier prima pagadera por la fijación de un Tope a
la tasa de interés o una Banda de tasas de interés a la Tasa
variable o cualquier Monto por diferencia pagadero por el
Prestatario."
7. En el nuevo párrafo 73 (párrafo 72 en la versión inicial) del
Anexo, se modifica la definición de "Fecha de pago" eliminando la
palabra "es" e insertando "y la Comisión por compromiso son"
luego de "interés".

Convenio de fecha , 201 celebrado entre el BANCO INTERNACIONAL DE RECONSTRUCCIÓN Y FOMENTO (el "Banco") y la ADMINISTRACIÓN NACIONAL DE EDUCACIÓN PÚBLICA ("Institución ejecutora del Proyecto") ("Convenio sobre el Proyecto") relacionado con el Convenio de préstamo ("Convenio de Préstamo") de igual fecha entre la REPÚBLICA ORIENTAL DEL URUGUAY ("Prestatario") y el Banco. El Banco y la Institución ejecutora del Proyecto convienen lo siguiente
ARTÍCULO PRIMERO. CONDICIONES GENERALES; DEFINICIONES
1.1. Las Condiciones generales (definidas en el Apéndice del
Convenio de Préstamo) constituyen parte integral del presente
Convenio.
1.2. A menos que el contexto indique algo distinto, los términos en
mayúsculas utilizados en el presente Convenio tienen los
significados que se les atribuyen en el Convenio de Préstamo o
en las Condiciones generales.
ARTÍCULO SEGUNDO. PROYECTO
2.1. La Institución ejecutora del Proyecto declara su compromiso con
los objetivos del Proyecto. A tales efectos, la Institución
ejecutora del Proyecto lo llevará a cabo de conformidad con lo
dispuesto en el Artículo quinto de las Condiciones generales y
proporcionará con prontitud los fondos, mecanismos, servicios y
otros recursos necesarios para el Proyecto.
2.2. Sin limitación alguna a las disposiciones del numeral 2.01 del
presente y salvo que el Banco y la Institución ejecutora del
Proyecto acuerden lo contrario, la Institución ejecutora del
Proyecto lo llevará a cabo de conformidad con las disposiciones
del Plan de este Convenio.

3.1. La Institución ejecutora del Proyecto estará representada por
su Presidente.

PLAN
Ejecución del Proyecto
Sección I. Disposiciones sobre la ejecución
A. Disposiciones institucionales.
1. La Institución ejecutora del Proyecto lo llevará a cabo de
conformidad con las disposiciones del Manual operativo, que
comprende, entre otras cosas: (a) estructuras, funciones y
responsabilidades de la Dependencia coordinadora del Proyecto;
(b) el plan de cuentas y los controles internos del Proyecto;
(c) el formato de: (i) los informes financieras intermedios no
auditados que se mencionan en la Sección II.B.2 de este Plan; y
(ii) los estados financieros mencionados en la Sección II.B. 1
de este Plan; (d) el mandato para llevar a cabo las auditorías
del Proyecto según la Sección II.B.3 del presente Plan (e) el
seguimiento de indicadores para evaluar el funcionamiento del
Proyecto; (f) el régimen financiero y el marco institucional
del Proyecto, incluidos, entre otros: la estructura de
corriente de fondos y la selección de criterios de selección
para escuelas de tiempo completo en las Partes 1.1 y 2.1 del
Proyecto; (g) el Marco de Gestión Ambiental y Social y el Marco
de Políticas de Reasentamiento; (h) disposiciones de
seguimiento, evaluación y presentación de informes sobre la
ejecución del Proyecto, incluidos protocolos de verificación
para confirmar lo alcanzado con respecto a Indicadores
vinculados a los desembolsos
2. La Institución ejecutora del Proyecto ejercerá sus derechos y
cumplirá debidamente todas sus obligaciones derivadas del
convenio interadministrativo. Salvo que el Banco acuerde otra
cosa, la Institución ejecutora del Proyecto no podrá modificar,
suspender, derogar, ceder, dar por terminado, renunciar o
incumplir el convenio interadministrativo, ni disposición
alguna del mismo.
3. (a) Durante la ejecución del Proyecto, la Institución ejecutora
del Proyecto gestionará la Unidad coordinadora del Proyecto y
la mantendrá con estructura, funciones y responsabilidades
satisfactorias para el Banco, incluida, entre otras cosas, su
responsabilidad de asistir a la Institución ejecutora del
Proyecto en la coordinación y ejecución del mismo.
(b)La Institución ejecutora del Proyecto velará por que la
Unidad coordinadora del Proyecto esté encabezada en todo momento
por un coordinador del Proyecto y asistida por personal en
cantidad suficiente, todos con competencia y experiencia
aceptables para el Banco.
4. (a) Con un plazo máximo de 3 (tres) meses a partir de la
entrada en vigencia, la Institución ejecutora del Proyecto
celebrará un convenio (el "Convenio de Verificación") con un
organismo que tenga experiencia y competencia aceptables para
el Banco (el "Organismo verificador") con la finalidad de
asistir a la Institución ejecutora del Proyecto en la puesta en
práctica de la Parte 4 del Proyecto (incluida, entre otras
cosas, la verificación del cumplimiento de determinados
Indicadores vinculados a los desembolsos), en términos y
condiciones aceptables para el Banco (según se detalla en el
Manual de Operaciones).
(b)La Institución ejecutora del Proyecto: (i) ejercerá sus
derechos y llevará a cabo sus obligaciones conforme al Convenio
de Verificación de manera que proteja los intereses del
Prestatario y del Banco para llevar a cabo la finalidad del
Préstamo; (ii) salvo que el Banco acuerde lo contrario, no
modificará, suspenderá, derogará, rescindirá, renunciará ni
dejará de cumplir el Convenio de Verificación ni disposición
alguna del mismo.
(c)En caso de conflicto entre las disposiciones del Convenio y
las del Manual de Operaciones y/o de este Convenio, prevalecerán
las disposiciones del presente Convenio.
B. Anticorrupción
La Institución ejecutora del Proyecto se asegurará de que el
Proyecto se lleve adelante de conformidad con las disposiciones
de las Directrices contra la corrupción.
C. Medidas de salvaguardia.
1. La Institución ejecutora del Proyecto llevará adelante el
Proyecto o dispondrá que se lleve a cabo según las
disposiciones del Marco de Gestión Ambiental y Social y el
Marco de Reasentamiento.
2. La Institución ejecutora del Proyecto velará para que las
atribuciones de consultoría relacionadas con la asistencia
técnica prestada en el marco del Proyecto sean aceptable para
el Banco después de su revisión y, a tal efecto, dichas
atribuciones deberán incorporar debidamente el requisito de las
Políticas de Salvaguardia del Banco que se encuentren vigentes
en ese momento, aplicadas según la asesoría transmita mediante
dicha asistencia técnica.
Sección II. Seguimiento, presentación de informes y evaluación del
Proyecto
A. Informes del Proyecto
1 La Institución ejecutora del Proyecto supervisará y evaluará el
avance del Proyecto y elaborará informes del Proyecto según lo
dispuesto en la Sección 5.08 (b) de las Condiciones generales y
a partir de indicadores aceptables para el Banco que se
establecen en el Manual de Operaciones. Cada uno de dichos
Informes del Proyecto abarcará un semestre calendario y se
presentará al Banco a más tardar 45 (cuarenta y cinco) días
después de finalizado el semestre contenido en dicho informe.
B. Gestión financiera, memorias financieras y auditorías
1. La Institución ejecutora del Proyecto: mantendrá un sistema de
gestión financiera y elaborará los estados financieros en
concordancia con las normas contables generalmente aplicadas y
aceptables para el Banco, de manera que reflejen adecuadamente
las operaciones y la situación financiera de la Institución
ejecutora del Proyecto, incluido el funcionamiento, los
recursos y los gastos relacionados con el Proyecto.
2. Sin limitar de manera alguna lo dispuesto en la Parte A de esta
Sección, la Institución ejecutora del Proyecto elaborará y
entregará al Banco, como parte de cada Informe financiero
intermedio, los informes financieros no auditados del Proyecto
que abarquen el semestre, en forma y sustancia satisfactorias
para el Banco.
3. La Institución ejecutora del Proyecto deberá tener sus estados
financieros mencionados en el párrafo 1 precedente evaluados
por auditores independientes aceptables para el Banco, de
conformidad con lo dispuesto en las normas de auditoría
generalmente aplicadas aceptables para eI Banco. Cada auditoría
de estos estados financieros abarcará un ejercicio económico de
la Institución ejecutora del Proyecto. La Institución ejecutora
del Proyecto se asegurará de que los informes financieros
auditados de cada período sean: (a) presentados ante el
Prestatario y el Banco en un plazo máximo de seis meses después
del final del período; (b) dados a conocer públicamente de
manera oportuna y aceptable para el Banco.
Sección III. Adquisiciones
Todos los bienes, obras, servicios, sean o no de consultoría, necesarios para el Proyecto y que sean financiados con los fondos del Préstamo serán adquiridos de acuerdo con los requisitos establecidos o referidos en el Reglamento de Adquisiciones y las disposiciones de contratación del Plan de Adquisiciones.
